1.CONTRACT.ThisPurchaseOrderincludesthesePurchaseOrderTermsandConditions,thepurchase
orderform(the"Form")andanyexhibitsthereto.TheseformtheContract,andallareasfullyapartof
theContractasifattachedtothisPurchaseOrderorfullysetforthherein.Commencingperformanceof
oracceptingthisPurchaseOrdershallindicateSupplier'sintenttobeboundbythetermsandconditions
oftheContractDocuments(the"POTerms"),shallconstituteanacceptancebySupplierofeachofthe
POTerms,andshallformacontractunderthelawsoftheStateofMichigan,withvenueinMarquette
County,Michigan.TheContractDocumentsshallconstitutetheentireagreementbetweentheparties
withrespecttothesubjectmatterofthisContractandmaynotbemodified,addedtoorrescinded
exceptbyasubsequentwrittennoticesignedbyPurchaser.Noticeofobjectionisherebygiventoany
differentoradditionaltermsinSupplier'squotations,acknowledgments,invoices,orinanyother
communicationfromSupplierunlessPurchaserexpresslyagreestosuchtermsinwriting.Payment,
acceptanceofgoods,orinactionbyPurchasershallnotconstitutePurchaser'sconsenttooracceptance
ofanysuchterms.
2.PARTIES.(a)PurchaserorOwner(termsareinterchangeable);and(b)SupplierorContractor(terms
areinterchangeable).AssetforthontheForm.
3.TERMS.(a)Theterm"goods"includesgoods,material,chattels,equipment,machinery,
manufacturedarticles,merchandise,fixtures,products,software,appliances,plantandanyotheritems
tobesuppliedpursuanttothisPurchaseOrder.(b)Theterm"warranty"includeswarranties,
guarantees,representationsandpromises.
4.DELIVERY.ThegoodsshallbetenderedbydeliverytoPurchaseratthetimeandplacespecifiedinthe
“SHIPTO”SectionontheForm.Thetimessetforthfordeliveryareoftheessence.Supplieris
responsibleformaintainingandprovidingproofofdelivery.Packinglistsmustaccompanyeachcaseor
parcel,showingthisPOsnumberandacompletedescriptionofcontents.Suppliershallprepayall
transportationcharges.IftransportationofthegoodsisundertakenbyanentityotherthanSupplier,
Suppliershallberesponsibleforandhandleallclaimsagainstsuchentityforshortages,damages,theft
andothersuchoccurrences.
5.IDENTIFICATION/RISKOFLOSS/TITLE.IdentificationofthegoodsshalloccurassoonasthePurchase
OrderisreceivedbySupplier.RiskoflossofandcleartitletothegoodsshallpasstoPurchaseratthe
timethatconforminggoodsarereceivedandacceptedbyPurchaser.
6.PURCHASEPRICE.ThePurchaseOrderTotalPrice(alsoreferredtoastheContractSum)andUnit
PricesshallbeasspecifiedontheForm,subjecttoSection9hereof.Theyshallnotincludesalesanduse
taxesforwhichanexemptionisapplicable.Purchasershallhavenoresponsibilityforpaymentofover
shipments,goodsnotdeliveredduetoshortages,theft,etc.,orotherwisenon-conformingshipments.
Purchaser'scountshallbeacceptedasfinalandconclusiveforallshipments.IfPurchasePriceis
omittedandisnotcoveredbyablanketorderoragreement,thisorderistobefilledatthelowerof(i)
thepricelastquotedorchargedor(ii)thelowestprevailingmarketprice.AllpricesareFOBPurchaser's
on-sitereceivingareaunlessotherwisespecified.IfshipmentisindicatedasFOBSupplier'splant,
Supplierwillarrangeforshipping,prepaythefreightchargesandaddthemtotheinvoice.Collect
shipmentswillbereturnedatSupplier'sexpense.
7.PAYMENT.Paymentshallbeprocessedgenerallyasfollows:Oneinvoiceshallbesubmittedforthe
PurchaseOrder.NoinvoiceswillbeprocessedforpaymentuntilPurchaserhasreceivedgoods,has
inspectedthemandhasdeterminedthattheyareconforming.Invoicesshallbeconsideredasdatedthe
laterofthedaytheinvoiceisreceivedorthedaythegoodsarereceivedandacceptedbyPurchaser.
Paymentforconforminggoodsshallbepaidwithinthirty(30)daysofthelaterofthedateofFinal
Completionorthedateoftheinvoice.Withrespecttoinvoicescoveringmechanicalequipmentand
similargoodswhichcannotimmediatelybeputintooperation,Purchaserreservestherighttowithhold
frompaymentofsuchinvoiceretainageof10%oftheamountthereofpendingapprovalofthe
operationofsuchequipmentand/orgoods.Purchasershallpayforthegoodsbycheck.Paymentson
cashdiscountitemswillberenderedlessanyapplicablecashdiscount.
8.WARRANTIES.(a)SupplierwarrantstoPurchaserthatallitemscoveredbythisPurchaseOrder
conformtothesamples,drawings,specifications,plans,orotherdescriptionsprovidedbyPurchaser
(collectively,"Specifications").Suppliersarenotauthorizedtosubstitute.Allgoodsshallbe
merchantable;fitforPurchaser'sintendedpurpose;ofgoodmaterial,workmanshipanddesign,andfree
fromdefect.Supplieralsoguaranteesthatthegoodsareofsufficientsizeorcapacitytoperformas
specified.(b)SupplieragreesthatPurchaserandanyrepresentativedesignatedbyPurchaser,foritself
andonbehalfofPurchaser("Purchaser'sRepresentative'),shallhavethebenefitofallmanufacturers
warranties,expressorimplied,issuedonorapplicabletothegoods,andSupplierauthorizesPurchaser
and/orPurchaser'sRepresentativetoobtainthecustomaryservicesfurnishedinconnectionwithsuch
warrantiesandguaranties.SupplierherebyassignssuchwarrantiestoPurchaser.(c)ThisPurchase
Orderincorporatesbyreferenceanyandallwarranties(express,implied,oralorwritten)madeby
SupplierpriortooratthetimethisPurchaseOrderisaccepted,includingthosecontainedinbrochures,
catalogues,advertisements,owner'smanuals,etc.,providedthatintheeventofaconflict,thewarranty
providingthemostprotectiontoPurchasershallprevail.(d)Allwarrantiesshallsurviveinspection,
acceptanceandpayment.(e)Supplieragreestorepairorreplacefreeofchargeanygoodsorpartsof
goodswhichprovedefectiveorwhichoperateunsatisfactorily.Thiswarrantydoesnotapplytonormal
effectsofcorrosionorwearandtear.SuchremediesshallbeavailabletoPurchaserinadditiontoall
othersaffordedtoitbythisContractoratlaworequity.
9.RIGHTOFINSPECTION.Withinareasonabletimeafterdeliveryofthegoodsinaccordancewith
Section4,Purchasershallhavetherighttoinspectthegoodstodeterminetheirconformitywiththe
Specifications.Thirty(30)daysfromthedateofdeliveryorinstallationisdeemedtobethereasonable
timeforPurchasertoinspectgoods.Ifalloranypartofthegoodsarefoundtobenon-conforming,
Purchasermayrejectnon-conforminggoods,suchshallberemovedbySupplieratSupplier'scost,and
thePurchasePricerespecttosuchrejectedgoodseithershallberefundedbySupplierifalreadypaid,or
shallbereducedifstillowing.Ineithercase,ifPurchasersodirectsinwriting,Suppliershallpromptly
replacesuchnon-conforminggoodswithgoodsconformingtotheSpecifications.Alldirectand
incidentalcostsofrejectingandremovingsuchnon-conforminggoodsshallbebornebySupplier.
10.REMEDIES.InadditiontoremediesprovidedintheContractDocuments,Purchasershallhaveall
otherrightsandremediesavailableunderapplicablelaw.NOTWITHSTANDINGANYTHINGTOTHE
CONTRARYCONTAINEDINTHECONTRACTDOCUMENTS,INNOEVENTSHALLSUPPLIERBEENTITLEDTO
ANYPAYMENTONACCOUNTOFLOSTPROFITSORCONSEQUENTIALDAMAGESINCONNECTIONWITH
ANYTERMINATIONOFTHECONTRACT,OROTHERWISEINCONNECTIONWITHTHECONTRACT.
11.INDEMNIFICATION.Tothefullestextentpermittedbylaw,Suppliershallindemnifyandhold
harmlessPurchaserandanyPurchaser'sRepresentativeandalloftheirrespectivetrustees,directors,
officers,employeesandagents(collectively,"GoodsIndemnities")fromandagainstallclaims,liabilities,
damages,losses,costs(including,withoutlimitation,reasonablelegalfees)andexpenses(collectively,
"Claims”),arisingfromorrelatingtotheundertakingofSupplierhereunderoranydefect(s)inthegoods
supplied,providedsuchClaimsarecausedinwholeorinpartbyanynegligentact,omission,
recklessnessorwillfulmisconductofSupplieroranyoneforwhoseactsSuppliermaybeliable,or
providedSuppliermaybeheldresponsibleforsameunderproductsliabilitylaworunderother
applicablelegalorequitableprinciples.Supplierfurtheragreestoassumethedefenseofanysuit
broughtagainstGoodsIndemnitiesandtoprotectGoodsIndemnitiesfromallclaimsarisingoutof
claimsforinfringementofanypatent,invention,design,trademarkorcopyrightinconnectionwiththe
goods.
12.REGULATORYCOMPLIANCEANDNONDISCRIMINATION.TheSuppliermustcomplywithallFederal,
State,County,andlocallaws,ordinances,rules,regulations,orders,notices,requirements,andpermits
thatinanymanneraffecttheprovisionsherein.ThePurchasershallnotbeliabletotheSupplierforany
legalfees,courtcosts,orotherlegalexpensesarisingfromtheinterpretationorenforcementofthisPO,
orfromanyothermattergeneratedbyorrelatingtothisPO.
13.WAIVEROFLIENS.(a)Supplier,foritselfandforallitsSubcontractors,agreesthatnomechanic'sor
materialman'slienorotherclaimshallbefiledormaintainedbySupplierorbyanySubcontractor,
laboreroranyotherperson,whatsoever,fororonaccountofanyworkdoneongoodsfurnishedunder
thisContractThisagreementshallbeanindependentcontract(b)Ineverysubcontractenteredintoby
SupplieraftertheexecutionanddeliveryoftheContractorinconnectionherewith,Suppliershall
incorporateaprovisionsimilartotheforegoingsubsectiontotheeffectthatneithertheSubcontractor
noranypartyactingthroughorunderitshallfileormaintainanymechanic'slienorotherclaimagainst
Purchaserinconnectionwiththework.
14.WAIVEROFBREACH.Waiver,forbearanceorinactionbyPurchaserofabreachbySupplierofanyPO
TermshallnotbedeemedawaiveroffuturecompliancewithallPOTerns,andallsuchPOTermsshall
remaininfullforceandeffectastofutureperformances.
15.CANCELLATION/TERMINATION.ThePurchasermay,withorwithoutcause,whenevertheinterests
ofthePurchasersorequire,terminatethePO,inwholeorinpart,fortheconvenienceofthePurchaser,
bywrittennoticetotheSupplier.Unlessdirecteddifferentlyinthenoticeoftermination,thePurchaser
shallincurnofurtherobligationsinconnectionwiththePO.TheSuppliershallonlybecompensatedfor
acceptedgoodsuptothedateoftermination.Suppliershallnotclaimandexpresslywaivesanyclaims
forprospective,consequential,orindirectdamages,including,butnotlimitedto,claimsforlostprofit.
16.ASSIGNMENT/DELEGATION.Suppliershallneitherassignanyrightorinterestinthiscontract,nor
delegateanyobligationowedbyithereunderwithoutthepriorwrittenconsentofPurchaser.Any
attemptedassignmentordelegationabsentPurchaser'sconsentshallbewhollyvoidandtotally
ineffectiveforallpurposes.
17.MISCELLANEOUS.(a)NoagreementorotherunderstandinginanywaymodifyingtheContract
DocumentsshallbebindinguponPurchaserunlessmadeoracceptedbyPurchaserinwriting.This
PurchaseOrdershallbesubjecttomodification,amendmentand/orcancellationbyPurchaserinevent
offire,accident,strike,GovernmentactsorotherconditionsbeyondPurchaser'scontrol.Purchaser
shallpromptlyprovidetoSupplierwrittennoticeoftheoccurrenceofsucheventsrequiringsuch
modification,amendmentand/orcancellation.(b)ThiswritingandtheotherContractDocumentsare
intendedbythepartiesasafinalexpressionoftheiragreementwithrespecttothesubjectmatter
hereof.(c)AnyprovisionintheContractDocumentsthatisheldtobeinoperative,unenforceable,
voidableorinvalidinanyjurisdictionshallastothatjurisdiction,beineffective,unenforceable,voidor
invalidwithoutaffectingtheremainingprovisions,ortheenforceabilityofallprovisionsinanyother
jurisdictionandtothisend,theprovisionshereofaredeclaredtobeseverable.Thecontractresulting
fromtheacceptanceofthisPurchaseOrderistobegovernedbyandconstruedinaccordancewiththe
lawsoftheStateofMichiganwithoutregardtothechoiceoflawsprovisionsthereofTheSupplier
agreestobringanyfederalorstatelegalproceedingarisingunderthisContractinacourtofcompetent
jurisdictionwithinMarquetteCounty,Michigan.ThisSectionshallnotbeconstruedtolimitanyrightsa
partymayhavetointerveneinanyaction,whereverpending,inwhichoneoftheothersisaparty.(e)
Allindemnification,payment,warranty,lienwaiver,titleandremediesprovisionsshallsurvivethe
terminationorexpirationofthisPurchaseOrder.
