NOTICE OF SENIOR NOTE MEETINGS IN THE GRAND COURT OF THE CAYMAN ISLANDS FINANCIAL SERVICES DIVISION FSD No 97 of 2014-AJJ IN THE MATTER OF LDK SOLAR CO., LTD. (IN PROVISIONAL LIQUIDATION) LDK SILICON & CHEMICAL TECHNOLOGY CO,. LTD. and IN THE MATTER OF THE COMPANIES LAW 2013 REVISION Terms used in this Notice of Senior Note Meetings have the same meanings as in the explanatory statement (the "Explanatory Statement") relating to the proposed scheme of arrangement under section 86 of the Companies Law (2013 Revision) between LDK Solar Co., Ltd. (in provisional liquidation), LDK Silicon & Chemical Technology Co., Ltd. and the Scheme Creditors (the "Cayman Scheme"). NOTICE IS HEREBY GIVEN that, by an order dated 12 September 2014 made in the Grand Court and filed 16 September 2014, the Grand Court has directed that the CI Senior Note Meeting be convened of the Senior Note Scheme Creditors for the purposes of considering and, if thought fit, approving (with or without modification, addition or condition approved or imposed by the Grand Court) the Cayman Scheme. The CI Senior Note Meeting will be held at the offices of Campbells at Floor 4, Willow House, Cricket Square, George Town, Grand Cayman KY1-1103 on 16 October 2014 and will commence at 8.20pm Cayman Islands time. All Senior Note Scheme Creditors are requested to attend the CI Senior Note Meeting at such place and time either in person, by a duly authorised representative (if a corporation), or by proxy. Senior Note Scheme Creditors will also be able to dial into the CI Senior Note Meeting using the LDK Dial-In Details A copy of the Cayman Scheme and a copy of the Explanatory Statement are incorporated in the document of which this notice forms part. Senior Note Scheme Creditors may vote in person at the CI Senior Note Meeting or by a duly authorised representative (if a corporation), or they may appoint another person, whether a Senior Note Scheme Creditor or not, as their proxy to attend and vote in their place. Senior Note Scheme Creditors may appoint proxies to vote at the CI Senior Note Meeting by filling out section 2 of the Account Holder Letter and Ballot. Unless a Senior Note Scheme Creditor is an individual, it must appoint a proxy to vote on its behalf at the CI Senior Note Meeting by filling out section 2 of the Account Holder Letter and Ballot or a Proxy Form in order to be entitled to vote at the CI Senior Note Meeting. To avoid double counting, the Trustee has confirmed in writing that it would not seek to vote at the CI Senior Note Meeting unless instructed to do so by the holders of the Senior Notes in accordance with the terms of the Senior Note Indenture. Each Senior Note Scheme Creditor or its proxy will be required to register its attendance at the CI Senior Note Meeting prior to the commencement of the CI Senior Note Meeting. Registration in respect of the CI Senior Note Meeting will commence at no later than one hour before the schedule start time of 8.20pm (Cayman Islands time) on the date of the CI Senior Note Meeting and each Senior Note Scheme Creditor and proxy must be registered no later than one hour prior to the commencement of the meeting. Each Senior Note Scheme Creditor that is not a proxy must bring to the CI Senior Note Meeting a copy of the relevant Account Holder Letter and Ballot or Proxy Form, evidence of corporate authority (in the case of a corporation) (for example, a valid power of attorney and/or board minutes) and evidence of personal identity (for example, a passport or other picture identification). Each proxy must bring to the CI Senior Note Meeting a copy of the Proxy Form authorising him or her to act as proxy on behalf of the Senior Note Scheme Creditor and evidence of personal identity (for example, a passport or other picture identification). In order to vote on the Cayman Scheme and attend the CI Senior Note Meeting (in person, by a duly authorised representative, if a corporation, or by proxy), Senior Note Scheme Creditors must ensure that an Account Holder Letter and Ballot is completed and lodged with the Information Agent (marked for the attention of David Shilson / Sunjeeve Patel) in accordance with the instructions set out in the Account Holder Letter and Ballot by no later than 11:00am (Cayman Islands time) 15 October 2014. Copies of the Cayman Scheme, the Explanatory Statement, the Senior Solicitation Packet (this will include the Account Holder Letter and Ballot) Chapter 11 Plan, Disclosure Statement and Proxy Form are available to download from the Scheme Website at http://ldksolar-provisionalliquidation.com. By the order referred to above, the Grand Court has appointed either of the JPLs to act as chairman of the CI Senior Note Meeting and has directed the chairmen to report the result of the CI Senior Note Meeting to the Grand Court. The Cayman Scheme will be subject to the subsequent approval of the Court.
