SUB-CONTRACT AMENDMENT

This amends the contract dated December 19,2002 between the Vermont Energy Investment Corporation (VEIC) and
Washington Electric Cooperative, Inc (WEC) (Subcontractor) to provide services to VEIC in connection with the
Energy Efficiency Utility (EEU) as follows:
SECTION 3: TERM OF SUBCONTRACT
The Term of this Subcontract shall now end on December 31, 2005 unless amended or terminated earlier in
accordance with the provisions of this Subcontract.
SECTION 4: FEES AND PAYMENTS
Subcontractor billings now shall not exceed the total maximum fee of $57,240 for the term of this contract unless
the maximum fee is adjusted in a written amendment to this contract.
ALL OTHER TERMS AND CONDITIONS REMAIN THE SAME.
