TERMS AND CONDITIONS OF SALE
1. Risk of Loss shall pass to the Buyer on GKN Aerospace Transparency Systems, Inc.’s making delivery to carrier at shipping point in
good condition. Unless otherwise specified, each delivery shall stand as a separate sale and is subject to credit arrangements or to
receipt of cash. If payment is not made in accordance with terms, or if at any time in GKN Aerospace Transparency Systems, Inc.
judgment Buyer’s credit standing has been impaired, GKN Aerospace Transparency Systems, Inc. may withhold delivery of any goods
called for herein, until satisfactory cash or credit arrangements have been established.
2. GKN Aerospace Transparency Systems, Inc. will not be liable for any delay, and GKN Aerospace Transparency Systems, Inc. and
Buyer shall be relieved from furnishing or taking goods covered by this order, if prevented by fires, floods, accidents, riots, acts of God or
government interference or embargoes, strikes, labor difficulties, shortage of labor, fuel, power, materials or supplies, transportation
delays, or any cause beyond their control, provided however, that if any goods called for herein are to be manufactured especially for
Buyer, and manufacture is suspended or terminated for any reason, Buyer agrees to take delivery of and make payment for such goods
as have been completed or are in process as of the date of termination. GKN Aerospace Transparency Systems, Inc. reserves the right
at any time to allocate its supply available for sale among any or all purchases on such basis as it may deem fair and practical without
liability for any failure to deliver which may result from such allocation.
3. The Buyer assumes all risk and liability which may result from the use of any material whether used singly or in combination with other
products. NO EXPRESS WARRANTIES AND NO IMPLIED WARRANTIES WHETHER OF MERCHANTABILITY OR FITNESS FOR
ANY PARTICULAR PURPOSE, OR OTHERWISE, OTHER THAN THOSE EXPRESSLY SET FORTH IN THIS CONTRACT WHICH
ARE MADE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, SHALL APPLY TO ANY GOODS COVERED BY THIS
CONTRACT. NO WAIVER, ALTERATION, OR MODIFICATION OF THE FOREGOING CONDITIONS SHALL BE VALID UNLESS
MADE IN WRITING AND SIGNED BY A CORPORATE OFFICER OF GKN AEROSPACE TRANSPARENCY SYSTEMS, INC.
4. GKN Aerospace Transparency Systems, Inc.’s liability for defective goods under this order shall be limited to their repair, replacement
or repayment of a purchase price, at GKN Aerospace Transparency Systems, Inc.’s option. No claim shall be allowed unless Buyer gives
GKN Aerospace Transparency Systems, Inc. prompt written notice, within 60 days from date of invoice. Goods shall not be returned to
GKN Aerospace Transparency Systems, Inc. without its written permission. Under no circumstances shall GKN Aerospace
Transparency Systems, Inc. be obligated for consequential or incidental damages, losses or expenses in connection with or by reason of
any breach, its liability for damages being limited to the purchase price of the goods. The remedies expressed are exclusive. No claims
for defective goods may be made unless in writing within sixty (60) days from the date of delivery. In the event any other default is
claimed, notice shall promptly be given to GKN Aerospace Transparency Systems, Inc. GKN Aerospace Transparency Systems, Inc.
shall not be required to buy in the open market any goods delivery of which has been defaulted.
5. This sales order may not be changed or modified orally. The laws of the State of California shall apply.
“We hereby certify that these goods were produced in compliance with all applicable requirements of Sections 6, 7 and 12 of the Fair
Labor Standards Act, as amended and of the Regulations and Orders of the United States Department of Labor issued under Section 14
thereof.”
The required reports covering all material in these parts are on file subject to examination and indicate conformance with applicable
specification requirements.
