Categories of equipment covered under this Contract are as follows: Category 1 – Hospital Beds Category 2 – Patient Trolleys Category 3 – Examination Couches and Treatment Chairs Category 4 – Neonatal and Paediatric Cots Category 5 – Mattresses (static and dynamic) and Pillows Refer to “Product Information Schedule” to obtain a more detailed list of products. Evaluation This contract was evaluated on behalf of WA Health by clinical and technical representatives from various public health care units. Contract Type This is a mandatory Contract for equipment purchases. This is a non-mandatory Contract for maintenance services, rental options and accessories. Note: Pillows are considered equipment under this Contract and are a mandatory item. Refer to ‘Product Information Schedule: Category 5” for more information. The Contract number (HCNS331713) should be quoted when placing an order. Policy does not permit rebates and other forms of value added options to be offered, accepted or solicited as part of a purchase from this contract. Contract Term The contract is effective from the 4 January 2016 to 3 January 2018 There are a further 3 x 12 month extension options available. Quality Assurance Buying Rules The Designer, Manufacturer and Supplier of the products have a management system certified as complying with the requirements of AS/NZS ISO 9001:2008 – Quality management systems (and AS/NZS ISO 9001:2008/Amdt 1:2012) – requirements or AS ISO 13485:2003 Medical devices - Quality management systems - (and ISO 13485: 2003/Cor 1:2009) Requirements for regulatory purposes. The products accord with TGA requirements where appropriate. The Contract will operate on a pick and buy basis in accordance with the following buying rules: • The Contract is mandatory for equipment acquisitions including required accessories, delivery and installation / commissioning up to a value of $500,000 per order; • The Contract is non-mandatory for maintenance arrangements over the Term to the maximum value of $15,000 per bed; • The Contract is non-mandatory for the rental of equipment to meet individual patient needs up to a maximum duration of twelve (12) months per item (where applicable); and • The Contract is non-mandatory for ad hoc accessories and options up to a value of $150,000 per order. Purchases exceeding the thresholds detailed above shall be undertaken through a separate procurement process, in accordance with State Supply Commission procurement policy requirements. Prices are subject to annual price variations at rates agreed with the Contractor. All prices are stated as GST Exclusive. All suppliers must provide the minimum warranty stipulated in Clause 11: Warranties of Schedule 1 of HCNS331713. Clause 11: Warranties, Schedule 1 – Customer Contract The successful Respondent must give, or ensure the Customer has the benefit of, the following warranties: The Contractor must give, or ensure the Customer has the benefit of, the following warranties: Twelve (12) months free new for old replacement of all defective parts or components; Metropolitan Twelve (12) months free on-site labour to effect rectification of defects; o within 4 hours of call-out; or o a suitable alternative arrangement where the timing of such work shall be agreed within two (2) hours of call-out and such work shall be completed within 2 working days; Regional Twelve (12) months free on-site labour to effect rectification of defects: Buyers Guide o within 4 hours of call-out; or o a suitable alternative arrangement where the timing of such work shall be agreed within four (4) hours of call-out and shall be completed within 4 working days; During the twelve (12) months if the defect cannot be rectified within a reasonable agreed time frame, the supplier will provide a loan unit for the duration that the equipment is out of service. The loan unit shall be supplied within 48hours of such agreement; During the twelve (12) months if the defect cannot be satisfactorily rectified within a maximum time frame of three (3) months, the supplier will exchange the defective equipment with brand new equipment; Correction of all latent defects throughout the life of the Contract; and If the warranty specified exceeds the Term of the Customer Contract, the warranty survives the expiry or termination of the Customer Contract. Page 6 of 106 BUYERS GUIDE HCNS331713 Conditions of Contract The Contractor, on receipt of an order from the Purchasing Officer, is to immediately contact the Purchasing Officer if the agreed delivery time-line cannot be met. The Contractor shall immediately contact the Purchasing Officer if subsequent delays are encountered. All goods supplied under this contract shall be labelled and packaged in accordance with the Commonwealth Therapeutic Goods Act 1999 (as amended). The Contractor shall be liable for all damage in transit arising out of defective packing of goods. Goods shall be delivered free into store in the Perth Metropolitan Area. The company totally and unconditionally guarantees all garments, manchester and other products sold against any defects arising from: • Faulty manufacture. (Stitching etc.) • Faulty components. Health and safety regulations demand that all defective items be cleaned prior to return for credit. For hospitals located in country / rural Western Australia the cost of travel will need to be borne by the customer. In circumstances such as this FMC recommends the use of instructional DVDs. Education & Training Fresenius is happy to work with WA Health in order to access the TeleHealth system for education. The education provided is very basic as the chair does not require much knowledge to operate and care for. Therefore there would not be any regional presence unless a site had a major order. Technical Training to metro based biomedical staff can be provided FOC upon request. Training will be conducted by locally based FMC technicians. Maintenance Post Warranty Repairs Buyers Guide Travel, accommodation and car hire costs are not covered as part of the purchase price for regional areas. Fresenius Medical Care recommends an annual preventative maintenance on the T688 Treatment Chair - however this is not a compulsory requirement and is at the discretion of the purchaser. Procedure for reporting faults/ requesting repairs, including any escalation process Faults covered under warranty should be reported to National Sales Manager. Post warranty period requests for repairs or service can be directed to the Western Australian Technical Operations Manager. Should the need for escalation occur; any problems relating to the contract or service delivery (technical or operational) can be escalated to the Business Manager - Seating – Coordinator of Contracts and Services. Page 15 of 106 BUYERS GUIDE HCNS331713 Maximum initial response time Telephone and e-mail requests will have a maximum response time of (4) four hours. On –site response time – Metropolitan Fresenius Medical Care will aim to be on site within 48 hours and due to the large seating spare part holdings held by each technician most repairs can be performed on the initial visit. In the event this is not the case then the technician will communicate estimated repair turnaround times. On- site response time – Regional Areas On–site repair times will vary according to region and the availability of flights to the region. In our experience depending upon the urgency of the repair travel to regional areas in Western Australia can usually be coordinated within 1 -2 weeks. It should be noted that Fresenius Medical Care’s currently holds the contract for Renal Home Therapies throughout Western Australia and so our presence in regional areas is well known. IMPORTANT TO NOTE In our experience delays to repairs are often the result of waiting for purchase orders from the parent hospital. This delay can be negated under a comprehensive service contract. Fresenius Medical Care offer two Service and Maintenance options: Option A : Fully Comprehensive Service Contract Option B: Standard Service Contract Option A: Fully Comprehensive Service Contract Under a Fully Comprehensive Service Contract with Fresenius Medical Care the following is covered: Annual Preventative Maintenance A Breakdown and Repair Service Fully inclusive of all spare parts including electrical and steel works* Fully inclusive of all service and call out fees** Annual Preventative Maintenance performed to schedules within agreed upon time frames Timely breakdown and repair service Travel to metropolitan units Key Contractual Information Preventative maintenance will be carried out every 12 months The Preventative Maintenance will be carried out by a qualified FMC service technician Preventative Maintenance to be carried out by the due date or in a two week period leading up to the due date Fresenius Medical Care will work with the contracted party to schedule a timetable for all preventative maintenance Where multiple Treatment Chair purchases have been made through the hospital at different times Fresenius Medical Care will work to synchronize maintenance schedules at the approval of the contracted hospital Buyers Guide Page 16 of 106 BUYERS GUIDE HCNS331713 Breakdown Service and Repair Fresenius Medical Care agrees to the following key performance indicators for breakdown service and repair: Telephone response time of four (4 ) hours 48 hour on site response time (metropolitan) 75% of breakdowns will be repaired during the first visit The technician will communicate with the appropriate manager regarding the status of the chair At the completion of the chair repair the service technician will prepare a written service report which will be provided to the hospital within one (1) week of the repair. NB: Exclusions under Option A *Upholstery repair is not covered as part of this agreement *Nurse and Patient Handsets are not covered as part of this agreement **The cost of travel to regional centres will be charged at an hourly rate of $100.00 per hour. **Airline, overnight accommodation, car hire costs are itemised in the PIS and are based on regional areas. Option B: Standard Maintenance Contract A standard maintenance contract requires the user to pay for services as requested: Fees charged to the hospital under this arrangement include: Annual preventative maintenance costs Breakdown and Repair Service costs including call out fees, hourly rates Spare parts will be charges as per Fresenius Medical Care’s Annual Spare Parts Price List NB: Under a Standard Maintenance Contract response times cannot be guaranteed. ADDITION OF PRODUCTS The Contract Authority reserves the right to add or delete products under the Head Agreement where considered appropriate/necessary in the following circumstances: a) Contract Refreshes (i) Contract refreshes will be planned periodically to enable new products to be added onto the contract that offer new technology and/or additional value for money. The first Contract refresh may occur after the initial twelve (12) month period, with a further refresh every 12 months as required. The decision to refresh all or selected categories of equipment will be at the sole discretion of the Department of Health. (ii) The contract refreshes will occur through a public tender process and new suppliers, not currently on the contract will be able to present equipment for consideration. Current contractors will be notified when the Tender for the contract refresh is to be advertised. (iii) Items to be added to the Contract will be assessed using the specifications and criteria stipulated in the original Request and must demonstrate new technology and/or additional value for money in order to be added onto the contract. (iv) New categories of equipment may be added to the contract for the remainder of the contract term via the contract refresh public tender process. b) Product Substitutions (i) At the sole discretion of the Contract Authority, new products may also be added to the contract outside the Contract Refresh period in the event that a particular model is discontinued and replaced by a newer version. c) Emergent Technology If new products and/or new technology become available in the marketplace during the currency of the contract but between the contract refresh periods, the following will apply: (i) Where new products become available outside the current specifications a quotation/tender may, if required, be called and any resultant items added to the contract. (ii) Where new technology, or any other eventuality, renders the Head Agreement Prices uncompetitive or results in any of the Products being superseded, the Head Agreement for these Products may be terminated. Offers for these Products may be recalled with recommended Products being added to the Head Agreement. Any product addition will only become effective subject to approval from the Contract Authority. PRODUCT DEMONSTRATIONS AND / OR TRIALS Contractors must make contract Products available for demonstration and/or clinical trial, at no cost to the Customer, for the duration of the Head Agreement Term, for WAPHCUs that may seek to assess the sitespecific suitability of a Product prior to any potential Order. Failure to provide the applicable Product/s for demonstration or trial may eliminate the Product/s from consideration for purchase. KEY PERFORMANCE INDICATORS During the term of the Contract term, suppliers must comply with the service levels established within the Request and Head Agreement in relation to: i) Timeliness and completeness of delivery; ii) Consistency with quality of product; iii) Continuity of supply; and iv) Training. Periodic reviews of the suppliers’ performance will be conducted by the Contract Manager and the Contract Management Group. The Department of Health shall be entitled to terminate the Contract if it determines that the supplier has failed to meet the performance criteria. Criteria to be used in measuring performance shall include but not be limited to:: i) Customer’s satisfaction (includes quality of product, availability, delivery performance (completeness and timeliness); accuracy of invoicing and fulfilment of customer orders, feedback via Contractors performance review forms etc; ii) Contract savings based against the current contract pricing structure; iii) The successful Respondent/s’ ability to service the Head Agreement including provision of training and education, in-service and support; iv) Awareness of market/product changes; v) Timely provision of contract information and reports to the Contract Authority; vi) Complaint resolution: (includes Contractor’s responsiveness to complaints and/or issues arising from either product and/or performance based notifications); and vii) Meeting the contract terms and conditions. Clinician satisfaction with the Products provided by the surveys shall be rated as satisfactory or better on any surveys conducted by the Contract Manager and / or the Contract Management Group. All Product or supplier related issues shall be reported to Health Corporate Network who will investigate the issue and work towards a resolution. CONTRACT SERVICE LEVELS During the term of the Contract, the Contractor must comply with the service levels established within the Request and contract in relation to: Timeliness and completeness of delivery; Consistency with the quality of the product; Continuity of supply; Product shelf life; and Training. The Contractor must accurately record and maintain records of all purchases made through the Contract, regardless of the method of purchase and report these purchases to the Contract Authority in an Buyers Guide Page 56 of 106 BUYERS GUIDE HCNS331713 electronic spreadsheet format that is compatible with Microsoft Excel (MS Excel 98 at minimum) or as agreed upon by both parties.
