Section 1 — General Overview
1.1
BACKGROUND AND PURPOSE OF THE RFP
1. Butler Technology and Career Development Schools Overview
Butler Technology and Career Development Schools, a.k.a. Butler Tech, serve both
youth and adult students. Our mission is to develop a lifelong learner with marketable
skills and knowledge by providing premier career-technical and academic
experiences.
2. Purpose of RFP
Butler Tech is soliciting proposals in connection with Butler Tech’s upgrade of its
existing Video Surveillance System at the locations set forth in Section 2. You are
invited to submit a proposal for furnishing all labor, supervision, equipment and
material necessary for completing this upgrade.
3. RFP Addenda
In the event that modifications or additions to the RFP become necessary, all who
attend the Mandatory Pre-submission Meeting and submit an intent to offer a
proposal will be notified in writing.
4. Proposal Preparation Costs
The Contractor will absorb all costs incurred in the preparation and presentation of
the proposal.
5. Supporting Documentation
All sales, supporting materials, and other documentation submitted with the Proposal
will become the property of Butler Tech unless stated otherwise in the Proposal at
the time of submission.
6. Firm Prices and Terms
Proposals (including pricing) may not be withdrawn for a period of 90 days
following the opening of the Proposals. Prices MUST also be free of federal,
state, and local taxes unless otherwise imposed by a governmental body and
applicable to the material on the Proposal.

AWARD OF CONTRACT
Once the proposals are received, Butler Tech will evaluate the statements and may
hold discussions with individual firms to explore further the firm’s statements of
qualification, the scope and nature of the services the firm would provide, and the
various technical approaches the firm would take toward the project.
Butler Tech will negotiate a contract with the firm ranked most qualified to perform
the required services. Acceptance of all contracts and terms are subject to final
approval by Butler Tech Board of Education.
Butler Tech may cancel this Request for Proposals or reject all proposals at any time
prior to an award, and is not required to furnish a statement of the reason why a
particular proposal was deemed to be most advantageous.
The award document will be a contract incorporating by reference all the
requirements, terms and conditions of the solicitation and the Contactor proposal as
negotiated.

RFP SCHEDULE
This schedule outlines the major activities that will occur during this RFP process
and the critical due dates. Any changes in deadlines will be communicated to all
Contractors in writing. Any request for extension in deadline must be made in writing
via e-mail. Granting of the extension is at the discretion of Butler Tech. Butler Tech
reserves the right to disqualify any Contractor who does not comply with these

Section 3 — DESCRIPTION OF SCOPE
3.1
Scope of Proposal
Butler Technology Career and Development Schools has an existing Video
Surveillance System with equipment located on Multiple Campuses. It is the intent
of this project to upgrade the components of this system to a consistent equipment
and operational standard. Listed below are the campuses involved:

Butler Tech has conducted a preliminary survey of the existing Video Surveillance
System and determined that specific equipment will fulfill its current and future needs.
This equipment list is provided as a basis of design for bidding purposes. Equipment
bid shall be that listed or equal. Final equipment location to be coordinated with Butler
Tech prior to installation. This equipment is listed by campus in Section 4.1 Form of
Proposal. The proposing Contractors are encouraged to make recommendations as
to opportunities for improving the overall system performance or capabilities. These
suggestions should be provided in writing with the proposal (see Section 3.5
Substitution Sheets and Section 6 – Contractor Attachments).
In addition the selected contractor may be asked to provide Butler Tech with written
suggestions as to how to improve Butler Tech’s Video Surveillance System. These
suggestions should comply with accepted industry standards and best practices, as

well as provide recommendations for innovation and improvement both to specific
equipment, systems, methods and overall approach to video surveillance. Should
Butler Tech choose to implement these suggested the contractor will be asked to
provide a quote for additional fees necessary to carry out the new services or
procedures.
3.2
General Conditions
Butler Tech reserves the right to reject any or all proposals, in whole or in part, with
or without cause, even if all the stated requirements are met. At the sole discretion of
Butler Tech, vendor presentations may be requested prior to the award of the
contract. Butler Tech may also request the opportunity to conduct an on-site review
of the Contractor’s facility and/or other locations where these services may be
provided.
The following General Conditions and Requirements shall apply to all Submitted
Proposals:
1.
Pricing Format: List prices for all items as follows:
 Individually (each item)
 Total for groups of items
 Total per Add alternate
 Grand total for RFP
2.
Existing Conditions: The contractor is cautioned to familiarize themselves
thoroughly with the RFP and to examine carefully the sites of the proposed
work. The submittal of a proposal will be construed as acknowledgement that
the contractor fully and thoroughly understands the conditions and difficulties
of the work and the requirements and provisions of the RFP.
3.
Definitions of “Owner” and “Contractor”: “Owner” shall mean the Board of
Education of Butler Tech, Hamilton, Ohio. “Contractor” shall mean any person,
firm, or company contracting to furnish materials, equipment, or labor under
this contract.
4.
Contract Awards: Butler Tech reserves the right to accept or reject any and
all, or part of any and all Proposals. Butler Tech reserves the right to make
contract awards to the Proposal or Proposal whose item or items are, in the
opinion of Butler Tech, best suited for use in Butler Tech’s school program and
best value for the amount expended.
5.
Interpretation of RFP: If anyone contemplating submitting a proposal is in
doubt as to the intent of any part of the RFP, they may submit a written request
to Butler Tech for an interpretation thereof. The person submitting the request
shall be responsible for its prompt delivery and no such request will be
considered if received within five days of the time set for receiving proposals.

Any interpretation of the proposal document will be made only by an
Addendum duly issued, and a copy of such Addendum will be mailed or
delivered to each person receiving a set of such documents. Butler Tech will
not be responsible for any other explanation or interpretation of the
documents.
6.
“Or Equal” Clause: The specific article, material, or equipment mentioned in
the specifications shall be understood as indicating the type, function,
minimum standard of design, efficiency and quality desired and shall not be
construed to mean the exclusion of manufacturer’s products of comparable
quality, design, function, and efficiency. Only Tier 1 equipment will be
considered as equal.
7.
Substitute Proposals: Contractor may submit Proposals on substitutes for the
article specified or it’s equal, provided the Proposal is entered on the Proposal
form entitled “Substitution Sheet” and is entered with the information required.
8.
Delivery: Delivery shall be made in accordance with the shipping instructions
of Butler Tech. The Contractor shall notify the carrier that Butler Tech must be
contacted 48 hours in advance of the date of arrival. The Contractor must
assume the responsibility for all shipping arrangements including unloading.
No deliveries shall be made on Saturdays, Sundays, holidays or before 8:00
a.m. or after 4:00 p.m. without the consent of Butler Tech.
9.
Invoicing: No charge, in addition to the contract price, shall be made by the
Contractor for any service supplied in providing the equipment, materials, or
labor as specified. Invoicing will be submitted monthly for 9 months April to
December.
10.
Inspection: Final inspection shall be made after delivery, uncrating, or
unpacking of materials or equipment, at the site. In case of rejection of any
item that fails to meet contract requirements as to quality, etc., or due to
damage in transit or faulty packaging, the Contractor shall promptly remove
such rejected or damaged goods and have them replaced with goods equal to
and packed in accordance with the contract requirements. The Contractor is
responsible for any additional costs due to freight, damages or other charges.
11.
Payment: If the Contractor proceeds to properly perform the contract, Butler
Tech shall pay by check through accounts payable.
12.
Patents: The Contractor shall hold and save Butler Tech and its officers,
agents, and employees harmless from liability of any nature or kind, including
cost and expense, for, or on account of, any patent or un-patented invention,
process article, appliance or appliances manufactured or used in the
performance of the contract, including its use by Butler Tech, unless otherwise
specifically stipulated in the Documents.

13.
Delays and Default: In case of default of the contract, Butler Tech reserves
the right to terminate the contract and to purchase similar services, equipment,
furnishings, etc., on the open market, or secure the manufacture and delivery
by contract or otherwise, charging against the Contractor any excess cost
incurred by Butler Tech.
If the Contractor refuses to deliver or fails to use such diligence in delivering
materials or equipment as will insure the delivery of the materials or equipment
within the time specified in Paragraph 9, or any extension thereof, or fails to
deliver said material or equipment within such time, Butler Tech may by written
notice to the Contractor terminate the Contractor’s right to proceed with the
further delivery of material or equipment.
Provided that the right of the Contractor to proceed shall not be terminated
because of any delays in the completion of the work due to unforeseeable
causes beyond the control and without the fault or negligence of the
Contractor, including, but not restricted to, acts of God, or public enemy, acts
of Butler Tech, acts of another, fire, flood, epidemics, quarantine restrictions,
strikes, freight embargos, and unusually severe weather, or delays of
subcontractors due to such causes, the Contractor shall within ten (10) days
from the beginning of such delay (unless Butler Tech shall have granted a
further period of time prior to the date of final settlement of the contract) notify
Butler Tech in writing of the delay and extend the time for completing the work
when in its judgment the findings of fact justify such an extension.
Butler Tech shall review the facts and extent of delay, and Butler Tech’s finding
of facts hereon shall be final and conclusive of the parties hereto.
14.
Addendum: Any addendum issued during the time of accepting Proposals
shall be covered in the proposal and become part of the contract thereof.
15.
Precautions in Preparing Proposals: The Proposal should take the following
precautions in preparing their proposal:
 Sign the proposal
 Make sure the proposal is on the blank forms furnished, without change,
alteration or addition.
 Make sure the proposal is sealed in an envelope and plainly marked
Proposal on the outside identifying the work being Proposed.
 Make sure the attachments to the proposal concerning equal employment
opportunity information and certification are completely filled out and
signed.
16.
Successful proposals: All successful Contractors who are corporate bodies
shall furnish, at the time of the execution of the contract, a resolution of the

Directors of the corporation bearing the seal of the corporation, evidencing
authority of the officer signing the contract to do so; likewise, agent of bonding
companies shall furnish power of attorney, bearing seal of the company,
evidencing such agent’s authority to execute the particular type of bond to be
furnished. A copy of these proofs shall be attached to each copy of the
contract. Successful Proposal is reminded of the 100% Performance Bond
which is required.
17.
Documents Requested of Successful Contractor: Within seven (7) days of
notice of award of contract, the successful Contractor’s must furnish to Owner
one (1) copy each of the following:



Worker’s Compensation Certificate
Evidence of comprehensive or commercial liability insurance coverage
List of subcontractors and material suppliers proposed for principal
portions of work
18.
When Award Effectual: No contract between Butler Tech and Contractor shall
be deemed to exist until a fully executed copy thereof has been delivered to
the Contractor or his duly authorized agent or representative.
19.
Laws and Regulations: All applicable laws, ordinances, and the rules and
regulations of all authorities having jurisdiction over the construction of the
projects shall apply to the contracts throughout, and they shall be deemed to
be included in the contracts the same as though herein written out in full.
20.
Equal Employment Opportunity: Contractors are to sign and return the Special
Notice to Proposal immediately following this section. The attached statement
must be returned with the Proposal Document.
21.
Health and Safety Standards: All Contractor’s must comply with and conform
to all OSHA specifications and regulations. Contractor is totally responsible for
all equipment, supplies and employees working on Butler Tech. property.
22.
Proposal Prices and Contract Prices: Under the laws of the State of Ohio, we
cannot accept any escalator clauses or time of delivery quotations. Proposal
prices are firm prices for the designated item if contracted within the specified
time.
23.
Permits, Codes, and Standards: All material and workmanship shall meet
applicable provisions of state and local codes, ordinances, and regulations
governing the work. The contractor shall secure and pay for all notices,
permits, and inspections required under applicable codes and regulations,
including final certificates of approval.

3.3
Preliminary Site Inspection: All those submitting proposals are to inspect the
existing site prior to submitting a proposal and assume full responsibility for
visual observation of existing conditions.
Delivery and Installation
All Proposal amounts must include all necessary costs for labor, materials, and
equipment for the delivery, set-up, and installation of all the equipment contained in
this proposal to make the equipment function as outlined in this proposal. This
includes overseeing the delivery of all items required to complete the work associated
with the assembly and installation of all equipment and services related to this
proposal. Further it is required that the Contractor oversees the installation of all such
equipment to ensure that it complies with manufactures recommendations in order to
maintain all warranty requirements.
3.4
Performance Measures
Butler Tech measures performance by surveying students, staff and stakeholders.
Successful performance by the contractor awarded this contract will be measured in
the same manner and is expected to achieve a 4.0 out of a possible 5.0 maximum
score.

Pricing Qualified Vendor.
Non-Discrimination (Section 153.591, Ohio Revised Code and the Governor’s
Executive Order dated January 27, 1972)
As a condition to the awarding of a contract under this RFP, Contractor must
submit a Notice of Non-Discrimination in the form attached hereto as Appendix
B.
4.4
Delinquent Personal Property Tax Statement
As a condition to the awarding of a contract under this RFP, Contractor must
submit a Delinquent Personal Property Tax Statement in the form attached
hereto as C. O.R.C. Section 5719.042 specifically provides that:: After the award
by a taxing district of any contract led by competitive Proposal and prior to the time
the contract is entered into, the person making a Proposal shall submit to Butler
Tech’s Fiscal Officer a statement affirmed under oath that the person with whom the
contract is to be made was not charged at the time the Proposal was submitted with
any delinquent Personal Property Taxes on the general tax list of Personal Property
of any County in which taxing district has territory or that such person was charged
with delinquent Personal Property Taxes on any such tax list, in which case
delinquent taxes and any due and unpaid penalties and interest thereon. If the
statement indicates that the taxpayer was charged with any such taxes, a copy of the
statement shall be transmitted by the Fiscal Officer to the County Treasurer within
thirty days of the date it is submitted.

All Proposals shall be based upon the equipment list provided in Section 4.1 Form of
Proposal.
Contractors desiring to make substitutions for equipment specified shall list such
proposed substitutions below, together with the amount to be added or subtracted from
the base Proposal amount.
For each proposed substitution attach written explanation for recommended
substitutions, complete catalog cuts, performance data, and other descriptive data with
the proposal. Any proposed substitutions not accompanied by such information will not
be considered.
Butler Tech or its’ representative reserves the right to judge the equality of any
substitution to the specified items.
