NSTIP-SA/E Service Agreement This agreement is made as of __/__/20__ between King Fahd University of Petroleum and Minerals (KFUPM) P. O. Box 5083, Dhahran 31261, Saudi Arabia, Tel: +966 3 8603232, Email: nstp@kfupm.edu.sa, hereinafter referred to as “KFUPM “or “the first party” and (“insert supplier name and address”) , hereinafter referred to as “the Company” or “the second party” and jointly referred to as The purpose of this agreement is to perfom the following research service(s)/test(s) to KFUPM “Service Name(s)” 1. Obligations 3.1. The experimental work/service will be performed by the Company as described in the approved quotation with reasonable skill and care. The results will be delivered in a form of a report stating the outcomes and work done. 3.2. A fine (which does not exceed 10 % of the equipment cost) will be imposed , in the event of delay in performing the experimental work/service or submitting the final report. 3.3. The second party may not waive or abandon any section of this contract only after receiving a written approval from the First Party. 3.4. The second party shall provide the original invoice which indicates the total cost as stated in the original approved quotation after performing the experimental work/service. 4. Payment Payment will be delivered by KFUPM to the company as follows: Full payment of an amount of (# SR XXXX #) after the final report has been received (along with the original invoice), and accepted as per the terms and conditions stated in the attached approved quotation. 5. Publication The results and data obtained through this study by the parties shall be the sole 2 NSTIP-SA/E property of KFUPM. KFUPM maintains the right to publish this work and results in anyway it likes. 6. Confidentiality “Confidential information” includes all types of scientific, technical, operational or commercial information, data or experience exchanged between the Parties and marked confidential (hereinafter referred to as Confidential Information). The Confidential information which the parties receive from each other may only be used within the scope of the project Purpose. The parties are obligated to keep all Confidential Information received during the project duration in order for this information not being brought to the attention of the unauthorized third parties. The Parties shall ensure that all persons involved with the project are subject to the confidential obligation as the parties themselves. The confidentiality obligation does not include confidential information which At the time of receipt of the information has been published or in some other way made available to the general public; After the receipt has been published or in some other way made available to the general public without this owing to the recipient’s disregard of the confidentiality obligation; Already at the time of receipt was lawfully in the possession of the receiving party without being subject to confidentiality restrictions; Has been received by a third party who appeared to be lawfully entitled to pass on the information; Subsequently has been developed separate from the Project by the receiving Party, or Is or will be comprised by laws or regulations, public law rulings, decisions, orders etc., ordering the receiving Party to pass on information wholly or in part. 7. Rights 3 NSTIP-SA/E KFUPM maintains all intellectual property rights related to information, including confidential information, exchanged under this Agreement and maintain the rights to all results of own previous work and work generated under this Agreement, including the right to take out a patent. 8. Duration This agreement takes effect when signed by the parties and is effective until __/__/20__ as stated in the terms and conditions stated in the attached approved quotation. 9. Disputes The agreement shall be constructed and enforced in accordance with the laws and regulations of Kingdom of Saudi Arabia. Any dispute arising between the parties which can not be settled amicably, shall be finally and exclusively resolved through the Grievance Board of the Kingdom of Saudi Arabia in accordance with the local laws.
