Explanations
The information has to be filled in only electronically. For each notifiable person or company a separate
notification has to be submitted. In case questions arise concerning the use of the Standard Form, it is
recommended to contact BaFin timely.
Part A of the Standard Form contains the information which has to be published by the listed company
(issuer) whereas Part B contains neccessary information for BaFin and the listed company which is not
subject to publication.
When indicated it is recommended to provide BaFin with an organisation chart together with the
notification(s).

The completed form (page 1 and 2) is to be sent to BaFin and the listed company via fax or via mail;
disclosure via e-mail does not comply with the legal provisions.

Section 41 para. 4d WpHG does not implement a separate notification obligation for (financial/other) instruments
pursuant to section 25 WpHG. Nonetheless, due to aggregation with voting rights held pursuant to section 25a WpHG
a notification pursuant to section 41 para. 4d WpHG requires (in case of aggregation) to specify the individual
holdings pursuant to section 25 WpHG and/or sections 21, 22 WpHG as well. This also applies to (financial/other)
instruments pursuant to section 25 WpHG (in the version before 1st February 2012) that already have been notified in
the past.

In case the space provided in the form should not be sufficient, please use a separate appendix to list the complete
chain of controlled undertakings and/or the complete list of (financial/other) instruments and send it together with the
notification.

Only applicable in cases of indirect holdings, i.e. if the (financial/other) instruments are being held by one or more
subsidiaries of the notifying party. If so, please enter the names of all controlled subsidiaries through which the
(financial/other) instruments are held (chain of controlled undertakings).
