TERMS & CONDITIONS FOR THE SUPPLIES
1.0
Price Basis
The rates quoted are FIRM, till completion of the order and are on Ex-works
Surajpur (Uttar Pradesh) basis. Material will be dispatched by approved Road
Transporter on Freight to pay, against Consignee Copy basis.
We would prefer to dispatch the material by M/s. Associated Road Carriers Ltd.
or by M/s Transport Corporation of India. Kindly convey your acceptance of the
same
2.0
Taxes & Duties
2.1
Excise Duty
Extra as applicable at the time of dispatch against Challan-cum-Invoice.
Currently it is 10% + 3% Education CESS on Excise Duty, as per recent Budget.

"As you are aware, Value Added System of taxation (VAT) has been introduced
in lieu of existing sales tax laws by the respective State Governments with effect
from 1.4.2005, as a result of which existing sales tax rate structure may undergo
changes. Please note that notwithstanding any other conditions/stipulations
regarding Sales Tax, any new and/or additional levy on any of the transactions
covered under this quotation/offer/order/contract arising out of new VAT
legislation will be to purchaser's account and any additional burden of the same
shall be reimbursed by you to us at actuals."
2.4
If any fresh taxes/duties are levied after the date of submission of the offer or the
existing rates are enhanced by any enactment, modification, amendments etc. by
the Central/State Govts., the same shall be reimbursed by you at actuals.
3.0
Packing & Forwarding Charges: Extra @2% on basic quoted rates.
4.0
Transit Insurance
To be arranged by you. We shall be intimating the dispatch details to you over
telex or by way of a letter.
5.0
Validity Period
Our offer is valid up to 60 Days and thereafter on our written confirmation.
6.0
Terms of Payment
Payment to be released within 15 Days from the date of receipt of material at site,
by way of a Demand Draft, payable at New Delhi or a Delhi Bank Cheque.
7.0
Discount:
It is @ 10 % (Ten Percent only) on the basic prices. While placing order on us,
please show the discounted value of each item. As per the latest Central Excise
Rules, which has come into effect from 01.07.2000, we have to show the
discounted value of the individual items in the Challan-cum-Invoice or
otherwise, the Excise Duty shall be charged on the discounted value also.
8.0
Delivery Period
It is within 30-45 days from the date of receipt of your technically and
commercially clear purchase order. However, we shall try our best to deliver the
same at the earliest.
9.0
Way Bill
We request you to please forward Road Permit Form (Way Bill) along with
Purchase Order.
10.0
Force Majeure
If at any time during the continuance of the contract, the performance of any
obligation under the contract, in whole or in part, shall be prevented or delayed,
by either party, by reason of any war, hostility, acts of the public enemy, civil
commotion, sabotage, fire, floods, earth quakes, explosions, epidemics,
quarantine restrictions, strikes lockouts, etc. acts of God (hereinafter referred to
as `the event') provided notice of happening of any such event is given by either
party to the other within 15 days from the date of occurrence thereof, neither
party shall, by reason of any such event, be entitled to terminate the contract nor
shall either party have any claim for damages against the other in respect of such
non-performance or delay in performance. The work under the contract shall be
resumed as soon as practicable after the event has come to an end or ceased to
exist and a suitable extension of the delivery/ completion period shall be
allowed by the purchaser, depending upon the nature of the event.
