Grand Paradise Club™ Terms and Conditions of Membership Advantage Services (AS) is the Service Provider for the products and services offered by this Grand Paradise Club Membership. The relationship between AS and the Grand Paradise Club Member is governed by the Grand Paradise Club Terms & Conditions of Membership (the membership agreement). AS is located at P.O. Box 35076, Las Vegas, NV 89133-5076, Phone: 877-304-4604 (US/ Canada), 01-800-681-1524 (Mexico), 702-304-4604 (Direct dial), Email: service@GrandParadiseClub. com. Member website: www.GrandParadiseClub.com. DEFINITIONS: Certain terms have special meaning. The following definitions are provided for your reference. • Grand Paradise Club Member (“Member”): A person who executes a Grand Paradise Club Enrollment Application, pays all required fees for Membership, and is accepted for enrollment by AS. • Member’s Guest: Any persons accompanying a Member on a Reservation, or authorized by a Member to receive Reservations and/or services through a Grand Paradise Club Membership NOT named as a Member on that Grand Paradise Club Membership. 3. Paradise Weeks Overview: a. Paradise Weeks are Resort Weeks that can be purchased On-Line, by phone, or by email. When viewing Paradise Weeks On-Line, the checkout date for the Weeks listed are normally 7-nights after the listed Start Date (or Check-In Date). The price quoted represents the price for the entire 7-night-stay (a “Week”) regardless of your occupancy. Since Standard prices are NOT based on occupancy, your savings can be very impressive. To calculate your per-person, per-night cost, divide the weekly price by 7-nights, then by the number of guests. For example: A 2bedroom size unit listed for $650 is $15.48 per-person per-night ($650 ÷ 7-nights ÷ 6-people)! Prices listed will normally INCLUDE room tax. Some resorts require additional fees for the use of certain amenities and services (i.e. Utility Surcharge, equipment rentals, extra towel service, extra housekeeping service, Security Deposit, etc.), which are collected at the Host Resort and are the guest’s responsibility. All Paradise Weeks are LODGING-ONLY sales and do not include transportation, gratuities, etc. • Enrollment Fee: A one-time fee required to enroll as a Grand Paradise Club Member. b. In the event a Resort Week is located at an ALL-INCLUSIVE MANDATORY resort, this will be disclosed in advance of purchase with the applicable details. All-Inclusive resorts require a mandatory prepurchase of an All-Inclusive package, which is normally inclusive of meals, beverages, activities, etc. and is payable to the Resort upon check-in, normally charged as a per-person per-night rate. • Annual Dues: A small administrative fee required annually to continue as a Grand Paradise Club Member (payable each year on the anniversary date of enrollment). c. Housekeeping service during Resort Weeks may occur weekly; therefore a daily housekeeping service is not always provided with Resort Week accommodations. • Resort Weeks: Paradise Week, Fast Week or Vacation Exchange lodging accommodations consisting of seven (7) nights and eight (8) days. Unlike traditional Hotel accommodations Resort Week accommodations are located primarily at Vacation Ownership properties and/or condominium properties. d. Paradise Week Reservation Fee: Paradise Week Reservation Fees average $650 (US funds). It is not possible to guarantee that every Paradise Week will be $650. This wholesale fee may vary slightly higher or lower. No Paradise Week is confirmed without the Member’s approval. All fees are subject to change. Paradise Week pricing is set at wholesale rates exclusive to Members. • Participant: Any person requesting to utilize any product or service offered through the Grand Paradise Club Membership. • Paradise Weeks™: pricing. Resort Week accommodations available to Members at special wholesale • Fast Weeks™: Close check-in Resort Weeks (within 60-days of check-in) available to Members at special wholesale pricing. Fast Weeks are primarily unused Paradise Weeks further discounted as they approach check-in, therefore availability will vary. • Reservation: The purchase of transportation, accommodations, ticketing, travel packages, events, or other services through AS and/or an AS Host Provider. • Reservation Fee (Service Fee): The fee paid for the purpose of securing a Reservation. • Reservation Confirmation: confirmed. A written acknowledgment advising that a Reservation has been • Host Provider: Any entity that provides a service to a Member as the result of a Reservation booked through the Grand Paradise Club Membership (i.e. Cruise, Hotel, Resort Week, Tour, Airfare, Sporting Event. etc.). • Host Resort: A resort at which a Member or a Member’s Guest has received a Reservation Confirmation. • Home Resort: program. A resort at which a Member owns, or is a member of, a Vacation Ownership • Season (or Seasonality): The desirability of a particular geographic area, at a particular time of the year. AS Season ratings are “High Season” (Highest demand), “Mid Season” (less desirable than High Season but more desirable than Low Season), and “Low Season” (less desirable than High and Mid Season). • Destination Choices: The geographic areas that can be requested for Resort Week Reservations. • Marketing Entity: The entity authorized to enroll Grand Paradise Club Members. • Term: A period of time in which a Member is entitled to Grand Paradise Club services. • Vacation Ownership: Vacation Ownership is a term used to describe the ownership (or membership) in a system governing the sale and management of specific occupancy rights (time periods) whereby its members (or owners) have purchased the right to use specific resort (or home) vacation lodging accommodations. The term Vacation Ownership includes Timeshare ownership, Point System ownership, Deeded ownership, Leasehold ownership, Right-To-Use ownership, Undivided Interest ownership, Perpetual ownership, Vacation Club ownership, Vacation Home ownership and Fractional ownership. For a Vacation Ownership system to be recognized by AS, it must be inclusive of a system of property management, property maintenance and a reservation system capable of assigning (and reassigning) occupancy in 7-night-stay time periods. • Vacation Exchange: A Vacation Exchange is a process whereby the owner of an interest in vacation accommodations (Vacation Ownership) may relinquish the use (occupancy rights) of their owned time period in return for the use of vacation accommodations (not owned by them) at another time and/or place. Vacation Exchanges are governed by “Terms and Conditions of the Grand Paradise Club Exchange Program”. 1. Member Status: To receive service, you must be a Member in good standing. A Member in good standing is a Member that has paid all fees required to enroll, has been accepted by AS as a Member, and whose Membership has not been frozen, suspended or cancelled. a. A Grand Paradise Club Membership can be revoked for any of the following reasons: (A) A Member fails to pay any monies owed to the Marketing Entity for enrollment. (B) A Member or Member’s Guest fails to pay any monies owed to AS or a method of payment cannot be secured by AS (e.g. bounced checks, stop payment on check, Credit Card charge-backs, etc.). (C) A Member or Member’s Guest causes damage or theft at any Host Resort or Host Provider accommodations. (D) A Member or Member’s Guest fails to abide by any Host Resort or Host Provider rules. (E) A Member or Member’s Guest fails to comply with any AS program and/or Membership Terms and Conditions. (F) A Member or Member’s Guest alters a Reservation Confirmation or other AS/Host Provider document. (G) In some instances, when a Member fails to comply with the terms & conditions of a lodging week issued by the Marketing Entity (independent of this Grand Paradise Club). (H) A Member or Member’s Guest behaves in a manner that is abusive and/or disruptive to a Host Provider staff/business, or AS staff/business. (I) A Member engages in any activity that is damaging to the Marketing Entity and/or AS. (J) A Member breaches the Password Security Protocol for accessing the Grand Paradise Club Members-only websites. b. When a Membership is canceled by the Member or revoked by AS, the ONLY monies the Member is entitled to, is a refund of monies previously paid to AS for a cancelable Reservation (less cancellation fees if applicable). In the event any money is owed to AS, those monies will be deducted from any refund due. In the event a terminated Membership has Redeemable Credits in their Credit Account, the Member shall receive the cash value of those Credits by company check (less any monies owed to AS, if any). In the event a terminated Membership has Pending Credits in their Credit Account, those Credits shall be Retracted and will not convert to Redeemable Credits. A Member whose Membership has been terminated, may be reinstated at the sole discretion of AS. A reinstatement fee may be required. Reinstatement of a Membership shall not reinstate any Retracted Credits. c. This Membership can be transferred (change name on Membership) only after receiving approval from AS through a properly submitted Membership Transfer Application. A transfer fee will be required. Members cannot sell this Membership. AS may transfer its Membership service obligations at any time. 2. Non-Ownership: This Grand Paradise Club Membership is a separate and distinct contract from a contract with the seller of a Vacation Ownership/Membership plan. The Marketing Entity offering this Membership and all Host Resorts and Host Providers associated with any Reservations through this Membership, and any other third-party product or service provider each operate as Independent Contractors and there are no agent relationships between AS and any such entity. AS assumes no responsibility for any claim or loss incurred or sustained in connection with any Member’s ownership of, or participation in, a Vacation Ownership/Membership unit or Vacation Ownership/Membership program. Any actions by any Independent Contractors or AS in the promotion of the other, including without limitation Internet links between websites, is provided only as a convenience. 4. Reservation Request Forms: Reservation Request Forms can be used when a Member desires to submit a Resort Week request by mail. They may also include a listing of the geographic areas (“Destination Choices”) available for Resort Week requests. All Terms and Conditions of Reservation Request Forms are also Terms and Conditions of Membership and are incorporated herein by reference. 5. Availability: a. All Reservations are on a space available basis, which will vary according to desirability (Seasonality, holiday-time, special event times, etc.), supply and demand, size, location and advance notice. Telephone requests are always welcome and can result in an immediate Reservation. b. Resort Week availability will not perform as hotel room availability performs. Resort Weeks are very exclusive and less available than hotel rooms and must be requested in 7-night-stays only, normally running Saturday-Saturday. For best results, Members should observe the normal flexibility guidelines essential to any Resort Week lodging request. These guidelines define a “Properly Submitted Request” and will result in the greatest chances of a successful match. A Properly Submitted Request consists of the following guidelines: i ADVANCE NOTICE: Proper advance notice is 3-months for standard requests and 9-months or more for high demand requests. AS welcomes last-minute requests, however, the chances of a successful match may be reduced. ii FLEXIBILITY: The more alternatives you provide in terms of Vacation Time Periods and Destination Choices, the better your chances of a successful match. A Properly Submitted Request includes three (3) location choices and three (3) date choices. Location flexibility is defined as requesting different geographic areas (i.e. Cancun, Acapulco, Mazatlan, etc.). Date flexibility is defined as requesting different weeks (e.g. 10/12-10/19 or 10/19-10/26). Requesting dates such as “10/12-10/19 or 10/13-10/20” is not considered date flexibility. Host Resort weekly Time Periods must be confirmed honoring the designated check-in day established by that resort (i.e. some resorts run Sat-Sat, Sun-Sun, Thurs-Thurs, Fri-Fri, etc.). iii DESTINATION CHOICES: Resort Week locations must be selected by choosing from the designated “Destination Choices”. Members select from the geographic areas listed within the Destination Choices (i.e. Cancun, Acapulco, Mazatlan, etc.) and are offered the available resort(s) within those areas. Destination Choices are listed within the Advantage Services Reservation Request Forms, and can also be viewed by visiting www.GrandParadiseClub. com. Once an offer is made, the resort can be viewed by using the appropriate Resort Profile prior to accepting an offer. Members can request areas outside our designated Destination Choices, however the chances of a successful match may be reduced. iv 3-3-3 Rule: The easiest way to remember the above guidelines is to remember the “3-3-3 Rule”. 3-Months Advance Notice, 3-Location Choices and 3-Date Choices. Again, high-demand time periods should be requested 9-months or more in advance. 6. Reservation Confirmation/Travel Documents: Once AS has secured your payment for a Reservation, AS and/or a Host Provider will provide Travel Documents (by email, fax, or mail). Travel Documents (i.e. Confirmation Letters, Boarding Passes, etc.) include important information such as check-in/check-out times, travel dates, confirmation numbers, guest names, and additional Terms and Conditions. Travel Documents must be presented when traveling. Replacement of lost Travel Documents may require a fee. 7. Representations: AS provides specific Reservation information for Reservations Confirmed through AS. These reference sources include Grand Paradise Club website content, AS issued Resort Profiles, etc. All Host Provider accommodations and amenities are subject to change without notice and AS is not responsible for any such changes. AS shall not be responsible for any independent representations not provided by AS. 8. Discounts: This Grand Paradise Club GUARANTEES (in writing) the best pricing on most of its services. Virtually every purchase made through this Grand Paradise Club will result in a savings compared to any retail means of purchasing the same (apples-to-apples) Reservation. In most cases the Grand Paradise Club offer will actually identify the savings amount prior to your purchase. The savings amount identified is the savings as of the time of purchase compared to the most popular best-price retail sellers. The savings amount identified is approximate, however Members are guaranteed to receive the best rates (lower than the lowest possible retail rates) pursuant to the applicable written Lowest Price Guarantee. All Grand Paradise Club Lowest Price Guarantees can be viewed on the Grand Paradise Club website. 9. Credits: Paradise Credits are issued to Members in two ways: a. Purchases: Some services offered by AS will be offered with a DOLLAR DISCOUNT, and that discount amount will be deducted from the actual amount paid for that service (i.e. Paradise Week, Fast Week, etc.). Other services offered by AS will be discounted by issuing Paradise CREDITS (i.e. On-Line Hotel purchases or On-Line Cruise purchases). When a Member makes a purchase that results in Credits being issued, the number of Credits being issued is identified prior to finalizing the purchase. After the purchase, these Credits are deposited into the Member’s Credit Account as “Pending Credits”. Once the travel dates associated with the Pending Credits (i.e. Hotel stay or Cruise) have passed without modification, the associated Credits change from “Pending” to “Redeemable”, subject to AS’ receipt of the associated commissions from the Host Provider. b. Week Conversions: Credits are issued to Members as the result of a Credit Conversion when a Member CONVERTS their Vacation Ownership Home Resort week to Paradise CREDITS. Week conversions to Credits is voluntary and on a case-per-case basis (e.g. converting 1-week to Credits will only convert one 7-night-stay and will not automatically convert future occupancy rights associated with that ownership/membership). Credit Conversions are governed by the Terms & Condition of Credit Conversion. Grand Paradise Club™ Terms and Conditions of Membership Redeemable Credits may be redeemed for Cash and/or Travel at a conversion rate of one dollar ($1.00) per Credit. To redeem Redeemable Credits, Members simply visit the Grand Paradise Club website and select Credit Redemption. Members may have Credits “Retracted” when the travel (or Week Conversion) associated with the earned Credits is modified or canceled. Members can view their Credit Account at any time by visiting the Grand Paradise Club website (www. GrandParadiseClub.com). 10. Additional References: Some services included with your Membership (e.g. On-Line purchases, Exchange Program, Credit System, etc.) have additional terms and conditions associated with their use. Terms and conditions of all programs are incorporated herein. Grand Paradise Club Terms and Conditions of Membership, fees, and all products and services offered by AS and Host Providers are subject to change at any time without notice. Members should refer to the Grand Paradise Club website for the most current terms and conditions of all associated products and services. 11. Authorized Users: Use of the Grand Paradise Club Membership, access to the Grand Paradise Club website and all Grand Paradise Club special rates are RESTRICTED to Grand Paradise Club Members ONLY. You may make purchases on behalf of friends and family, and you may indicate additional “Authorized Users” that are entitled to use your Membership by phone, HOWEVER, you must NOT issue your website password to others. We reserve the right to refuse business to any person for any reason whatsoever. All entities utilizing this Membership, including without limitation Member’s Guests and Authorized Users are subject to the Grand Paradise Club Terms and Conditions of Membership. Members are responsible for all activity under their Membership, including the actions of their Guests and Authorized Users. 12. Password Security Protocol: The Grand Paradise Club website contains information specific to each Member and is password protected accordingly. AS will issue a temporary password to the Members named on the Grand Paradise Club Enrollment Application. Upon first login, the website requires the temporary password be changed to a unique and private password. Members are responsible for the safe and confidential storage of their website passwords and are responsible for all activities conducted utilizing their unique passwords. 13. Technology a. Members in good standing shall have password access to the Grand Paradise Club Website 24hours per day, subject to reasonable downtime for maintenance and other causes outside the control of AS. b. Members acknowledge that AS is the sole owner of AS/Grand Paradise Club Technology and AS may also contract for certain additional information technology services, including, without limitation, central reservation systems, independent website hosting, secure Credit Card processing gateway, etc. (collectively “IT”). Such IT providers are referred to as AS “Licensors”. Members acknowledge that the IT is the intellectual property of AS. Members shall not directly or indirectly disclose, copy, transfer or allow third-party access to any of the IT, and shall not utilize any of the IT for any purpose other than as authorized herein. c. AS rights in and to the IT shall not be disclosed, made available, sold, assigned, subleased, sublicensed, conveyed, remarked or transferred to any person, firm or corporation, whether in whole or in part by duplication, modified version, or otherwise, without prior written approval of AS and its Licensors. d. The IT is subject to protection of intellectual property laws of the United States of America and all other jurisdictions and was created, compiled, prepared, selected and arranged by AS and/ or its Licensors through the expenditure of substantial effort and resources. The IT constitutes valuable property of AS and/or its Licensors. e. Members acknowledge and agree that AS and its Licensors make no representations, warranties or guarantees whatsoever with respect to the IT, its fitness, condition, or the results to be obtained from its use. AS and its Licensors specifically disclaim any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall AS and/or its Licensors be liable for any damages of any kind, including, but not limited to, direct, special, indirect, punitive, or consequential damages that may arise at any time or from time to time in respect of any IT, software, program or system, even if AS and/or its Licensors have been advised of the possibility of such damages. Members specifically agree that neither AS nor any of its Licensors shall be liable for lost profits, lost business revenue, failure to realize savings, lost data, data input errors, or other data related claims, or other commercial or economic loss of any kind. f. This Technology provision shall confer a third party beneficiary right of action upon AS Licensors to enforce the terms set forth herein regarding AS Licensors’ IT. 14. Cancellation/Change/Refund Policy: As a Wholesaler, we do not service the general public. This WHOLESALE-DIRECT relationship does not allow cancellations as found when paying the inflated rates in the “Retail” market. a. Reservations purchased electronically (On-Line) shall be considered CONFIRMED (purchased) upon the user selecting the purchase, entering their Credit Card information into the Internet Credit Card payment gateway, and selecting to complete the transaction (i.e. “continue”, “confirm”, “finish”, “purchase”, etc.). On-Line purchases shall NOT (normally) be cancelable or refundable. In the event Advantage Services (AS) allows a cancellation of an On-Line purchase, the On-Line “Processing Fee” (when applicable) remains nonrefundable and a Cancellation Fee may be required. Cancellations for Reservations purchased electronically are at AS’ sole discretion. b. Reservations NOT purchased electronically (i.e. Reservations purchased by phone, fax, or email) shall be considered CONFIRMED (purchased) when the Reservation is offered and accepted, even when payment remains pending. Reservations made directly through AS (not booked OnLine) shall NOT (normally) be cancelable or refundable. In the event AS allows a cancellation, a Cancellation Fee may be required. Cancellations for Reservations NOT purchased On-Line are at AS’ sole discretion. c. ALL Reservations i. Cancellation Fees: In the event a cancellation is possible, the Cancellation Fee for a cancelled Resort Week Lodging Reservation is typically equivalent to a 1-night-stay. The Cancellation Fee for all other Reservations (Hotels, Cruises, Tour Packages, etc.) will vary and may include an AS Cancellation Fee and also a Host Provider Cancellation Fee. ii. Reservation Changes: Most Reservations cannot be changed (accommodation change, itinerary change, etc.) once they have been Confirmed. Name Changes are permitted for Paradise Week and Fast Week Reservations for a Name Change Fee. The possibility of Name Changes for other travel Reservations (i.e. Hotels, Cruises, Tour Packages, etc.) and their associated fees will vary on a case-per-case basis. iii. Lost Reservations Without Refund: Any loss of a Reservation due to a Member’s or Member’s Guest’s failure to comply with the term/conditions of a Reservation, including without limitation occupancy limits, personal identification requirements, international travel requirements, travel documents, Host Provider rules/policies, etc. shall be lost without any refund or other consideration. AS has no responsibility or liability whatsoever for Reservations lost due to any circumstances beyond AS’ control, including without limitation acts of nature (e.g. tropical storm, earthquake, etc.), wars, riots, upheavals, or labor disputes. iv. Travel Insurance: In every case when a Reservation cannot be cancelled, there ARE NO REFUNDS FOR ANY REASONS WHATSOEVER, INCLUDING NON-USE OF THE RESERVATION. Due to these wholesale-direct Cancellation/Change/Refund policies, it is STRONGLY RECOMMENDED THAT YOU PURCHASE TRAVEL INSURANCE through AS at the time of your Reservation (when available). v. Collections: In the event AS is unable to collect any monies owed as required, and in addition to all other remedies available, AS reserves the right to cancel other paid Reservations made under the Member’s account (if any) to the extent necessary to recover the unpaid Reservation and a Cancellation Fee. vi. Charge Identification: When making payment by Credit Card, the charge to the Credit Card will show as a charge from “Advantage Services”. Please make note of this to avoid a frivolous charge-back due to your failure to recognize this charge on the Credit Card statement. Charge-backs and other frivolous Credit Card challenges can result in termination of your Membership, legal action, collections and credit rating marks. vii. Policy Disclosure: All purchases made through AS and/or Host Providers are made under the terms and conditions of the AS Cancellation/Change/Refund Policy. AS Cancellation/ Change/Refund Policy shall apply regardless of any conflict in policy between that stated by AS and the associated Host Provider. The AS Cancellation/Change/Refund Policy and any associated fees may change at any time without notice. Changes will not apply to Reservations purchased prior to such changes. 15. Liability: Utilization of any products and/or services through AS is the user’s express understanding that AS’ liability and responsibility hereunder is limited to the Service Fee paid directly to AS by the user for the specific AS service provided. AS is not liable for any loss, injury, or damage to persons or property for any reasons whatsoever arising hereunder, including without limitation any use or nonuse of this Membership, any technology, travel services or other services provided by AS or any Host Provider, or any others. AS, without limitation will not be held responsible for telephone costs, taxi fares, etc. incurred while traveling through this Membership. Some accommodations require additional fees for the use of certain amenities and facilities. These fees are determined and collected at the Host Provider and may include occupancy taxes, key/security/damage/amenity deposits, etc., and are the guests’ responsibility. In the event a guest encounters a problem with any Reservations, the guest must contact AS immediately. If voice mail is reached, a message must be left in the emergency box with a contact number. AS is in constant contact with this service for after hours and weekend messages. AS reserves the right to correct any problems prior to any Member or Member’s Guest securing alternative accommodations and/or incurring additional costs. AS declines financial responsibility for any expense incurred without prior authorization from AS. If any accommodations or facilities become unavailable due to any circumstances beyond AS’ control, including without limitation acts of nature (e.g. tropical storm, earthquake, etc.), wars, riots, upheavals, or labor disputes, AS may attempt to arrange alternative accommodations, but has no liability or obligation to do so. Travel insurance is strongly recommended. Host accommodation amenities may change and AS assumes no responsibility or liability for any such changes. Any tax liability, including disclosure, connected with the receipt or use of this Membership is the Member’s responsibility. Members acknowledge that AS is an independent company, which is solely responsible for the content and fulfillment of the services promised by AS, however, once a reservation is confirmed through AS, all services provided by the applicable Host Provider are the responsibility of that Host Provider. Furthermore, Members acknowledge that the authorized Marketing Entity responsible for enrolling the Member into this Grand Paradise Club Membership is not responsible for the services “as promised” within these Grand Paradise Club Terms and Conditions of Membership; therefore, any claim related to the promises made herein, must be submitted directly to AS. AS assumes no responsibility for any promises, oral or written, beyond what is contained within the AS-issued and AS-printed materials, the official Grand Paradise Club Enrollment Application, and the official Grand Paradise Club website (www.GrandPardiseClub. com). Members are responsible for the actions of their Guests. 16. Annual Dues: Annual Dues are required to maintain this Membership “in good standing”. AS Annual Dues are the lowest in the industry for the services we provide. Annual Dues are payable to “Advantage Services” each year throughout the Membership Term and are due on or before the anniversary date of Membership enrollment. A reminder is sent to the physical address and/or email address on the account each year, however failure to receive a reminder does not waive a Member’s requirement to pay dues. A Member who fails to pay their Annual Dues, and at AS’ sole discretion, shall be subject to one or more of the following: (a) Have their Membership privileges permanently revoked, (b) Have their Membership privileges frozen or suspended pending payment of past due amount plus a late fee, (c) Have their Membership privileges reduced to limited services until such time as their Annual Dues have been paid, (d) Loss of all AS Certificate, coupon, or other Credit privileges, rendering all unredeemed AS Certificates, coupons, or Pending Credits null and void, (e) A Reinstatement Fee to reinstate their Grand Paradise Club Membership, (f) Modified Membership benefits upon reinstatement (i.e. higher Annual Dues rate, etc.), (g) Loss of Exchange Credits. 17. Term: Your Enrollment Application identifies the length of your Grand Paradise Club Membership (i.e. 10-years, etc.). The Grand Paradise Club Membership “Term” will expire on the anniversary date of enrollment accordingly. When a Member has been given a specific number of Paradise Weeks to be used within this “Term” (e.g. five Paradise Weeks within a 10-year Membership Term), the Member has 10-years to use those five Paradise Weeks. In the event the Member uses all five Paradise Weeks prior to the expiration of their Membership Term, all other Grand Paradise Club services (i.e. Fast Weeks, discount cruises, discount hotels, etc.) continue until the Membership Term expires (in this example, 10-years). At the end of this Term, all services are terminated. 18. Renewals: A Member whose Term has expired may be permitted to renew at AS’ discretion. A renewal fee may be required. 19. Trade Names: “Advantage Services”, “Grand Paradise Club” (and design), “Paradise Weeks”, “Fast Weeks”, the Grand Paradise Club website (and design) and its content, and other trademarks used by AS or its parent/subsidiary/affiliated companies, are trademarks and/or the confidential and intellectual property of AS and may not be copied or otherwise used in any manner whatsoever without prior written authorization from AS. Other trade names such as Marriott, Hilton, Carnival Cruise Lines, Royal Caribbean Cruise Lines, etc., are the registered trademarks of their respective owners. All rights reserved. 20. Governing Law: This Membership agreement is made in the state of Nevada and shall in all respects be governed by and construed in accordance with the laws of that state. Any and all suits for any and every breach of this Membership agreement shall be instituted and maintained in the courts of Clark County, Nevada and all parties hereby consent to the jurisdiction thereof. 21. Waiver: No waiver by AS of any breach or default by any Member (including a Member’s Guest, or Authorized User) of any term or condition of this Membership shall be deemed a waiver of any other breach or default (whether prior or subsequent thereto) of the same or any other term or condition of this Membership. 22. Attorney Fees: In the event litigation results from or arises out of this Membership agreement or the performance thereof, the parties agree to reimburse the prevailing party’s reasonable attorney’s fees, court costs, and all other expenses, whether or not taxable by the court as costs, in addition to any other relief to which the prevailing party may be entitled. 23. Right To Terminate: If at any time, and for any reason, you are dissatisfied with this Grand Paradise Club Membership, you may immediately terminate this Membership. If you fail to comply with the Terms and Conditions of this Membership, this Membership may be terminated by AS. Membership termination does not release you from your contractual obligations with your Marketing Entity. Upon cancellation of this Membership, future Annual Dues associated with this Membership are no longer required.
