VICTORIA CO-OPERATIVE SOCIETIES SEVENTH ANNUAL REPORT OF THE REGISTRAR The Honorable the Treasurer of Victoria:~ This report, which is submitted pursuant to section 92 of the Co-operation Act 1958 (No. 6225), covers the financial year ended 30th .June, 1961. A statistical summary of the operations of societies to the close of the ;rear under review is presented in the supplement to the report. LEGISLATION AND REGULATIONS. An amending Act (No. 6749), particulars of which are set out hereunder, was assented to on the 18th April, ] 961 :~ SECTION 1.~-eited the Act as the Co-operation (Atnendrnent) Act 1961. SECTION 2.~-amended section 30 (2) of the Principal Act which limited the membership of a society to persons of not less than eighteen years of age and to any other society registered under the Act which had power to acquire shares in the society. The amendment provided for an extension of membership to: (a) any society registered under the Friendly Societies Act 1958 or any previous corresponding enactment ; and (b) any society registered under the Industrial and Provident Societies Act H)28 or any company incorporated under the Cornpan£es Act 1938 but subject to the society or company being certified to by the Registrar of Co-operative Societies as being substantially co-operative in character. The main reasons for this amendment were :(a) to enable friendly societies to provide further benefits for their members; and (b) to permit co-operative companies conducting butter factories, but registered under either of the two other Acts, to fulfil an expressed desire to take up shares in societies formed under the Co-operation Act for the purpose of engaging in the artificial breeding of cattle. The reason for stipulating the Industrial and Provident Societies Act 1928 and the Companies Act 1938, thereby not recognizing either Acts of 1958, was that since August, Hl54, when the Co-operation Act came into force, societies or companies of a co-operative character had the opportunity of being registered under the Co-operation Act. SECTIO~ 3.-amended section 36 (8) (i) of the Principal Act by deleting the words "in the case of a trading society '' which had been inadvertently inserted. Section 36 (8) sets out the circumstances in which a person shall cease to be a member of a society. Paragraph (i) provided that he would 4 cease to be a member. in the case of a trading society, \Vhere the amount paid up on his shares was repaid to him or otherwise satisfied in accordance with the rules of the society. As the repayment of share capital or similar satisfaction automatically ceases membership irrespective of the kind of society, restricting the provision to trading societies was erroneous. 8ECTION 4.-repealed section 81 of the Principal Act thus enabling the Registrar to dissolve defunct societies in the same manner as defunct companies are dissolved by the Hegistrar of Companies. Section 81 required the lodgment with the Hegistrar of a certificate of disposal of a society's property before a society could be dissolved and the registration cancelled. As, invariably, the society had been abandoned, requests by the Hegistrar for the required certificate were ignored. 'l'he procedure under the Companies Act provides adequate safegnards for both members and creditors. SECTION 5.-increased the aggregate liability. \Vhich the Treasurer may incur in guaranteeing the repayment of loans raised by societies, from £500,000 to £2,000,000. (Section ~6 (1) of Principal Act.) No new Regulations were made during the year. CO-OPERATIVE SOCIETIES ADVISORY COUNCIL. There was no change in the membership of the Council during the year, the members being Hegistrar of Co-operative Societies, ex officio Chairman ; Mr. vV. H. Breen, Dip. Comm .. Treasury Hepresentative; Mr. J. J. Lynch, LL.B., Parliamentary Draftsman; and The Honorable L. G. Norman. Chartered Accountant. The principal matters dealt with hy the ( 'onn<'il included amendments to the Act. and applications for Government guarantee~!. During the year, a credit society requested the Council to reconsider a decision reached in 1955 not to recommend Government guarantees for that kind of society. The Council gave the matter further consideration but saw no reason to alter its earlier decision. As previously, the Council took the view that a credit society should operate mainly on money received on deposit rather than on a loan from a bank or other lending institution. ASSISTANCE TO SOCIETIES. Officers of the Registry continued to assist people in forming societies by helping in the drafting of rules and prospectuses and, in many instances, attending the formation meetings. Societies' secretaries were also assisted in the setting up of the records. ANNUAL RETURNS. Generally speaking, the annual returns were again well presented but more attention could be given by some of the societies to the preparation of these returns. Queries raised mainly related to the observance of provisions of the Act, the Regulations thereunder and the societies' rules. As in previous years, considerable difficulty was experieneed in obtaining many of the returns. Even when this report went to the printer, twelve societies had not lodged their returns despite a number of reminders. When my report for the year ended 30th June, 1960, went to the printer, four societies had not furnished their annual returns. These were eventually received, the last one being lodged on the 26th J nne, 1961, approximately twelve months after the close of the society's financial year. SOCIETIES' RECORDS. The Hegistry' s inspectorial branch suffered again during the year from changes in staffa problem :vh~ch was accentuated by in(:reased. requests ~ro~n people requiring assistance to form soCieties. As a result, only four mspectwns of societies records were made-three of which took place while the inspectors were in districts making inspections of co-operative housing societies' records. The standard of the books and records inspected was reported to be satisfactory. 5 REGISTRATION OF DOCUMENTS. The Act provides for the registration of documents of various kinds relating to the formation, administration and operations of societies. During the year under review, 200 documents were registered. GENERAL REMARKS. Public interest in the Co-operation Act was maintained during the period under review, so much so that, the number of societies registered, namely 5B, was the highest for any year. Nine of eleven producers societies registered during the year were formed in country districts for the purpose of fostering the artificial breeding of dairy cattle. Amongst the trading societies registered were two formed for the purpose of providing text books for student.:;. Another society was set up to engage in the manufacture and distribution of superphosphate with headquarters at Portland. One community settlement society was registered. It had an option on land in a country town which it intended to subdivide into building blocks with provision for a convalescent hospital for members of a friendly society. The greatest increase in registration:> took place amongst community advancement societies of which there were 24. 1\Iost of those societies were formed to provide sporting facilities, assembly halls, tuck shops and other amenities at sclwols. An innovation during the year was the formation of a community advancement society as a service company to provide the community services for a block of stratum title flats. The number of credit societies increased by eighteen. It can be said that the co-operative movement made steady progress during the year and that it continued to provide service to the people of the State. K 'I'.
