It is the mission of the GBWA to provide leadership,
promote the general welfare, and advance the interest
of the wholesale beer industry in Georgia in accordance
with the highest ethical standards. GBWA will promote
the responsible consumption of beer and develop
programs to benefit all members.

In February 1996, the GBWA established a scholarship fund to provide financial assistance to
deserving students at public institutions of higher learning within the state of Georgia.
Eligibility & Qualifications
Recipients of a Georgia Beer Wholesalers Association scholarship must be Georgia residents and full-time students. Assistance is
awarded on the basis of financial need, academic achievement, and community involvement. Three Georgia schools are chosen
each year by random drawing. The recipients are selected by the financial aid office of the institutions.
How Can You Help?
Contributions to the fund can be made through memorials, honorariums, and other special gifts. All contributions are tax
deductible. If you would like to contribute to the scholarship fund, please contact the GBWA office at (404) 231-4292.

BYLAWS
Article I
The purposes of this Association shall be:
Name
(a) To promote the general welfare and advance the interest of the
wholesale beer industry in Georgia; to promote business standards
and practices which enable its members to operate with the greatest
economy and efficiency in accordance with the highest ethical
standards.
The name of the Association shall be Georgia Beer Wholesalers
Association, Inc.
Article II
Location
The offices of the association shall be located at such place in
Georgia as the Board of Directors designates.
Article III
Purpose
The Association shall have no capital and shall not be operated for
pecuniary gain or profit.
(b) To support and protect the three-tier system of beer distribution
in Georgia and a regulatory environment under which the principles
of competition, economic freedom and opportunity may flourish;
to support and protect the Twenty-first Amendment to the
Constitution of the United States which provides for broad powers
to states to regulate the alcohol beverage industry within their
boundaries.
(c) To cooperate with other businesses, industries and organizations;
to foster and promote policies and programs designed to stimulate
the further growth and progress of independent beer wholesalers
and their allied industries and trades.
(d) To encourage moderation by the public in the use of malt
beverages.

(e) To promote fellowship among the members of the malt beverage
industry.
(f) To engage in any other lawful activities which promote the
general purposes of the Association consistent with the public
interest as well as the interest of the Association and its members.
Article IV
Membership
Membership in the Association shall consist of four classes: active,
affiliate, associate, and honorary members, which are defined as
follows:
(a) Active. Any individual, firm, partnership or corporation duly
licensed as a wholesale dealer of malt beverages under the laws of
the State of Georgia is eligible to become an active member of the
Association, provided their primary business is the sale of malt
beverages at wholesale, or whose volume of beer shipments for
the previous twelve months exceeds twenty thousand barrels or
equivalent thereof.

of the Association. Affiliate members may not hold office in the
Association but may be elected to the Board of Directors.
(c) Associate. Any individual, firm, or corporation engaged in
the manufacture or importation of malt beverages or in the
manufacture or sale of products or services used by members of the
wholesale beer industry is eligible to become an associate member of
the Association, upon written application and payment of dues, and
meeting such qualifications as the Board of Directors may from time
to time prescribe.
(d) Honorary. Honorary membership may be conferred on any
person of acknowledged eminence and/or to a member of long
standing who is retired from the industry by a majority vote of
the active members present at any annual meeting, or by the
majority vote of the directors present at any meeting of the Board of
Directors.
(e) The Board of Directors may establish policies to further clarify
who is eligible for membership.
(b) Affiliate. Any individual, firm, partnership or corporation

Article V
Voting
(a) The right to vote and hold office shall be limited to active
wholesaler members only.
(b) Each active wholesaler member shall appoint a representative
who shall have the right to vote, hold office and otherwise
represent the wholesaler in all proceedings of the Association. If
the representative is unable to attend a meeting he may appoint an
alternate to attend in his absence. The alternate shall have the right
to vote but shall not be eligible to be elected to office.
Article VI
Termination of Membership
(a) Resignation. Membership in the Association may be terminated
by death or voluntary resignation, in which event the Board of
Directors shall be notified at its next succeeding meeting. Voluntary
resignation shall be effective upon fulfillment of all obligations

for the fiscal year in which such termination takes place. The right
to vote and all other rights in the Association shall cease upon
termination of membership.
(b) Termination For Cause. The members of the Association, as a
condition of their affiliation, shall agree to conduct their affairs in
strict conformity with the Georgia Malt Beverage Act and with the
highest standards of business ethics. Membership of an individual,
firm or corporation may be terminated or suspended for any acts
in violation of the law, business ethics or the best interests of the
Association. Such termination or suspension shall be effected by
a two-thirds vote of the full membership of the Board; provided,
however, that the offending party shall have been notified by the
Executive Director in writing by registered mail at least 15 days
in advance of the meeting of the Board called for the purpose of
considering his offense and shall have been given an opportunity to
appear before the Board in person or by a representative to defend
his action. The Board shall also instruct the Executive Director to
notify the State Revenue Commissioner of such action, provided the
offense falls within the jurisdiction of his department.

Article VII
Geographical Division
The active members of the Association may form such local
organizations and engage in such activities as may be appropriate.
These activities, however, shall in no way conflict with the general
purposes of the Association or with its bylaws.
Article VIII
Dues
(a) Active and Affiliate Members. In order to carry on the work of
the Association, all active and affiliate members shall be assessed
dues payable monthly. The amount of each member’s assessment
shall be based on the volume of his receipts of malt beverages for
the preceding month. The scale of payments shall be recommended
by the Board of Directors and approved by the members of the
Association at any regular or special meeting or by written ballot
pursuant to the Georgia Non-Profit Corporations Code.

of the Board he may, without further notice, be dropped from
membership in the association.
(b) Associate Members. Associate members shall pay a stated
amount each year to be determined from time to time by the Board
of Directors.
(c) Honorary Members. Honorary members shall not be liable for
the payment of dues or assessments.
Article IX
Special Assessments
Special or emergency assessments may be levied at any time by
a majority vote of the Board of Directors and approved by the
members of the Association at any regular or special meeting or by
written ballot pursuant to the Georgia Non-Profit Corporations
Code.
Active and affiliate members who fail to pay assessments within 30
days of the invoiced date shall be considered to be delinquent and
shall be so notified by the Executive Director. At the end of the next

Article X
Meetings
(a) Annual Meeting. The Association shall hold an annual meeting
each year unless ordered otherwise by the Board of Directors for
the purpose of electing a new Board, receiving annual reports and
transacting other business. The Executive Director shall send a
notice of the meeting to each member at least 15 days in advance.
(b) Mid-Year Meeting. The Association may hold a mid-year
meeting each year in conjunction with the legislative session of the
Georgia General Assembly. The Executive Director shall send a
notice of the meeting to each active and affiliate member at least 15
days in advance.
(c) Special Meetings. Special meetings of the Association may be
called by the President or by a majority of the Board of Directors at
any time. Notices of special meetings shall be sent out in the manner
prescribed for the annual meeting.
(d) Quorum. A majority of the active members of the Association
present at any regularly convened meeting shall constitute a quorum

and shall be capable of transacting any business except as may be
otherwise provided by these bylaws.
(e) Order of Business. The rules contained in Roberts Rules of
Order, latest revised edition, shall govern the Association in all cases
to which they are applicable, and in which they are not in conflict
with these bylaws.
Article XI
Board of Directors
(a) The Board of Directors shall consist of the Immediate Past
President, the Officers and eight Directors. The Directors shall
be elected by ballot for one year terms at the annual meeting of
the Association. A Director may be elected for a maximum of five
consecutive years and may be reelected following at least one year’s
absence from the Board. Provided, however, that an exception to this
term limitation may be granted to any Director who is in the usual
Officer progression, such that an additional term would be required
for such Director to serve in that capacity. After completion of his
term, the Immediate Past President shall come off the Board, but
may be reelected as a Director following at least one year’s absence
from the Board.

(b) The management of the business and finances and all other
affairs of the Association and the determination of policies shall be
vested in the Board.
Article XII
(c) A regular meeting of the Board of Directors shall be held
immediately preceding each annual meeting of the Association. A
meeting of the newly elected Board of Directors shall be held within
ninety days following the annual meeting.
(a) The officers of the Association shall consist of a President, First
Vice President, Second Vice President, Treasurer, and Executive
Director. All of these officers shall be members of the Board of
Directors. Officers shall be eligible for reelection except that the
President’s term shall be limited to two consecutive terms.
(d) Special meetings of the Board of Directors may be called by the
President, or by the Executive Director upon written application by
three members of the Board. In each case five days written notice
to the members of the Board in advance of the meeting shall be
required.
(e) A majority of the Board shall constitute a quorum unless
otherwise provided.
(f) The NBWA State Director from Georgia shall serve as ex-officio
member of the Board of Directors, without the right to vote.
(g) Any vacancies that may occur on the Board by reason of death,
resignation, or otherwise, shall be filled by the Board for the
unexpired term.

Officers
(b) The President shall be the chief executive officer of the
Association and shall preside at meetings of the Association, the
Board of Directors, and the Executive Committee. He shall be
empowered to appoint the members of all standing committees
unless otherwise provided. By virtue of his office the President shall
be a member of all committees, except the nominating committee,
with the right to vote. At meetings of the Association, the Board
of Directors and the Executive Committee, he shall make such
recommendations as he deems appropriate in carrying out the
functions of chief executive officer. He shall perform any other
duties which may be assigned to him by the Board.

(c) In the absence of the President, the First Vice President shall
perform the duties of President, or in the absence of the First Vice
President, the Second Vice President shall perform the duties of
President. In the case of the death, resignation or inability to act of
the President, the First Vice President, or in his absence the Second
Vice President, shall act in the capacity of President until the next
annual meeting of the Association.
(d) The Treasurer shall keep an account of all funds received by
the Association and shall make disbursement authorized by the
Board. All funds received shall be deposited in the bank or banks
designated by the Executive Committee. A monthly statement of
income and expenses shall be prepared and sent to the Board of
Directors and all books of account and other financial records
shall be made available at any time for inspection by the Executive
Committee. At the expiration of his term the Treasurer shall turn
over to his successor all funds, records and other properties of the
Association in his possession. The Treasurer may delegate part of his
duties to the Executive Director, but shall remain accountable to the
Association as if no delegation occurred.

(e) The Executive Director shall be employed by the Board to
perform such services as are assigned by the Board of Directors
and the Executive Committee. The Executive Director shall act as
Secretary and keep the official records of the Association including
the minutes of the Board meetings. The Executive Director shall
be retained on a year-to-year basis at a rate of compensation to be
determined annually by the Board. The Executive Director shall be a
non-voting member ex-officio of all Association committees.
Article XIII
Standing Committees
(a) The Executive Committee shall consist of the President, who
shall serve as Chairman and preside at meetings; the Immediate
Past President; and the officers of the Association, who shall serve
as members. The NBWA State Director shall serve as an ex-officio
member of the Executive Committee, without the right to vote.
The Executive Committee shall be responsible for the management
of the Association’s affairs in the interim periods between Board
meetings. Four members shall constitute a quorum. The Executive
Committee shall prepare and submit regular reports to the Board,

and prepare and submit to the Board a proposed budget for the
following year’s expenditures. The Executive Committee shall
make or have made each year an audit of the Association’s books of
account by a public accountant.
(e) Site Selection Committee. The Site Selection Committee shall be
responsible for reviewing potential sites at which the annual meeting
of the Association shall be held and recommending sites to the
Board for consideration.
(b) Nominating Committee. At least ten days before an annual
meeting, the President shall appoint a nominating committee of five
members who shall select nominees for officers and membership
on the Board of Directors. The Nominating Committee shall notify
the Executive Director in writing at least five days before the annual
meeting of the names of the individuals thus chosen. Nominations
may also be made from the floor at the annual meeting provided the
consent of the nominees has been obtained in advance.
(f) Additional committees may be appointed by the President from
time to time as circumstances require.
(c) Governmental Affairs Committee. The Governmental Affairs
Committee shall be charged with organizing and implementing the
Association’s efforts concerning governmental and regulatory issues.
Fiscal
(d) Finance Committee. The Finance Committee shall be
responsible for receiving, reviewing and approving the budget
prepared by the Executive Committee, making appropriate
recommendations to the Board of Directors and generally overseeing
the financial condition and investment plan of the Association.

(g) All members of standing committees shall be appointed to
serve during the term of the President, but shall be eligible for
reappointment from year to year.
Article XIV
(a) The fiscal year of the Association shall be the calendar year,
namely January 1 through December 31.
(b) Any two of the following shall be authorized to sign checks
drawn on any bank account or accounts of the Association: the
Treasurer, the Executive Director, and any officers or agents the
Board of Directors designates for that purpose.

(c) The Board of Directors shall have the power to designate the
officers and agents who shall have authority to enter into any
contract or execute any instrument on behalf of the Association.
(d) Officers and staff of the Association shall furnish, at the
discretion of the Board of Directors, fidelity bonds in such amounts
as may be determined by the Board. These fidelity bonds shall be
obtained at the expense of the Association.
Article XV
Seal
The Association, upon its incorporation, shall adopt a corporate seal
which may reproduce the insignia adopted by the Board of Directors
and shall contain the corporate name of the Association.
Article XVI
Association. The Association shall be liable to the same extent as a
business corporation; that is, only the assets of the Association in
the possession of its duly constituted officers shall be liable for the
obligations, torts or debts of the Association.
Article XVII
Amendments
The bylaws may be amended or altered by the affirmative vote
of three-quarters of the members entitled to vote as provided for
herein, at any regular or special meeting of the Association if notice
of the proposed alteration or amendment be contained in the notice
of the meeting or by written ballot pursuant to the Georgia NonProfit Corporations Code.
Article XVIII
Dissolution of Association
Liability For Debts
No officer, member, agent or employee of the Association shall be
liable to any extent whatever for any obligation, tort or debt of the

Should the Georgia Beer Wholesalers Association, Inc., be dissolved
for any reason, the funds then on hand, after payment of all lawful
debts of the Association, shall be returned to the then present,

active members of the Association, prorated in accordance with the
amount of dues paid by each present active member during the three
calendar years prior to the dissolution of the Association.
Article XIX
Indemnification and Insurance
(a) Indemnification. In the event that any person who was or is
a party to or is threatened to be made a party to any threatened,
pending or completed action, suit or proceeding, whether civil,
criminal, administrative or investigative, seeks indemnification
from the Association against expenses, including attorneys’ fees
(and in the case of actions other than those by or in the right of
the Association, judgments, fines and amounts paid in settlement),
actually and reasonably incurred by him in connection with such
action, suit, or proceeding by reason of the fact that such person is
or was an officer, employee, trustee or agent of the Association, or is
or was serving at the request of the Association in any representative
capacity, then, unless such indemnification is ordered by a court, the
Board of Directors shall determine, or cause to be determined, in
the manner provided under Georgia law, whether or not the person
claiming such indemnification shall be indemnified to the fullest
extent now or hereafter permitted by Georgia law. Personal liability
of all Officers and Directors of the Association to the Association

for monetary damages for breach of duty of care or other duty as
an Officer or Director is hereby eliminated to the extent allowed by
Official Code of Georgia Annotated §14-3-202(b)(4) of the Georgia
Nonprofit Corporation Code or any successor statute.
(b) Indemnification Not Exclusive of Other Rights. The
indemnification provided in Paragraph (a) above shall not be
deemed exclusive of any other rights to which those seeking
indemnification may be entitled under the Articles of Incorporation
or bylaws, or any agreement or vote of members or disinterested
Directors, or otherwise, both as to action in his official capacity and
as to action in another capacity while holding such office, and shall
continue as to a person who has ceased to be an officer, employee,
trustee, or agent, and shall inure to the benefit of the heirs,
executors, and administrators of such a person.
(c) Insurance. To the extent permitted by Georgia law, the
Association may purchase and maintain insurance on behalf of any
person who is or was an officer, employee, trustee or agent of the
Association, or is or was serving at the request of the Association as
a officer, employee, trustee or agent of another corporation domestic
or foreign, nonprofit or for profit, partnership, joint venture, trust or
other enterprise.
