- PROS AND CONS OF DIFFERENT BUSINESS STRUCTURES &
RECENT CHANGES TO COMPANIES ACT (BREIFLY) Limited Exempt Private Company
Pros:
1. Generally the liabilities of the shareholders are limited to the amount of paid up capital. [Assuming no uncalled
share capital!]
2. Better image since limited companies are governed by an elaborate Companies Act unlike other business structures.
3. Newly formed companies can enjoy tax exemption granted by local tax authority up to $100K of taxable income
from YA 2005 onwards. [Subject to certain conditions being met]
Cons:
1. Higher maintenance costs as compared to other business structures like LLPs and Sole proprietorship.
2. Generally it takes more time and money to close a company.
3. May need to be audited if Turnover is greater than $5 million.
4. Need to prepare Annual Report that is in compliance to Financial Reporting standards.
5. Directors may still be personally liable in certain exceptional cases.
Limited Liability Partnership (LLPs)
Pros:
1. One general partner with unlimited liability and passive partners with limited liability.
2. Need only to file solvency statement per calendar year.
3. Minimum compliance costs unlike a private limited companies. [No need to have Company Secretary and Annual
report prepared in accordance with FRS]
4. Generally, it can be closed or wound up more easily than a Company.
5. A preferred business structure by professional firms!
Cons:
General partner(s) has/have unlimited liability.
Some recent changes in the Companies Act (briefly)
1. Audit exemption for Exempt Private Companies with turnover of less than $5m. [Financial year/period starting 1
June, 2004]
2. Allow for one director and one shareholder Company.
3. No need to appoint a professional to act as company secretary.
4. Abolish the need for “catch all” object clauses as in the past! Company can now engage in all legal business
activities except those which require special licensing e.g. Money Changers, remittance, travel agents etc.
5. Abolish the concept of Par Value for shares.
6. Allow to give financial assistance and capital reduction with exceptions. [Subject to certain conditions]
