INSOLVENCY FUND DOMESTIC AGREEMENT
THIS AGREEMENT is made
BETWEEN:
(1)
EMPLOYEES COMPENSATION INSURER INSOLVENCY BUREAU, a
company limited by guarantee incorporated in Hong Kong under the Companies
Ordinance (Cap. 32 of the laws of Hong Kong) and having its registered office at 24/F
Prince’s Building, Central, Hong Kong ("ECIIB"); and
(2)
INSURERS WITHIN THE MEANING OF SECTION 3 OF THE
EMPLOYEES’ COMPENSATION ORDINANCE (Cap. 282 of the Laws of
Hong Kong) (each an "Insurer" and together the "Insurers"), being at the date of
this Agreement those insurance companies and Lloyd's Underwriters by or on behalf
of whom this Agreement is signed.
WHEREAS:
(A)
Currently, the Employees Compensation Assistance Fund established under the
Employees Compensation Assistance Ordinance (Cap. 365 of the Laws of Hong
Kong) may in the circumstances set out in that Ordinance make payments in respect
of the liabilities of Insurers that become insolvent.
(B)
The Employees Compensation Assistance Fund will cease to do so in respect of the
liabilities of Insurers that become insolvent on or after the Commencement Date (as
defined in the Insolvency Fund Agreement).
(C)
The Government of the Hong Kong Special Administrative Region and the ECIIB
have entered into an agreement dated 21 February 2003 (as amended from time to
time, the "Insolvency Fund Agreement") to establish a scheme (the "Insolvency
Fund Scheme").
(D)
Subject to the terms of the Insolvency Fund Agreement, the Insolvency Fund Scheme
will assume responsibility for the liabilities of Insurers that become insolvent on or
after the Commencement Date.
(E)
The Insurers and ECIIB wish to enter into this Agreement for the purpose of enabling
ECIIB to carry out its obligations under the Insolvency Fund Agreement.
NOW IT IS HEREBY AGREED as follows:
1.
INTERPRETATION
1.01
Unless the context requires otherwise, in this Agreement words and expressions shall
have the same meaning as in the Insolvency Fund Agreement.

1.02
2.
In this Agreement:
(a)
References to Clauses are to clauses of this Agreement;
(b)
Words importing the singular number include the plural number and vice
versa;
(c)
Words importing persons include firms, companies and corporations and vice
versa;
(d)
The recitals to this Agreement and the headings used in this Agreement are for
convenience only and should be ignored in construing this Agreement;
(e)
References to any statute, ordinance or regulation shall be construed as
references to that statute, ordinance or regulation as amended or re-enacted
from time to time.
OBLIGATIONS OF THE INSURERS
In consideration of the undertakings by ECIIB in Clause 3 each of the Insurers
severally hereby undertakes with each other of them severally, and separately with
ECIIB:

(a)
fully and promptly to pay contributions to ECIIB in accordance with clause 4
of the Insolvency Fund Agreement and otherwise to do all those things which
it is contemplated in the Insolvency Fund Agreement that it should as an
Insurer do, in all respects as if it had been party to the Insolvency Fund
Agreement and agreed to be bound thereby;
(b)
to remain a member of ECIIB until it ceases to be such a member in terms of
Article 5 of the Articles of Association of ECIIB; and
(c)
to be bound by this Agreement for so long as it remains a member of ECIIB
and thereafter in respect of obligations arising under this Agreement or under
the Insolvency Fund Agreement before it ceased to be a member of ECIIB.
OBLIGATIONS OF ECIIB
In consideration of the undertakings by the Insurers in Clause 2 ECIIB hereby
undertakes with each of the Insurers severally:
(a)
to establish and operate the Insolvency Fund Scheme as provided in the
Insolvency Fund Agreement; and
(b)
to make it a condition of membership of ECIIB that each applicant for
membership shall, forthwith on becoming a member, enter into a Deed of
undertaking in such form as the Council may determine from time to time
pursuant to which the applicant agrees, inter alia, to be bound by this
Agreement and to participate in the Insolvency Fund Scheme.

4.
CERTAIN RIGHTS UNAFFECTED
Nothing in this Agreement or in the Insolvency Fund Agreement shall affect any right
of an Insurer to any indemnity or contribution from another Insurer whether such right
arises at common law, by statute, from a claims sharing or other agreement, by
subrogation or by assignment of any relevant judgment and all such rights shall be
determined according to the facts and circumstances of each case without reference to
this Agreement.
5.
DISPUTES
5.01
Any dispute arising between ECIIB and one or more of the Insurers touching this
Agreement or the Insolvency Fund Agreement which cannot be settled by agreement
shall be referred to and determined by arbitration at the Hong Kong International
Arbitration Centre in accordance with its Domestic Arbitration Rules.
5.02
Any dispute arising between two or more of the Insurers arising out of or concerning
the application of this Agreement or the Insolvency Fund Agreement shall be referred
to and determined by arbitration at the Hong Kong International Arbitration Centre in
accordance with its Domestic Arbitration Rules.
6.
COUNTERPARTS
This Agreement may be executed in any number of counterparts, and as regards the
ECIIB and any one single Insurer, the two counterparts to which they are each a party
shall come into effect when duly executed and delivered by each of them, and shall be
deemed to be an original and when taken together those counterparts shall constitute
one and the same instrument.
7.
DELIVERY
7.01
This Agreement shall come into effect and be enforceable as between ECIIB and an
Insurer once ECIIB and that Insurer have both duly executed and delivered this
Agreement, notwithstanding that any other Insurer or Insurers may not as at that date
have executed and delivered this Agreement.
7.02
This Agreement shall come into effect and be enforceable as between an Insurer and
another Insurer once both such Insurers have duly executed and delivered this
Agreement, notwithstanding that any other Insurer or Insurers may not as at that date
have executed and delivered this Agreement.
8.
APPLICATION FOR MEMBERSHIP
The signing of this Agreement by or on behalf of an Insurer shall be deemed to be an
application for registration as a member of ECIIB if such application has not already
been made.

9.
AMENDMENT
This Agreement may only be amended by an instrument in writing executed by ECIIB
and all of the members of ECIIB.
10.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of
Hong Kong.
