Subject: Participation in NYP Marketing Services Centre (MSC) for “Puffs N
Tarts Delight” Pre-order event 2005
As per our discussions, we are pleased to propose the following co-operation guideline on
MSC’s marketing for “Puffs N Tarts Delight” Pre-order event 2005:
Proposed Co-operation Guidelines:
1.1
The items shall be transferred to Nanyang Polytechnic (NYP) based on our
consolidated sales orders that will be faxed to you on 11th April 2005.
1.2
The trade margins are shown in the table below:

1.3
Products made available for NYP’s marketing shall be transferred at a price not less
favourable than your offer to your other dealers. The trade margin given on average is
17.25% off the recommended retail price before GST from your pricelist. Blossoms
Cakehouse is a non GST-registered company.
1.4
NYP shall make payment within 30 days upon receipt of the original invoice for items
sold through interbank GIRO.

1.5
NYP shall be allowed the discretion to sell the products to its staff and students at a
discounted price.
1.6
NYP shall get total refund by means of cheque issued to “Nanyang Polytechnic’ from
Blossoms Cakehouse within 3 working days for non delivery of items on the agreed
date and time. MSC reserves the right to reject the delivery if Blossoms Cakehouse
failed to deliver on the agreed date and time. In addition, there will be a penalty charge
of 10% on the total confirmed sales orders due to MSC’s effort in co-ordinating the
whole event.
1.8
In the event, if the puffs and or tarts are smashed, spoilt, or the packaging is different
from the sampling or the A&P materials, Blossoms Cakehouse will refund or exchange
the items as per customer’s request.
1.9
In the event that either party wishes to end the co-operation, one month’s notice in
writing to the other party shall be given.
2.0
The delivery address is Nanyang Polytechnic, 180 Ang Mo Kio Ave 8, MSC
Bazaar, Blk B Level 1 B109, Singapore 569 830 (Carpark 06). All delivery charges
will be borne by supplier.
The items shall be delivered on 14th April 2005 based on each day’s consolidated
orders between 10.00am-10.30am.
2.1
All carriers/bags will be provided free of charge by supplier. Supplier is to provide
carriers/bags for at least 85% of the ordered sales quantity.
2.2
All products must be labelled clearly by Blossoms Cakehouse.
