Please join us for the first Boston NASPP Chapter meeting of 2012!

We are very lucky to have two presentations at our February meeting
First we will hear from Jennifer George and Laurie McCarthy:
Jennifer George, Partner at Orrick, Herrington & Sutcliffe and Laurie McCarthy, Global
Payroll & Equity Manager at Sensta Technologies, Inc. will present on International Tax
and Legal Updates/Issues for Global Employee Stock Program: What the rules are and
how companies are addressing these issues.
Our presentation will include information on all the latest tax and legal developments
including the tax changes in China, France, Ireland and Russia, exchange controls in
Venezuela, new securities law changes in Japan and more! The presentation will not only
include information on the changes, but also insight as to how companies are addressing
these changes, workarounds to the new rules and information on what companies should
be doing to keep current. Jennifer will also talk about global trends and changes coming
down the pipeline that companies should start to consider. And Laurie will share
information on Sensata's approach to changes and new developments in the global
employee stock plan environment.
Second we will hear from Emily Cervino, Matt Roberts, and an issuer yet to be
confirmed:
A Fresh Look: Employee Stock Purchase Plans
The humble ESPP doesn’t always grab headlines or dazzle the crowds, but with the most
recent installment to the GPS series from the Certified Equity Professional Institute
(CEPI), these historically underappreciated and under-served equity plans are getting a
new resource. Never excessive, always in the money, and scoring big points on expense
efficiency, the ESPP is a winning formula. This panel will address ESPP issues,
particularly those that can sneak up and cause trouble. Join Emily Cervino, CEP, CEPI,
Matt Roberts, CEP, Fidelity Stock Plan Services, and an issuer to be confirmed soon , for
a fresh and enlightening look at ESPP. With discussion including design concepts,
accounting perspectives, legal and administrative considerations, and gotchas, attendees
will leave this session with a new perspective on ESPP.
Emily Cervino, CEP, Executive Director, Certified Equity Professional Institute
As Executive Director of the Certified Equity Professional Institute (CEPI) at Santa
Clara University, Emily leverages her 15+ years of experience in the equity
compensation field to develop and promote the rigorous standards of the CEPI. Emily
coordinates program marketing and development to grow the CEP program and the
professional recognition. She also coordinates an extensive volunteer base in defining
course curriculum, test development, and standard setting to comply with the rigorous
certification standards. Under Emily's leadership, the CEPI launched a research agenda
focusing on risks and controls for equity compensation. Emily is a frequent speaker at
equity compensation events, including the NASPP, Global Equity Organization, the
NCEO, and, of course, the CEPI. Emily holds a BS from Santa Clara University and
obtained her CEP designation in 1998.
Matt Roberts, CEP, Vice President, Fidelity Investments
Mathew Roberts has worked in accounting, equity compensation and client services
throughout his eight year career, giving him a unique perspective in meeting the needs of
plan sponsors. In his current position as Vice President of Financial Reporting and Client
Analysis, Mr. Roberts is responsible for the development of financial reporting products
while managing the Fidelity Stock Plan Services Financial Reporting team. Prior to
working at Fidelity Investments, Mr. Roberts worked at PricewaterhouseCoopers LLP.
He considers the ongoing transformation of the accounting and equity compensation
industries to be both stimulating and rewarding.
Mathew received a BBA in Accounting and Information Systems from UMass Amherst,
his CEP designation from the Certified Equity Professional Institute (CEPI) at Santa
Clara University, and is Chair of the CEPI Advisory Board. Matt currently lives in
Boston, Massachusetts and enjoys golf and travel.
