THE CREDIT INSTITUTE OF CANADA - ______________ CHAPTER Position Description for Chapter Vice President Role of Vice President The focus of the Vice President is to compliment the President in providing progressive leadership to the Chapter and the Board of Directors (“Board”). Like the President, the Vice President shares the responsibility for the integrity of the Board’s processes and activities, and for the effectiveness of the Board meetings. He/she assists the President and collaborates with the Board to maintain the vitality and effectiveness of the Chapter pursuant to the Articles of Incorporation of The Credit Institute of Canada (“CIC”) and the Chapter By-laws. The Vice President is a senior officer; spokesperson and ambassador of and for the Chapter; is knowledgeable about and committed to the role of the Chapter and the purpose of CIC in serving others in the credit profession. He/she recognizes the importance of and accepts all the responsibilities that go with this position. The Vice President recognizes that he/she is obligated to immerse himself/herself co-operatively with the President and the Board to become fully informed about the Chapter affairs since normally the person in this position is being groomed to become the future President. Election and Term of Office Immediately following the Annual General Meeting (“AGM”), the Board elects a Vice President from its ranks as an officer of the Chapter. The Vice President should be prepared to serve two consecutive one-year terms. Vacancy In the event the Vice President is not able to continue his/her role in this position for the balance of the term of office, the Board shall elect a replacement from its ranks. If there is more than one Vice President, the Vice President next in line shall automatically assume the role of the vacancy for the balance of the term of office until the incumbent can resume responsibilities in this position, or until the next AGM, whichever comes first. Accountability The Vice President shall be accountable to the President, the Board, and the membership for his/her performance of the governance and management of the affairs of the Chapter. The Vice President is an ex officio member of each committee only where permitted He/she shall be one of a minimum of three authorized signing authorities for the Chapter. If the Chapter does not permit the Treasurer to be a signing authority, then the Vice President must become the second signing authority. In any event, the National Director representing the Chapter must be a signing authority for the Chapter in compliance with the National Board resolution approved at its Board meeting on June 16, 2009. Resources Since the Chapter is a “not-for-profit” entity, it conducts its affairs with a Board of volunteers without any remuneration. The Board is both a policy-making body and a working body. Qualifications, Skills and Experience (in random order) Further to the qualifications listed in the document titled “Role of a Director,” the Vice President: 1. Demonstrates an interest in taking a leadership role in overseeing the day-to-day operations of the Chapter. 2. Has a sound working knowledge of CIC and the Chapter, and is familiar with the following: a. Articles of Incorporation of CIC. b. By-laws of CIC. c. By-laws of the Chapter. d. Code of Ethics. e. Financial affairs of the Chapter and CIC. 2 f. Privacy legislation (federal and provincial). 3. Demonstrates an aptitude to effectively compliment the leadership of the President; insures governance is fulfilled and prudent management practices are maintained of the affairs of the Chapter. 4. Demonstrates an ability to listen to the spoken word, contributes to taking the appropriate steps to understand the issues, and articulating viable options and a plan of action. 5. Demonstrates an ability to work co-operatively and is a team builder. 6. Recognizes that the need for computer literacy is a necessary asset. 7. Has a reasonably good understanding of parliamentary procedures. Time Commitment (in random order) In addition to the time commitments listed in the document titled “Role of a Chapter Director,” the Vice President should be prepared to dedicate the additional time required to fulfill his/her responsibilities (all quoted times are approximate): 1. Prepares for the monthly Board meeting (a minimum of 8 meetings per year) and AGM in April – 1/2 to 1 hour each. 2. Attends any Executive Committee meetings convened by the President – 2 to 5 hours per year. 3. Assists the President by potentially attending, ex officio, standing and ad hoc committee meetings – 2 to 5 hours per month.* 4. Makes and returns telephone calls, and emails on behalf of the Board – 1 to 2 hours per month*. *Please note, depending on the needs of each committee, time spent may vary widely from a great deal of time to very little or nothing at all. Responsibilities (in random order) 1. Stands in for the President in the event that the President becomes unable to perform his/her duties or when requested by the President. The Vice President assumes the President’s role with the same authority and responsibility that was held by the President until such time as the President can resume his/her role or until the next AGM. 2. As Chair of any meetings, the Vice President shall not be permitted to submit resolutions and does not have a vote on resolutions except at times where he/she is required to cast his/her deciding vote to break a tie. 3. Shares the workload of the President; collaborates with, supports and assists the other members of the Executive Committee. 4. Presides over those activities of the Chapter as delegated by the President. 5. Contributes to effective and efficient leadership, compliant governance, and prudent financial management. 6. Contributes to a positive environment for Board deliberations, and for the leadership and growth of the directors. 7. Contributes to orienting, coaching and encouraging the Board, Executive Committee and all other committees to perform their respective duties fully to the best of their individual and collective effort for the benefit of all those being served and for personal satisfaction of having done a high quality job. 8. Is an ex officio member of each committee only where permitted. 9. Contributes to promoting responsible stewardship of actions and decision making by the Board. 10. Works co-operatively and fosters team building with the President, Board, Committees, and the CIC. 11. Participates in establishing overall short and long term goals, objectives and priorities. 12. Disseminates information to the President in support of learning and decision-making by the Board. 13. Contributes to promoting and supporting fundraising initiatives. 14. Collaborates with the Executive Committee and contributes to coordinating a collective plan of action to mitigate barriers and shortcomings. 15. Informs the President immediately of any emergency or crisis. 3 16. Supports the President in mediating and resolving conflicts amicably. 17. Assists with the promotion and publicity of both the Chapter and CIC. 18. Assists to insure management practices and policies are established and implemented. 19. Assists in facilitating communication between the Board and Chapter members. 20. Represents the Chapter at functions and events, and acts as a liaison with other organizations as delegated by the President. 21. Participates in an annual review with the Board on the achievements of the previous year, collaborates on identifying the shortcomings and collectively engages refinement for improvements. Revisions to this form are permissible to suit individual chapter needs so long as responsible governance, prudent management, sound financial stewardship and internal controls are not compromised in any way, shape or form. While Chapters are in possession of various assets, both financial and otherwise, ownership of those assets rest with CIC. Since Chapters are not incorporated separately, CIC at the national level is ultimately responsible to insure it apprises Chapters of the necessary requirement of providing and engaging only the best practises for responsible governance.
