Kerr Loyalty Program Agreement Terms
•Kerr Corporation (“Kerr”) reserves the right to change, cancel and alter the Kerr Loyalty Program at
any time. An office or account that elects to participate in the Kerr Loyalty Program shall hereafter
be referred to as a “Participant.”
•The Kerr Loyalty Program relates only to Kerr products and is not applicable to products sold or
branded by KerrLab, Pentron Clinical, DUX Dental, Beavers Dental or any other Danaher
Corporation subsidiary.
•A Participant that was enrolled in the prior year that maintained the same or higher consumable
purchases will be auto enrolled in the subsequent year. All other offices will need to enroll annually.
•Free good redemptions from Kerr promotions and programs will not violate the terms of the Kerr
Loyalty Program. However the free goods provided in such promotions will not count towards
loyalty program points.
•Each Participant enrolled in the Kerr Loyalty Program must make itself available to meet a local
Kerr representative on a quarterly basis in order to maintain enrollment.
•Kerr Loyalty Program purchases will be credited when a Kerr authorized dealer provides Kerr with
proof of a Participant’s purchase.
•Only Kerr brand name consumable products qualify towards the Kerr Loyalty Program. No private
label products shall qualify for points under the Kerr Loyalty Program.
•This contract is valid for Participants located in the United States on purchases made from an
authorized Kerr dealer in the United States and is not valid on purchases made from an authorized
Kerr dealer in any other country. Please contact your Kerr representative or view our current list of
authorized dealers at http://www.kerrdental.com/kerrdental-contact-distributors-2.
•As a participant of the Kerr Loyalty Program, you agree to the release of all sales data by authorized
Kerr distributors for the purpose of proper account management and rebate calculations.
•Fraud or abuse relating to the accrual of Kerr Loyalty Program Points or redemption of points may
result in forfeiture of accrued Kerr Loyalty Points as well as cancelation of your Kerr Loyalty
Program account.
•Contact your local Kerr representative if you have any questions.
•All Kerr Loyalty Program Points earned in a calendar year must be used within the following calendar
year, otherwise they will expire.
•The U.S. Internal Revenue Code and the tax code for most industrialized nations would view rebates,
discounts, or any other remuneration as taxable income to the recipient. Please contact your tax
advisor regarding the tax treatment of the rebates received from your participation in the Kerr
Loyalty Program.
•Federal law may require the disclosure by the Participant of discounts, rebates, or other reductions in
price received, directly or indirectly, pursuant to this program, in claims, charges, or reports made to
federal healthcare programs, including Medicare and Medicaid. The Participant hereby acknowledges
this obligation and warrants and represents that it will properly report and disclose, and appropriately
reflect all reduction in price received and all amounts paid by Kerr hereunder (including all rebates)
as discounts to the extent required by applicable state and federal laws and regulations,
including 42 U.S.C. Section 1320a- 7b and the discount “safe harbor” regulations, published at
42 C.F.R. Section 101.952(h).
Redemption of Kerr Loyalty Program Points:
•The request for redemption must be made by the Participant’s primary participant or an authorized
designee. Kerr may refuse a redemption request if the Participant is not in good standing on its
Kerr purchases.
•Kerr Loyalty Program Points are not refundable, exchangeable, replaceable, redeemable or
transferable for cash, credit, or other rewards under any circumstances.
•By redeeming rewards, you release Kerr from any and all liability regarding the redemption or use of
goods or other participation in the program.
•Ancillary items redeemable for Kerr Loyalty Program Points in the Kerr Loyalty Program carry a
discounted value in some cases, consistent with the Participant’s customary discount.
•We cannot deliver to P.O, APO or FPO boxes. Redemption goods can only be shipped within the
United States and Canada. Items ordered at the same time may arrive separately. Merchandise will
be delivered to your shipping address within 10 days of placing the order, unless otherwise notified.
•Rewards must be redeemed in accordance with program communications. Kerr is not responsible for
replacing lost or stolen product.
Returns/Exchanges
•Any purchased product can be returned for credit on the account, provided it falls within the Kerr
return policy. Any points earned from a purchased order will be deducted from the Kerr Loyalty
Program account. If purchased product is returned and Kerr Loyalty Program Points earned as a
result of that order have ben redeemed, points will be deducted from the account which may result
in a negative point balance. Accounts with point balances that are negative for 90 days or more
may be frozen until rectified.
•Redemption orders requiring a return within 90 days of shipment will result in a reinstatement of
Kerr Loyalty Program Points to the Participant’s account. Kerr Loyalty Program Points will remain
active until a total of 90 days has lapsed from the onset of the original qualifying order. Redemptions
orders requesting return after 90 days from the onset of the original qualifying order will not be
allowed. Exchanges are permitted.
Return/Exchange requests may be denied if the circumstance falls outside Kerr’s return policy.
Point Forfeiture
•Should a Participant elect or cancel their account or discontinue their enrolment of the Kerr Loyalty
Program, all Kerr Loyalty Program Points will be forfeited at the time of the request.
•If a Participant’s account does not remain in good standing, Kerr may elect or cancel or freeze the
Participant’s Kerr Loyalty Program account and forfeit Kerr Loyalty Program Points associated
with that account.
•Fraud or abuse relating to the accrual of Kerr Loyalty Program Points or redemption of rewards
may result in forfeiture of accrued Kerr Loyalty Program Points as well as cancelation of your Kerr
Loyalty Program account.
