Loyalty Program Terms & Conditions
Please read this document carefully as it sets out the terms and conditions of the loyalty program that allows you to earn and accumulate Shoppers/
Pharmaprix Optimum Points with your RBC Shoppers/Pharmaprix Optimum MasterCard (the “Loyalty Program”).
1. What the Words Mean.
In addition to the terms defined above and elsewhere in the document, here are the definitions of some of the words used in these Terms. The words are
in their singular form, but the definitions also apply to the plural form of the words.
“you” or “your” means the Applicant who is also an Optimum Member;
“we”, “us”, “our”, the “Bank” or “RBC Royal Bank” means Royal Bank of Canada;
“SDM” means Shoppers Drug Mart Inc.;
“Account” means the RBC Shoppers/Pharmaprix Optimum MasterCard credit card account that we have opened for the Applicant;
“Account Statement” means the monthly written statement of the Account;
“Applicant” means the individual who has submitted an application for an Account as the primary cardholder, to whom we have issued a Card and in
whose name the Account is established. An Applicant does not include a Co-Applicant or an Authorized User;
“Authorized User” means an individual, other than the Applicant and the Co-Applicant, to whom we have issued a Card on the Account at your request or
at the request of the Co-Applicant;
“Card” means the co-branded RBC Shoppers/Pharmaprix Optimum MasterCard credit card issued to a Cardholder;
“Cardholder” means an individual to whom a Card is issued on an Account;
“Cash Advance” means an advance of cash that is charged to the Account through any eligible means including, but not limited to, a cash withdrawal
from the Account, use of an RBC Royal Bank® credit card cheque, a balance transfer, a bill payment (that is not a pre-authorized charge that is set up with
a merchant) or a Cash-Like Transaction;
“Cash-Like Transaction” means a transaction that is similar to cash and we treat as a Cash Advance including, but not limited to, a money order, a wire
transfer, a traveller’s cheque and a gaming transaction (including, but not limited to, betting, off-track betting, race track wagers, casino gaming chips
and lottery tickets);
“Co-Applicant” means an individual who has submitted an application for an Account as the co-applicant and to whom we have issued a Card;
“Offer” means either the “Continuous Offer” or “Welcome Bonus Offer” described in these Terms, as well as any other offer the Bank and SDM may decide
to add from time to time;
“Optimum Account” means the “Shoppers/Pharmaprix Optimum Account” maintained and controlled by SDM that is attributed to a specific Optimum
Member for the debiting and crediting of Points earned in connection with, but not limited to, the use of the Account and/or the Optimum Card;
“Optimum Card” means the “Shoppers/Pharmaprix Optimum Card” that is issued by SDM to each Optimum Member, that bears a unique member
number and that enables Optimum Members to earn and redeem Optimum Points through the Optimum Program;
“Optimum Member” means a customer of SDM who is a member of the Optimum Program;
“Optimum Program” means the rewards program currently owned and operated by SDM known as the “Shoppers Optimum Program‡” across Canada
(except in Québec, known as “Pharmaprix Optimum Program”) pursuant to which Optimum Members earn Points in connection with their eligible
purchases made at participating SDM store locations;
“Points” means the “Shoppers/Pharmaprix Optimum Points” Cardholders may earn in connection with the Offers or through the Optimum Program and
which can be redeemed for rewards under the Optimum Program;
“SDM Location” means any Shoppers Drug Mart or Pharmaprix store location in Canada, excluding Shoppers Home Health Care, Shoppers Simply
Pharmacy, Pharmaprix Simplement Santé, Murale and Murale.ca;
“Statement Date” means the last date of the Account Statement period for which an Account Statement is produced; and
“Terms” means the terms and conditions applicable to the Loyalty Program.
You agree with us as follows:
2. Acceptance of Terms. The use of the Account by any Cardholder means that you have read these Terms and that you understand and agree to everything written here.
The most current version of the Terms is posted online at: www.rbc.com/shopperscreditcard and www.rbc.com/pharmaprixcreditcard. Notwithstanding any other section of
these Terms, the posting of the current Terms online means that we have notified you of the Terms.
The section and sub-section headings in these Terms are for ease of reference only. They do not form part of the Terms.
3. Participation Eligibility.
(a) To be eligible to participate in the Loyalty Program, you must satisfy each of the following conditions:
i. be an individual of the age of majority in the province or territory in which you reside;
ii. be a permanent Canadian resident;
iii. be an Optimum Member in good standing; and
iv. have an Account in good standing.
(b)If you are not an Optimum Member at the time you apply for an Account, you will be automatically enrolled in the Optimum Program once you are
approved for the Account, and an Optimum Card will be sent to you.
(c)If you are an Optimum Member at the time you apply for an Account, you will be asked to provide your Optimum Member number. You must have
an Optimum Member number that is valid, and your Optimum Account must be in the same name as the Account, for Points to be credited to your
Optimum Account.
(d) Only one (1) Optimum Member number can be associated with an Account.
(e)All Cardholders on an Account (the Applicant, the Co-Applicant and Authorized User(s)) can earn Points with their Card and participate in the Offers,
although all these Points are credited to the Applicant’s Optimum Account and are solely for the benefit of the Applicant, even if the Co-Applicant and
Authorized User(s) are also Optimum Members.
4. Loyalty Program. While you are responsible for any charges and fees applicable to the Account, the Loyalty Program is offered to you at no extra
cost and is in addition to the other benefits that come with your Card. The Loyalty Program offers rewards in the form of Points that are credited to your
Optimum Account. There is no limit on the amount of Points that can be earned in relation to the use of the Account. The Points earned under the Loyalty
Program have no cash value and can’t be exchanged for cash. You have no property rights or other legal interest in the Points for any purpose. Instead,
Points are accumulated and redeemable in the manner described below.
5. Continuous Offer.
(a) Cardholders may earn the following Points in the manner described in section (b) below, after the Account has been opened:
i. 15 Points – for every one Canadian dollar in Net Purchases made using the Card to pay at any SDM Location, excluding those made at Canada Post
outlets located within any SDM Location; and
ii. 5 Points – for every one Canadian dollar in Net Purchases made using the Card to pay everywhere else, including those made at Canada Post
outlets located within any SDM Location and pre-authorized bill payments.
(together, the “Continuous Offer”)
(b) The following applies to the Continuous Offer:
i. For the purposes of the Continuous Offer, “Net Purchase” means a purchase of goods and services made through the use of an Account in good
standing, plus or minus any adjustments made to the Account. Net Purchases do not include (i) Cash Advances, (ii) interest charges, (iii) fees, or
(iv) unauthorized transactions (including those made with a lost, stolen, cancelled or fraudulent Card);
ii. In addition to the regular Continuous Offer accrual rates described above, from time to time, Cardholders may have opportunities to earn additional
Points for every one Canadian dollar in Net Purchases through special offers that will be accompanied by specific rules;
iii. Unless otherwise specified, the Continuous Offer can be combined with the Points a Cardholder may earn as an Optimum Member for presenting
the Optimum Card at any SDM Location, as described in the Optimum Program;
iv. Points awarded for a Net Purchase will be rounded down to the nearest whole number;
v. Each time an Applicant makes a purchase at an SDM Location and presents their Optimum Card, the total number of Points earned by all Cardholders
during the last Account Statement period will appear on the point-of-sale transaction receipt. If no purchase is made by the Applicant at an SDM
Location during one or more Account Statement period(s), next time the Applicant makes a purchase at an SDM Location and presents their
Optimum Card, the point-of-sale transaction receipt will indicate the total number of Points earned by all Cardholders during those last Account
Statement period(s);
vi. A section of each of the Account Statement will show the total number of Points earned through the Continuous Offer and/or Welcome Bonus Offer
by all Cardholders during the Account Statement period, as well as any adjustments and other information that may be determined by the Bank
from time to time (all of the above is referred to as the „Points Summary“). The Account Statement will not show the cumulative number of Points
earned “to date” or reflect redemptions of Points;
vii. The Points earned will appear on the Account Statement listing the transactions for which the Points were earned. Transactions that take place
prior to the Statement Date will not appear on that Account Statement if they have not been posted or processed by SDM, MasterCard or us by
the Statement Date. Cardholders will not earn Points for transactions that have not been posted to the Account. If your Statement Date would
otherwise fall on a holiday or weekend, the Account Statement will generally be prepared on the next business day. As a result, the posting of
some transactions and the appearance on the Account Statement of Points for those transactions, may be delayed to the next Account Statement;
viii. Each month, you should promptly examine the Account Statement and the Points Summary. If you do not notify us in writing of any errors or
omissions in, or objections to a Points Summary, within sixty (60) days from the Statement Date, we are entitled to treat the entries in that Points
Summary as complete, correct and binding on you and we and SDM will be released from all claims that may be asserted by you in respect of such
Points Summary. You will not obtain any adjustment for erroneous or omitted Points entry if you do not notify us of the error or omission within
sixty (60) days from the Statement Date;
ix. We will remit to SDM the Points earned through the use of the Card(s) up to two (2) business days following the Statement Date. Following receipt
of such information, SDM will post the applicable number of Points to your Optimum Account within a commercially reasonable timeframe. Points
are not available for redemption until they are posted to your Optimum Account;
x. SDM will credit or debit your Optimum Account with the Points we report. You authorize us to provide information related to the transactions from
the Account to SDM including, but not limited to, the number of Points earned for each transaction and whether the transaction was made at an
SDM Location or elsewhere;
xi. Points earned during an Account Statement period will only be remitted to SDM if the Account is open and in good standing on your Statement
Date. This means that if you permanently close the Account and/or transfer to another RBC Royal Bank credit card that does not earn Points before
the end of an Account Statement period, or if the Account needs to be closed for any other reason such as upon the death of the Applicant, you
will lose the Points earned for any Net Purchases made after your last Statement Date;
xii. Credits for returns and adjustments will reduce or cancel the Points earned by the amounts originally charged to the Card and will be reflected on
the Points Summary. Such returns or adjustments will never, however, result in an Optimum Account having less than zero (0) Points. This means
that if we transfer a negative Points balance to SDM, which would also normally result in your Optimum Account being negative, your Optimum
Account will remain at zero (0) until you earn enough Points to reverse the negative balance;
xiii. Points cannot be used for partial or total payment of any amount owing in respect to the Account or any other obligations owed by you to the
Bank or any of its affiliates;
xiv. If you already are an RBC Royal Bank cardholder and you convert your existing RBC Royal Bank credit card account to the Account, Cardholders
will not begin earning Points until the Account has been created by the Bank and a first purchase is charged to the Account; Points will not be
awarded retroactively.
6. Welcome Bonus Offer.
(a) A Cardholder may earn the following Points in the manner described in section (b) below, after the Account has been opened:
i. 15 000 Points with the first purchase charged to the Account made by a Cardholder (the “Welcome Bonus Offer”).
(b) The following applies to the Welcome Bonus Offer:
i. The Points will appear on the first Account Statement but it will take up to two (2) business days after the Statement Date before they get credited to
your Optimum Account;
ii. Only one (1) Welcome Bonus Offer per Account is allowed;
iii. In addition to the regular Welcome Bonus Offer described above, from time to time, a Cardholder may have an opportunity to earn additional
Points through special offers that will be accompanied by specific rules;
iv. The Bank and SDM reserve the right to withdraw the Welcome Bonus Offer at any time.
7. Limitations that Apply to the Offers.
(a)In the event of a conflict between these Terms and the content of any document, brochure or promotional material advertising any Offer, these Terms
shall prevail.
(b)We reserve the right, in our sole discretion, to suspend, disqualify, limit or revoke any Offer and refuse to award Points to any Cardholder we find or
believe to be manipulating or otherwise abusing the process, fairness, integrity or operation of any Offer, or for any other reason as determined by
the Bank.
8. Redemption. All redemptions of Points must be made through SDM in accordance with the Optimum Program terms and conditions. The Optimum
Program has detailed terms and conditions on, among other matters, the accumulation, redemption and expiration of Points. It is your sole responsibility
to read and understand the applicable Optimum Program terms and conditions including, but not limited to, those related to the expiration of Points. The
Bank is not responsible or liable for any aspect of the redemption of Points and/or the management of the Optimum Program and you agree to release
the Bank, its affiliates and their respective directors, officers and employees from all claims in respect of any damages or losses that you may suffer due
to non-compliance with the Optimum Program terms and conditions and/or the redemption policies of SDM.
9. Separate Programs.
(a)These Terms: (i) apply solely to the Loyalty Program; (ii) replace any and all previous versions of the Terms; (iii) are separate and distinct from Account
disclosure documents and agreements, which are issued to you separately; and (iv) are separate and distinct from the Optimum Program terms and
conditions.
(b) The Optimum Program and these Terms do not, in any way, affect any of the service fees related to the operation of the Account, which service fees are
described in the Account disclosure documents and agreements, and continue to apply.
(c)All terms, conditions and restrictions applicable to the Optimum Program are established solely by SDM and govern your participation in the
Optimum Program.
(d) SDM is solely responsible for the management of the Points earned through the Loyalty Program and the Optimum Program.
(e)We do not control the number of Points SDM will award you for using the Optimum Card. The award of Points by SDM for using the Optimum Card is
entirely governed by the Optimum Program terms and conditions and is separate from any Offer.
(f)In the event of a conflict between these Terms and the content of any Account disclosure documents and agreements, the Account disclosure
documents and agreements shall prevail.
10.Amending the Loyalty Program and these Terms. The Loyalty Program and its benefits are offered at the discretion of the Bank and SDM. The Bank
and SDM reserve the right, in their sole discretion and at any time, to change these Terms, in whole or in part, without giving you notice. Loyalty
Program changes may include, but are not limited to, changes to any Offer, to Loyalty Program eligibility criteria or to eligible Net Purchases. If the
Account is used by any Cardholder after the effective date of a change, it will mean that you have accepted the amendment made to these Terms.
11. Suspension or Termination of the Loyalty Program.
(a) Either the Bank or SDM may suspend or terminate the Loyalty Program at any time upon a sixty (60) days notice to you.
(b)Either the Bank or SDM may also, with or without notice to you, suspend or terminate the Loyalty Program, in whole or in part, should events beyond
their control, such as strikes, acts of God, terrorism, civil disturbance, war or changes in economic or business conditions, materially affect their
willingness to continue the Loyalty Program as it is then constituted.
(c) In either case, the Optimum Points earned after the last Statement Date may be lost.
12. Termination of Your Participation in the Loyalty Program.
(a)The Bank may also, without notice to you, suspend or terminate your participation in the Loyalty Program and close the Account upon, but not limited
to (i) fraud or abuse by you or any Cardholder relating to the Loyalty Program or Optimum Program (ii) misrepresentation of information to us, (iii)
failure by you to follow these Terms, or (iv) your bankruptcy.
(b) Any violation of the Terms by you may result in liability for damages and/or loss or cancellation of Points.
(c) If the Bank closes the Account, whether due to fraud, abuse, non-payment or for any other reason, all Points accrued during the Account Statement
period in which the closure occurs will be automatically, immediately and irrevocably cancelled. Also, the Points accrued in relation to acts of fraud
or abuse will be cancelled.
(d)If we receive notice from SDM that you are no longer an Optimum Member, we will convert the Account to another RBC Royal Bank credit card account
and issue you a new credit card, or close the Account and cancel your Card.
13. Inquiries.
(a) Loyalty Program Inquiries: For information and questions on the Account, the Points earned with the Card(s) through any Offer, the Points Summary,
information we send to SDM or to request a paper copy of these Terms, the Applicant may contact the Bank:

14. Tax: Any federal and/or provincial tax liability and reporting obligations for any taxes (including, but not limited to, personal income tax reporting)
arising from the accrual of Points, is your responsibility. You should consult with your personal tax advisor in order to determine any personal tax
consequences. You understand and agree that neither the Bank nor SDM will issue tax receipts in respect of the Loyalty Program. You hereby agree to
release the Bank, SDM and their respective affiliates, directors, officers and employees from any and all claims in respect of any tax liability resulting from
your participation in the Loyalty Program.
15. Interpretation and Disputes. Any question or dispute regarding the Loyalty Program and the interpretation of these Terms shall be resolved at the sole
discretion of the Bank and all decisions made the Bank shall be final. Any question or dispute regarding the Optimum Program and the interpretation of
the Optimum Program terms and conditions shall be resolved at the sole discretion of SDM and all decisions made by SDM shall be final.
16. Waiver: Any waiver by the Bank of the strict observance, performance or compliance by you of any portion of these Terms and any extension of time
or other indulgence granted by us, either expressly or by course of conduct, shall not alter, affect or prejudice any of our other rights or remedies. Such
waiver shall be effective only in the specific instance and for the purpose for which it was given and shall be deemed not to be a waiver of any of our rights
and remedies arising in respect of any other breach of these Terms. No delay or omission by us in exercising any right or remedy hereunder shall operate
as a waiver of that or any other right or remedy.
17. Communication. So that you do not miss any communication from the Bank or SDM about the Loyalty Program, you will immediately notify us and
SDM of any changes to your mailing address and other contact information you may have provided to us in connection with the Account. Neither the Bank
or SDM is responsible for any misdirected, lost or delayed mail or electronic communication or any consequences resulting from your failure to provide
either us or SDM with such notice and you agree to release the Bank, SDM and their respective affiliates, directors, officers and employees from any and
all claims in respect of losses or damages resulting therefrom. We may also communicate with you electronically and any notice or electronic Account
Statement we provide to you, or agreement we make available electronically, will be considered to be „in writing“, signed and delivered for all purposes.
18. Not Affiliated. The Bank and SDM are not affiliated in any manner and are not agents, representatives, partners, joint venturers, or employees of
each other and neither party has the power to obligate or bind the other party. The Loyalty Program, the Account and the Optimum Program are each
independent of the others. The Bank makes no representation as to the Optimum Program and neither offers, endorses, nor guarantees any of the goods,
services, information or recommendations provided by third parties to you in relation to the Optimum Program.
19. Severability. In the event that any provision in these Terms is determined to be invalid, illegal, or unenforceable, such determination shall not affect
the validity and enforceability of any other remaining provisions of these Terms.
