What does the Chapter 11 announcement mean for customers?

The Chapter 11 filings will have virtually no impact on Verso’s day-to-day operations. We fully intend to operate our business as usual throughout the Chapter 11 process and expect to continue its pre-existing customer programs without interruption.

Verso values its customer relationships, and all customers should continue to expect – and receive – the same high quality products and exceptional service that originally led them to choose Verso.

Why should I continue to purchase products from Verso?

Will Verso increase prices as part of its efforts to strengthen its balance sheet?

While this may include routine pricing adjustments on certain of the company’s products, these decisions would be made in the ordinary course of business, based on a thorough analysis of input and production costs, as well as changes in market supply and demand.

Will Verso continue to make and deliver its products without interruption?

Verso filed first day motions with the Bankruptcy Court to enable us to continue to purchase the wood and other materials needed to run our mills. We don’t anticipate any disruption in our supply chain or in our ability to deliver products to our customers.

Will Verso continue to offer all of the same products? Will the company be forced to shut down some mills and product lines as part of the Chapter 11 process?

As before, any changes to the company’s product or service offerings will be driven by an assessment of what best meets the needs of its customers. There are no changes anticipated as a direct result of the Chapter 11 process.

Will Verso continue to develop new products?

Verso expects to continue its existing product development activities both during and after the

Chapter 11 process.

The company strongly believes that its ability to maintain a healthy pipeline of new and innovative products is essential to serving its customers, maximizing value for its stakeholders and continuing to enhance its position as the leading producer of printing and specialty papers in North America.

Will Verso be able to get the needed credit from its suppliers to make the products that customers need?

Verso fully intends to operate its business as usual throughout the Chapter 11 process, including paying all of its suppliers in the ordinary course of business for any goods and services delivered on or after the Chapter 11 petition filing date.

Customers should expect to receive the same high quality products and exceptional service for which the company is known without interruption.

Will the mills have any supply disruption problems with raw materials?

Verso does not anticipate any interruption in its supply chain or in the company’s ability to manufacture and deliver high quality products to its customers as a result of the Chapter 11 process.

How is Verso planning to retain customers? Will the company offer additional incentives?

Throughout the Chapter 11 process, Verso fully intends to operate its business as usual, providing customers with high quality paper and exceptional service they’ve come to expect.

The company expects to continue all pre-existing customer programs.

Will Verso continue existing rebate programs?

Verso fully intends to operate its business as usual throughout the Chapter 11 process and filed first day motions with the U.S. Bankruptcy Court seeking permission to continue customer programs, including continuity in the rebates and other incentives offered to our customers in the ordinary course of business. Such motions are routine in the Chapter 11 process and are generally granted shortly after the filing.

Will customers need to change how and where they make payments?

Verso fully intends to operate its business as usual throughout the Chapter 11 process. This includes accepting the same forms of payment it has in the past. Customers should not see any change in their day-to-day interactions with the company.

Are customers’ currently accrued rebates at risk?

Verso fully intends to operate its business as usual throughout the Chapter 11 process and filed first day motions with the U.S. Bankruptcy Court seeking permission to continue customer programs without interruption. This includes continuity in rebates and other incentives offered to customers.

Will dedicated stock/consignment agreements remain in place?

As always, Verso will continue to review contracts on a case-by-case basis to be sure that mutual interests are adequately represented as intended by both parties.

How will Chapter 11 affect customer contracts with the company? Are Verso contracts with customers subject to court approval?

Can customers renegotiate the terms of existing contracts given the company’s current situation?

Will customers continue to work with the same salespeople and other contacts at Verso?

Customers should continue to work with their existing salespeople and contacts at Verso.

Do customers need to take any action with respect to existing orders?

Verso fully intends to operate its business as usual throughout the Chapter 11 process. Accordingly, there is no reason to take any action related to existing orders and customers should continue to work with their existing contacts at the company.

Will Verso maintain its customer service and technical field service teams at the same level?

Verso fully intends to operate its business as usual with an unwavering focus on exceptional service to customers. Customers should expect the same level of service, including the same level of access to customer service and technical field service teams.

Are customer Confidential Disclosure Agreements (CDA) and Non-Disclosure Agreements (NDA) still valid?

Verso fully intends to operate its business as usual and to uphold the terms of its Confidential

Disclosure and Non-Disclosure Agreements. Customers should not see any change in their day-today interactions with the company.

Customers will be expected to continue honoring their existing obligations under current contracts.

How will customers be kept informed about the progress of the Chapter 11 process?
