Our Firm. Reed Smith Richards Butler has leading corporate, commercial litigation and
finance practices and recognised expertise in property, intellectual property and
employment law. Opened in 1980, our Hong Kong office is one of the territory's major law
firms with over 100 lawyers and fee-earners. Our firm’s practice is international in scope
and the office is now part of Reed Smith LLP, a leading international law firm of around
1,700 lawyers.
Areas of Practice. We are best known for combining the delivery of high-quality legal
advice with a practical and commercial approach to solving legal issues, in accordance with
clients' commercial objectives.
Corporate:
Our corporate department is one of Hong Kong's leading corporate
transactional firms with significant experience in equity and debt capital markets, mergers
and acquisitions and other complex corporate transactions. We also have US securities
lawyers based in our Hong Kong office. Now in its fourth decade, we have deep roots in
the region and have played a major role in some of Hong Kong's most complex corporate
transactions. Our clients include established Hong Kong, PRC and regional corporates
(listed and private), as well as local and international financial institutions and private equity
firms. We have a proven track record in the IPO market, having completed more than 200
IPOs on the Hong Kong Stock Exchange in the past 20 years on behalf of both sponsors
and issuers. We advise on both public and private company M&As and have advised on
some of the most complicated, hostile or controversial takeovers and privatisations of public
companies in Hong Kong. In addition, we also advise both private equity clients as well as
a wide range of PRC issuers both in long term investments and pre-IPO situations. With
this depth of experience and growing offices in Beijing and Shanghai, we are well
positioned to advise on Hong Kong and PRC cross-border transactions.
Litigation: Our litigation department is one of the largest commercial dispute resolution
practices in Hong Kong. The department undertakes a wide range of commercial and
financial services litigation and arbitration and has also established a leading regulatory
litigation practice in the fields of securities, banking and telecoms representing both market
participants and regulators in relation to investigations and disciplinary civil and criminal
proceedings. We also have a substantial policy-holder insurance and professional
indemnity practice and is active in handling tax disputes and employment disputes.
We have a long-established reputation in shipping and international trade work. In
shipping, we act predominantly for owners, charterers, freight forwarders and P&I clubs,
undertaking both wet and dry work. In international trade we act for traders and financial
institutions in relation to disputes over the trading of physical commodities and paper. We
have significant experience of undertaking arbitrations in London (LMAA/LCIA/SAL/GAFTA/
FOSFA/LME), Singapore (SIAC/ICC), Hong Kong (HKIAC/ICC) and the PRC (CIETAC/
CMAC).

institutions and corporates on all aspects of financings and debt raising. Our practice
covers secured, leveraged, M&A and pre-IPO financings, asset, project and structured
finance, debt capital markets and debt restructuring with a market leading aircraft and ship
