General session:
 It’s Not Networking; It’s Community! (Cresta Blanca Room,
1st Floor) – Ric Giardina, The Spirit Employed Company
Understanding Stock Plan Participant Behaviors & Attitudes: Opportunities to Better
Engage Employees
Even the best designed stock plan can be difficult to understand and explain. In this session,
learn how plan sponsors are making strides to understand their employee's engagement, plan
understanding, and preferred communication approaches to develop targeted strategies to
engage and educate employees about the value of their equity awards.
While participants consider stock plans to be a key part of their compensation packages, the
majority don't feel comfortable that they fully understand their plans. This session will
highlight findings from a recent research study surveying participants from 100 different
companies to understand stock plan participant behaviors and attitudes. It will provide
meaningful insights on employee attitudes toward stock awards, their value, and the role they
play in their daily financial lives as well as how stock plans impact participant's overall
loyalty to the plan sponsor, and their total compensation packages. More importantly, by
leveraging participant research, the session will highlight targeted areas to improve
employee engagement and perceived value of their stock plans.
409A – Now What?
Now that Section 409A has been a reality for awhile, let’s see what we’ve learned from the
experience. This session will cover the practical aspects of administering equity awards in a
post-409A world. We will look at ways to identify 409A issues, methods for correcting such
issues, ongoing administration tips for split/cured 409A awards, and how to avoid the whole
problem in the first place. The session will be led by an experienced team from SOS that has
been involved in numerous 409A projects in the last 6-12 months.
The Secret to Introducing Restricted Stock Into Your Equity Program
The popularity of restricted stock plans is on the rise. From sophisticated tax and securities
law considerations to employee communication, many factors need to be taken into
consideration when introducing restricted stock into your company’s equity program. A
lively roundtable panel of HR leaders including Stephen Beyer, senior director of global
rewards, Cypress Semiconductor, Steve Boddy, director of compensation, benefits, and
HRIS, CV Therapeutics, and Carolyn Trovan, senior director, compensation, benefits and
HRIS, TIBCO Software, will join Radford Survey + Consulting’s Vice President David
Knopping, in sharing how they successfully implemented restricted stock into their equity
programs. Backed by recently published Radford survey data, the panel will share key
lessons, including what worked well and what they would have done differently when
addressing the challenges associated with rolling out their programs.
The Future of Plan Management Practices
As the world of Equity Compensation continues to change, how have you changed the way
you handle your equity programs? Will the stock administrator of tomorrow be more vendormanager managing an array of specialists or still an "old-fashioned" administrator working
with data and reports? Will outsourcing or software emerge as king or will new service
models develop to fill the task and service gaps companies have taken internally as a result
of the rapidly changing regulatory environment? Join our panel of experts as they discuss the
future and how companies can move toward the service models of tomorrow, today.
Tax Compliance for Global Equity: Ready, Set, Withhold!
This session will discuss the unique challenges issuers face when trying to comply with local
reporting and withholding obligations for global equity grants of options, RSUs and
purchase rights. The presenters will offer helpful tips issuers should keep in mind when
drafting their grant documentation and discuss best practices for administering awards to
address country-specific differences in the timing of these obligations and permissible
methods of withholding. The session will also highlight the potential impact of recharge
agreements on these obligations. Finally, the session will provide a few country "case
studies", including the specific reporting requirements in France for qualified plans, timing
issues in the U.K. and challenges posed by the transfer of the new Indian fringe benefits tax
to employees.
It’s Not Networking; It’s Community!
We’re all told we need to network to succeed. Indeed, something inside each of us already
knows that. But, exactly how does one go about performing the generally accepted actions
that constitute networking? What’s “too much” and what’s “too little.” And too much of
what or too little of what? Worse, most of us formed our concepts around networking from
our experiences at mixers at the local chamber of commerce and “work the room” events
within our respective industries or areas of expertise. And for many of us, that wasn’t a
pretty sight; certainly not anything we’d be interested in pursuing more of! But a simple
shift in perspective—and a change or two in one’s present habits—can give you all the
benefits of the best networking system without any of the baggage. There are specific things
you can do—many of them almost automatically—that will result in significant benefits to
you, your clients, and your colleagues. And those new practices may not be as inconsistent
with you who are than you may presently think. This talk will shift your perspective at the
same time that it excites you to possibilities.
