Email: minefe_7885@yahoo.com Farid_nabili@cbar.az Mobile: 055 868 86 93 Office Hours: By appointment Class Hours: See the schedule of classes Course Description The aim of this Course is to introduce the legal principles, concepts, rules and reasoning applicable in business context and to provide students with information on the legal environment affecting business, with special emphasis on Azerbaijani legislation. The course shall develop students’ theoretical and practical skills to understand and analyze legal issues that are relevant to business and shape its nature. The course covers the topics such as Introduction to law, business organizations, international business transactions, property rights, intellectual property, government regulation of business, torts, contracts, financial institutions, employment law. Course Objectives By the end of the course, alongside with obtaining basic/foundational legal knowledge, students shall be able to apply legal concepts to practical business issues and analyze legal rules from the business context taking into account relevant Azerbaijani legislation. Successful students shall be able to think critically of business matters and activities from the perspective of legal environment of business. Teaching Methods The lessons shall primarily base on lectures and discussions on the legal concepts and cases. From time to time, students will be asked to write papers on the required questions and/or make presentations on the selected topics. 1 Bus A 2106 Legal Environment of Business Course Syllabus Attendance Policy As a rule, students are expected to attend all the class meetings. Missing class meetings for more than 4 times may result in the failing grade. Course Outline Week 1 Introduction Law, Morality and Ethics. Role of Law within social norms. These will be announced several days before the following meeting. 2 Bus A 2106 Legal Environment of Business Course Syllabus Essential Reading Materials1 a) Azerbaijani Legislation: Constitution; Civil Code; Employment Code; Law on Entrepreneurship; Law on the Registration of Legal Entities; Law on Insolvency and Bankruptcy; Law on Banks; Law on the Central Bank of Azerbaijan Republic; Law on Insurance; b) Literature Contemporary Business and Commerce Law, H.Cheeseman Commentaries and cases on the Law of Business Organizations. W.Allen et all, III Edition Grading Grading shall base on the grading policy of the University encompassing at least participation/discussion, paper writing and topic presentation grades. Students are required to participate in class discussions and respond/comment to the questions asked by the Instructor. Students are required to read assigned materials before the meeting. The materials will be sent to students ‘ emails at least 2 days before the meeting. Papers shall be 4-7 pages long (font size 12; line spacing 1.5). Instructor will provide students with several topics/questions to be chosen individually. Each Student/Student group shall present a specific topic (this can be arguments from a case) during the time period determined by the Instructor. Students are required to timely arrive at the classroom (5 minutes grace period). Students still have to comply with assignment requirements for missed classes. In such cases, Instructor may require alternate assignments. Late assignments will be graded for 50% of points of that assignment. Students must abstain from plagiarism and cite sources appropriately – this applies both to oral assignments and papers. Serious breach of this provision will result in the failure for specific assignment (Cheating will be considered as plagiarism). 2.
