LICENSE AGREEMENT
Groundwater and Soil Contamination Database
Your signature on the order form indicates that you agree to be bound by the terms and conditions of
this Agreement. Please read this Agreement carefully as it forms a binding contract between you and
the American Geosciences Institute.
Copyright -- The Groundwater and Soil Contamination database is copyright by the American Geosciences
Institute, 4220 King Street, Alexandria, VA 22302-1502 USA.
The software used for this database is copyrighted by Inmagic, Inc, 800 West Cummings Park,
Woburn, MA 01801.
Definitions -- (a) The term “Database” is used herein to refer to the Groundwater and Soil Contamination database.
(b) “Users” means staff, faculty, and students of the licensing organization and, in the case of individual
subscribers, the person named on the order form for the Database. Users also means walk-in library patrons
physically present in any library licensing the Database. (c) AGI means the American Geosciences Institute.
Restrictions -- No part of the Database may be duplicated in hardcopy or machine-readable form without prior
written authorization from AGI with the following exceptions. AGI grants Users the right to duplicate limited
portions of the Database in machine-readable or hard copy form for non-commercial use. Users are authorized
to use references from the Database for the purpose of research publication. Users may not publish or distribute
information from the Database for commercial use or sale. No copying of the software is permitted. AGI grants
the licensee a non-exclusive, non-transferable license to search the Database with the software provided in
accordance with the terms of this Agreement.
AGI and Inmagic retain exclusive ownership of the Database and software, respectively. Licensee may not sell,
assign, transfer or sublicense the database or software to a third party. Software may be used only to search the
Database.
Users may access the Database through the website of the American Geosciences Institute. Licensee is
responsible for the confidentiality and security of the password and User ID issued by AGI for access to the
Database and must notify AGI immediately in writing of lost or stolen passwords and User ID numbers.
Warranty -- AGI and Inmagic provide the Database and software without any express or implied warranties of
any kind. In no event will AGI or Inmagic be liable to Licensee for damages, including any lost profits, lost
savings or other incidental or consequential damages arising out of Licensees use or inability to use the Database.
Links to Other Sites -- The Database may contain links to third party websites. Such third party websites are not
under the control of AGI and AGI makes no warranties, explicit or implied, regarding the performance of the
links, the performance of the outside sites or the contents of the outside sites.
Governing Law -- This Agreement will be governed by the laws of the Commonwealth of Virginia.
Entire Agreement -- This Agreement is the entire agreement and supersedes any and all prior agreements and
understandings.
