On motion of Mr. , seconded by Mr. , the following resolution was offered:
RESOLUTION NO.
A resolution authorizing the attached Cooperative Endeavor
Agreement between the Parish of Jefferson and Wood Materials,
LLC to provide for a two (2) year no-cost Cooperative Program to
recycle a portion of the Christmas trees collected In Jefferson Parish
by chipping and/or grinding the trees and converting them into mulch
and/or compost at the Wood Materials, LLC facility located at 6148
River Road, Harahan, LA. (Parishwide)
WHEREAS, Art. VII, Sec. 14(C) of the Louisiana Constitution of 1974 provides
that for a public purpose, the State and its political subdivisions may engage in
cooperative endeavors with each other, with the United States or its agencies, or with
any public or private organization, corporation or individuals; and
WHEREAS, pursuant to Resolution No. 122091, adopted on December 11, 2013
the terms of the contract with IESI LA Corporation were ratified to provide a ten (10)
year contract, for collection of solid waste and recycling from residential and small
business units, which includes collection of Christmas trees and delivery to a site
specified by the Parish; and
WHEREAS, PARISH desires, as authorized under the Jefferson Parish Charter
§1.01(11), to implement this Cooperative Program designed to recycle Christmas
Trees, by providing ORGANIZATION with the Christmas trees, which will benefit the
citizens of Jefferson Parish by saving Jefferson Parish Landfill space and costs
associated with delivering and disposing of the Christmas trees at the Jefferson Parish
Landfill; and
WHEREAS, the public purpose is described as: conducting and facilitating a
Program designed to recycle Christmas trees collected under the provisions of the
PARISH’s current garbage collection contract by chipping and/or grinding the tress and
converting them into mulch and/or compost, which will save landfill space and produce
a beneficial end product which promotes environmental initiatives and awareness; and
WHEREAS, this Program provides the PARISH with an option to continue the
PARISH’s commitment to protect the environment by diverting Christmas trees from the
waste stream; and
WHEREAS, the PARISH has a reasonable expectation of receiving a benefit from
this Cooperative Program and a benefit of ORGANIZATION’s donation of services
which consists of accepting the Christmas trees at their location(s) thereby saving
PARISH Landfill disposal costs and over-head costs while incurring no cost for this
service, in exchange for the services rendered, which is at least equivalent to the
consideration provided in this Agreement; and
WHEREAS, the transfer or expenditure of public funds or property is not a
gratuitous donation; and
WHEREAS, the citizens of Jefferson Parish will benefit from the efforts of these
parties working together; and
WHEREAS, the Parish desires to cooperate with the ORGANIZATION in the
implementation of the Project; and
WHEREAS, the transfer or expenditure of public funds or property is not a
gratuitous donation.
NOW, THEREFORE, the PARISH and the ORGANIZATION hereby agree as
follows:
NOW, THEREFORE, BE IT RESOLVED by the Parish Council of Jefferson Parish,
Louisiana, acting as governing authority of said Parish:
SECTION 1. That the Jefferson Parish Council does hereby authorize a Cooperative
Endeavor Agreement between the Parish of Jefferson and Wood Materials, LLC, to provide
for a two (2) year no-cost Cooperative Program to recycle a portion of the Christmas trees
collected in Jefferson Parish by chipping and/or grinding the trees and converting them into
mulch and/or compost at the Wood Materials, LLC facility located at 6148 River Road,
Harahan, Louisiana.
SECTION 2. That Christmas Trees will be collected during the two (2) year collection
cycle in January 2016 and January 2017.
SECTION 3. That there is no direct cost associated with this agreement.
SECTION 4. That the term of this contract shall commence upon the date of
execution of the Agreement.
SECTION 5. That the Chair of the Jefferson Parish Council or, in his absence, the
Vice Chair is hereby authorized to execute any and all documents necessary to give full
force and effect to this resolution.
The foregoing resolution having been submitted to a vote, the vote thereon was as
