SPA AGREEMENT FOR

COMMERCIAL SOLAR ELECTRIC (PHOTOVOLATAIC) LIGHTING SYSTEMS

PURPOSE

The purpose of this eQuote is to establish a one (1) year State Purchasing Agreement (SPA) for the purchase of

Commercial Solar Electric (Photovolataic) Lighting Systems for Streets, Roadways, Parking Lots, Security

Lighting, Signs, Billboards, Landscaping, Boat Ramps, and Custom Design Lighting. by all State of Florida agencies and other eligible users.

CERTIFICATION

By completing and responding to this eQuote, vendor is agreeing to all terms and conditions and certifies that the discounted prices stated will hold for the duration of the agreement and that the commodities quoted meet or exceed manufacturer’s warranty. Vendor will assume all responsibility for damages due to faulty equipment.

Price decreases are acceptable on invoice(s) presented for payment.

TECHNICAL DOCUMENTATION & PRICE LIST

All products bid must meet or exceed all requirements of this eQuote. When technical documentation and/or price list is required by this eQuote, its purpose is to demonstrate compliance of the product bid and to allow a technical evaluation of the product and verification of a true savings to the State of Florida Eligible Users.

VENDOR TO SUPPLY LITERATURE ON PRODUCTS TO USERS UPON REQUEST.

DELIVERY

Delivery and freight charges are to be FOB destination and shall be delivered within thirty (30) days after receipt of purchase order, or as agreed to by the ordering entity. The delivery charge is to be added to the invoice as a separate item. Ordering agency should call before placing order for approximate shipping charges.

PURCHASING CARD PROGRAM

The State has implemented a purchasing card program through the Bank of America, using the VISA network.

Vendors will receive payment from the purchasing card in the same manner as other Visa purchases.

Accordingly, vendors must presently have the ability to accept VISA or take whatever steps necessary to implement the ability before the start of the agreement term. The State reserves the right to revise this program in conjunction with implementation of an on-line procurement system. VISA acceptance is mandatory but is not the exclusive method of payment. Please indicate your ability to accept VISA in the space provided on the

Ordering Instruction sheet of the eQuote.

When an ordering State agency makes a purchase using the State Purchasing Card as method of payment, the language in paragraph 7, Transaction Fee, on the attached form PUR 7722 DOES NOT apply. When the State

Purchasing Card is not used as a method of payment or a purchasing card other than the State Purchasing Card is used, paragraph 7, DOES apply. All sales, either by the purchasing card or other method, are to be reported at the end of each month. Be sure to indicate which items were purchasing card purchases. Also, please read the attached PUR 7722 carefully to fully understand this process.

MINIMUM REQUIREMENTS

Respondent shall:

Quote a discount off list prices (price charged to customer without benefit of an agreement) of the

Commercial Solar Electric (Photovolataic) Lighting Systems products that you are quoting on the attached Price Sheet.

Provide a copy of the complete Price List which includes all information needed for the ordering agencies, including pricing. If necessary, the Price List information can be mailed to: Department of Management Services, State Purchasing Office, Attention Peggy Yown, 4050 Esplanade Way,

Suite 360.1Z, Tallahassee, FL 32399-0950.

Indicate number of years your company has been proving these products on the Price Sheet.

AWARD

EQuotes will be evaluated and awarded to the supplier(s) offering the highest discount from their price list. The lowest price(s) will be determined by applying the discount offered to the list price to get the lowest net price for the Eligible Users of the ensuing agreement, if awarded. Additional items/services which may be needed by the ordering agency, but not listed on this agreement, will be negotiated between the user and vendor at the same discounted prices. Vendor may bid by District or statewide (see attached map). Please indicate on the pricing sheets.

SOL INC. WORRY-FREE PERFORMANCE WARRANTY

(MAY 2005)

SOL INC. offers the longest warranties in the industry. SOL products are guaranteed to work as specified for five (5) years from the date the product is shipped from SOL’s factory. SOL will provide a replacement part for any component that fails during the five (5) years. The warranty does not cover any lamps, except SOL Inc.’s

Cold Cathode Fluorescent Lamps (see below). Batteries have a limited warranty (see below).

In addition, SOL offers the following Extended Component Warranties :

*Module Warranty: 25-year limited warranty of 80% of power output; 12-year

limited warranty of 90% power output; 5-year limited warranty of materials

and workmanship.

**Limited warranty for batteries means that after 1 year SOL will cover 80%

of the original cost, and after 2 years 60% and so on.

During the additional Warranty Period SOL will provide the replacement for any component that fails F.O.B.

SOL factory. For third party products (vehicles, refrigerators, radios, television sets, pumps, water treatment systems, etc.) the original manufacturer’s warranties apply.

Warranties are subject to Purchaser using the equipment in the manner and for the purpose for which it was intended. The product must be installed properly, with no unauthorized adjustments. The Purchaser shall select installation locations with full exposure to the sun. The solar panels must be free from shading. Damage caused by lightning strikes is not covered. The use of electrical components not supplied by SOL voids any of the above warranties.

SOL reserves the right to substitute like or better components in its equipment to improve product to perform equally or better under the same guarantees.
