South Division of State Purchasing 4050 Esplanade Way, Suite 360 Tallahassee, Florida 32399-0950 850-488-8440: TEL 850-414-6122: FAX http://dms.myflorida.com ALTERNATE CONTRACT SOURCE AGREEMENT FOR USE BY ALL ELIGIBLE USERS TERMS AND CONDITIONS Pursuant to section 287.042(16)(a)-(b), Florida Statutes (2004), the Department of Management Services (“DMS”) has evaluated the contract attached hereto as Exhibit B (the “contract”) and has determined that it is cost-effective and in the best interest of the state to allow eligible users (“Buyers”) to enter into transactions with the Contract vendor (“Vendor” or “Contractor”). The terms and conditions contained in this Alternate Contract Source Agreement (“Agreement”), the Special Conditions in Exhibit A including Price Sheets and all related license documentation, and the Terms and Conditions of the Contract shall apply to all transactions between the Vendor and a Buyer. 1. This Agreement shall become effective on the last signature date indicated below, and shall remain in effect through May 15, 2008 unless terminated earlier. DMS reserves the right to cancel this contract at any time by giving 30 days’ written notice to the Vendor. 2. In order to procure commodities or services hereunder, Buyers shall issue purchase orders referencing this Agreement. Buyers are responsible for reviewing the terms and conditions of this Agreement and the Contract attached as Exhibit B. The governmental entity that originally procured the underlying Contract is not a party to this Agreement or any purchase order issued by a Buyer hereunder. 3. In order to complete any transaction between a Buyer and the Vendor, the Vendor must be registered in MyFloridaMarketPlace. Rule 60A-1.031, Florida Administrative Code (F.A.C.), is hereby incorporated by reference. All transactions are subject to a transaction fee of 1.0% pursuant to the rule. 4. The provisions of section 287.058(1)(a), (c), and (f), F.S., are hereby incorporated by reference. If the transaction involves contractual services, the provisions of 287.058(1)(b),(d), and (e), F.S., are also incorporated by reference. 5. The State of Florida’s performance and obligation to pay under this contract is contingent upon an annual appropriation by the Legislature. The Vendor shall comply with section 11.062, F.S. and 216.347, F.S., prohibiting use of funds to lobby the Legislature, Judiciary, or State agencies. 6. The Vendor shall comply with all laws, rules, codes, ordinances, and licensing requirements that are applicable to the conduct of its business, including those of Federal, State, and local agencies having jurisdiction and authority. Such maintenance charges will be those in effect for the specific software product when the cause of action arose. The foregoing limitation of liability will not apply to (a) the payment of cost and damage awards referred to in Special Condition entitled “Patents and Royalties”, or to (b) claims for re-procurement costs or the cost of cover pursuant to State Purchasing Rule 60A-1.006(4) entitled “Default”, or to (c) claims by the State for personal injury or damage to real property or tangible personal property caused by Contractor’s negligence or tortuous conduct. The foregoing limitation of liability will not apply to (a) the payment of cost and damage awards referred to in “Patents and Royalties” or to (b) claims for re-procurement costs or costs to cover pursuant to State Purchasing Rule 60A-1.006(4) entitled “Default”, or to (c) claims by the Department for personal injury or damage to real property or tangible personal property caused by the Contractor’s negligence or tortuous conduct. If this contract is for the acquisition of licensed programs, including personal computer licensed programs, then the following shall apply: Contractor’s entire liability and the State’s exclusive remedy shall be as follows: In all situations involving performance or non-performance of licenses programs furnished under this Agreement, the State’s remedy is (1) the correction by the Contractor of licensed program defects, or (2) if, after repeated efforts, the Contractor is unable to make the licensed program operate as warranted, the State shall be entitled to recover actual damages to the limits set forth in this section. For any other claim concerning performance or non-performance by the Contractor pursuant to, or in any way related to, the subject matter of this Agreement the State shall be entitled to recover actual damages to the limits set forth in this section. Contractor’s liability for damages to the State for any cause whatsoever, and regardless of the form of action, whether in contract or in tort including negligence, shall be limited to the greater of $100,000 or the one time charges paid for, or any monthly license or initial license charges which would be due for 12 months use of the licenses program that caused the damages or that is the subject matter of, or is directly related to, the cause of action and shall include any initial or process charges paid to the Contractor. This limitation of liability will not apply to (a) the payment of cost and damage awards referred to in Special Condition entitled “Patents and Royalties” or to (b) claims for re-procurement costs or the cost of cover pursuant to State Purchasing Rule 60A-1.006(4) entitled “Default”, or to (c) claims for personal injury or damage to real or tangible personal property caused by the Contractor’s negligence or tortuous conduct. Contractor shall hold and save the State harmless for any and all suits and judgments against the State for personal injury or damage to real or tangible personal property caused by Contractor’s tortuous conduct in the performance of this Agreement provided that, (a) the State promptly notifies Contractor in writing of any claim, and (b) Contractor shall be given the opportunity, at its option, to participate and associate with the State in the control, defense and trial of any claims and any related settlement negotiations and, provided further, that with respect to any claim, or portion thereof, for which Contractor agrees at the initiation of such claim that Contractor shall save and hold the State harmless, Contractor shall have the sole control of the defense, trial and any related settlement negotiations, and (c) the State fully cooperates with Contractor in the defense of any claim. In no event, however, will Contractor be liable for (a) any damages caused by the State’s failure to perform the State’s responsibilities, or for (b) any lost profits or other consequential damages, even if Contractor has been advised of the possibility of such damages, or for (c) any claim against the State by any other party, except as provided in the hold harmless provision of the preceding paragraph of this Special Condition and except as provided in the Special Condition 4/02/07 (Rev 14 July 08) Page 9 of 17 Governor Charlie Crist Secretary Linda H. Price List The Contractor shall configure its own PRICE LIST equal to the Exhibit B Contract Source for all eligible offerings and post the prices on the Contractor’s dedicated Florida pricing URL specified below under “Price Sheets”. However, price changes must be reviewed and approved by the Department’s Contract Administrator before they can be posted to the Contractor’s dedicated Florida pricing URL. Price list and revisions must be provided by the Contractor in American Standard Code for Information Interchange (ASCII) text format or as a Word for Windows file. At the discretion of the Department, price lists and revision text or Word for Windows files will be required to be sent electronically using E-MAIL, and/or shipped by carrier using diskette, to the Contract Administrator. B 4. Patents and Royalties The Contractor, without exception, shall indemnify and save harmless the purchaser and its employees from liability of any nature or kind, including cost and expenses for or on account of any copyrighted, patented, or unpatented invention, process or article supplied by the Contractor. The Contractor has no liability when such claim is solely and exclusively due to the combination, operation or use of any article supplied hereunder with equipment or data not supplied by Contractor or is based solely and exclusively upon the State’s or Eligible User’s alteration of the article. The purchaser will provide prompt written notification of a claim of copyright or patent infringement and will afford the Contractor full opportunity to defend the action and control the defense. Further, if such a claim is made or is pending the Contractor may, at its options and expenses procure for the purchaser the right to continue use of, replace or modify the article to render it noninfringing. (If none of the alternatives are reasonably available, the State or Eligible User agrees to return the article on request to the Contractor and receive reimbursement, if any, as may be determined by a court of competent jurisdiction.)
