OIL AND GAS RELATED COURSEWORK
1) Oil and Gas and Mineral Law
Nature of ownership of oil, gas and other minerals; leases; covenants; title and conveyancing; transfers subsequent to lease; pooling and unitization; governmental regulation.
2) Transactional Skills – Energy*
Course involves documents that include the conveyance of the platform to the subsidiary, the use agreement, the loan agreement, a security agreement, and a legal opinion letter to the lender.
3) Texas Oil and Gas Land Title*
Texas real property acquisition and conveyancing, including transferable interests in land, modes of transfer, content and effect of transfers, recordation and notice of transfers, and introduction to land title examination with emphasis on oil and gas.
4) International Petroleum Transactions*
Introduction to Texas oil and gas law, geology and engineering. Emphasis will focus on a select number of countries' petroleum laws, applicable provisions of tax laws and fiscal laws, provisions of the petroleum regulations and extracts from the provisions of petroleum agreements actually used.
5) Contracts I
A study of the basic principles of contract formation and enforceability, including offer and acceptance, mutual assent, consideration, promissory estoppel, and the statute of frauds. The course also considers incapacity, misrepresentation and fraud, duress, mistake, unconscionability, and illegality.
6) Contracts II
Course covers remedies, interpretation , parol evidence, 227 performance and breach, conditions, excuse and discharge, impracticability and frustration of purpose, 3 rd party beneficiaries, and assignment.
7) Contract Negotiations and Drafting*
Course provides skills to: (1) identify issues that should be negotiated in complex contracts; (2) draft several key provisions to be included; and (3) negotiate a “real” business contract.
8) Property I
Overview of property law, including acquisition of rights in personal property, fixtures, estates in land and future interests, and landlord tenant law.
9) Property II
Modes of transferring real estate, including contracts, problems with transfer, title assurance, adverse possession, 3 rd party interests, easements, covenants and natural rights, and deeds of trust and mortgages.
10) Land Use Management and Control
A survey of governmental controls on land use, including zoning, subdivision controls, building codes, aesthetics, design controls, landmark preservation and environmental.
11) Wills Trust and Estates*
The execution and revocation of wills, intestate succession, will contests and substitutes; creation and administration of private express, charitable, resulting, implied and constructive trusts; duties, powers and responsibilities of trustees; and the basics of estate administration.
12) Secured Transactions
Law governing credit transactions secured by personal property collateral. Creating and perfecting security interest and protecting it against competing claims, and resolving priority disputes. Includes creditor’s rights and remedies upon the debtor’s default, and the effect of various provisions of the Bankruptcy Code.
13) Marital Property and Homestead
Texas community property system, property rights of husband and wife, rights of other parties, and homestead.
