Beneficiary Commitment
Please fill out this form and return via email to info@moyerfoundation.org Once received, The Moyer
Foundation will evaluate your requests, and return a final agreement for signature.
This form must be signed BEFORE The Moyer Foundation name/image can be used in any
promotional materials produced by an outside organization/individual. Once the form is
returned, and your event is approved as a partner event, you may request logos and use The
Moyer Foundation name to promote your event.

 The Moyer Foundation will list (PARTNER) as a donor/corporate partner in the
Foundation’s Annual Report and web site
 The Moyer Foundation will list the event on Moyer Foundation Web Site- under
“PARTNER EVENTS”
 The Moyer Foundation may list the event in the quarterly newsletter, pending
editorial space and print deadlines as determined by The Moyer Foundation

Trademark usage
(PARTNER) may use the Foundation name and logo in promotional collateral as dictated in the
following terms and conditions.
License to Use Trademarks
(a)
The Moyer Foundation (TMF) hereby grants to Recipient, subject to the following
terms and conditions, a royalty-free, non-exclusive, non-transferable, personal license to use TMF name and
logo (the “Trademarks”) within the United States, in connection with TMF.
(b)
Recipient acknowledges TMF’s exclusive rights in the Trademarks, and further acknowledges that
the Trademarks are unique and original to TMF and that TMF is the owner thereof. When using the
Trademarks, Recipient shall include designations “TM” where appropriate. Recipient shall use the
Trademarks only in the manner and to the extent specifically permitted by this Agreement and as approved by
TMF, and shall comply with all applicable laws and regulations pertaining to the proper use and designation
of trademarks.
(c) Recipient shall not do or cause to be done anything that in any way challenges or impairs or tends to
challenge or impair TMF’s right, title, or interest in the Trademarks. Recipient shall not use the Trademarks
for any political or religious purposes, without obtaining TMF’s prior written approval.
(d)
Recipient shall provide to TMF the opportunity to review all documents, publications or promotional
materials that contain any of the Trademarks (the “Documentation”) prior to releasing such materials to the
public. If after such review, TMF believes that the Trademarks are not being used appropriately, TMF may
require Recipient to make changes to the Documentation. Recipient shall not release the Documentation to
the public without making the required changes.
8.
Indemnification. Recipient shall indemnify and hold harmless TMF, its officers, trustees, employees,
agents, successors and assigns for any and all losses, damages, claims, costs and expenses, interest, awards,
judgments and penalties (including, without limitation, attorneys’ and consultants’ fees and expenses),
actually suffered or incurred by them (including, without limitation, any action brought or otherwise initiated
by any of them) arising out of or resulting in any way from any Moyer Foundation event, activities, projects
or Recipient’s use of the Trademarks.
9.
Termination. TMF may terminate this Agreement for any reason upon 30 days’ advance written
notice of termination. Section 8 shall survive any termination of this Agreement.
