Code of Ethical Conduct

Eagle Companies reputation for high character and fairness is what drives our business to
succeed. We feel it is a critical factor in exceeding our customers’ expectations. The code of
ethical conduct is to be recognized and consistently upheld by all Eagle employees and
associates. Not every potential ethical dilemma can be addressed therefore employees must use
their good judgment to uphold the integrity of the company. Any failure to comply with the code
will result in disciplinary actions up to and including termination. The disciplinary actions shall
be handled with fairness in determining the appropriate sanction.
1. Compliance with Laws
All employees and associates are expected to abide by the laws, rules, and regulations of
the cities, states and countries in which we do business. Employees and associates are not
expected to know the details of the laws, rules, and regulations rather know enough to understand
and act accordingly. If any uncertainties arise, employees and associates should seek advice from
there supervisors in addressing the issue.
2. Company Assets
Eagle Companies employees have an obligation to protect, care, and ensure efficient use
of company assets. Company assets are to be used for Company purposes only. **
3. Health and Safety
It is our desire to (a) provide a safe workplace, safe equipment, proper materials, and (b)
establish and insist upon safe methods and practices at all times. Each employee is responsible
for maintaining a safe and healthy work environment and are to follow environmental, safety and
health rules and practices as well as report any accidents, injuries and unsafe machinery/
equipment or conditions, Any violent or threatening behavior is not permitted and will not be
tolerated. All company related work shall be conducted free of any influences such as: alcohol,
illegal drugs or controlled substances. Any use of such influences will not be tolerated. **

Employees will act with integrity, honesty, and seriousness with their work at Eagle
Companies. No employee shall knowingly or carelessly leak any information which is
confidential in our business operations as well as make any statement which they know to be
misleading, false or deceptive to an employee, competitor, customer of Eagle Companies, or the
general public.

I acknowledge that I received a copy of Eagle Companies Code of Business Conduct dated
____________ (“the Code”), that I have read the Code and that I understand it. I will comply
with the Code. If I learn that there has been a violation of the Code, I will contact my manager or
the Company President - Administration. I acknowledge that the Code is not a contract, and that
nothing in the Code is intended to change the traditional relationship of employment-at-will.
