MATERIAL TRANSFER AGREEMENT
(For DEPOSITION With InaCC)

(hereinafter referred to as the ‘DEPOSITOR’) and Indonesian Culture Collection (hereinafter referred to
as ‘InaCC’) agree as follows with regard to the deposit of the material(s) by the DEPOSITOR with the
InaCC.
1.
The InaCC, a culture collection under The Indonesian Institute of Sciences, is engaged in collection,
maintenance, storage, propagation, quality control and distribution of the biological resources, in
order to contribute to the Indonesian and international scientific community in the field of the life
sciences.
The DEPOSITOR is intend to deposit the following biological material, which was obtained by the
DEPOSITOR in compliance with the relevant laws and regulations (name and/or strain number of
the material):
(hereinafter referred to as the ‘BIOLOGICAL RESOURCE’) with InaCC.
This Material Transfer Agreement (hereinafter referred to as the ‘MTA’) sets forth the terms and
conditions agreed by the DEPOSITOR and the InaCC on the deposit of the BIOLOGICAL RESOURCE.
2.
The DEPOSITOR agrees to deposit free of charge the BIOLOGICAL RESOURCE with the InaCC. The
InaCC may maintain, store, multiply, and conduct quality control and improvement of the
BIOLOGICAL RESOURCE and may distribute it to public under the terms and conditions described in
this MTA.
3.
In compliance with the relevant laws and regulations of the country of origin of the BIOLOGICAL
RESOURCE, the country of DEPOSITOR as well as those of Indonesia, the DEPOSITOR shall, upon the
deposit hereunder, notify and provide with the InaCC the accurate information (including patent
information, if any) about the origin, process of access, quality and characteristics of the
BIOLOGICAL RESOURCE.
4.
The InaCC may update the information accompanying with the BIOLOGICAL RESOURCE and respond
to the change of legal environment for handling and transfer of BIOLOGICAL RESOURCE when
necessary and may make it available to the public through the InaCC Catalog, website and other
media.

The origin of the BIOLOGICAL RESOURCE is as follows:

The DEPOSITOR obtained the BIOLOGICAL RESOURCE developed by others with consent to
deposit it with the InaCC.

deposit.

6.
The InaCC may distribute the BIOLOGICAL RESOURCE to RECIPIENTS pursuant to the following terms
and conditions set forth by the DEPOSITOR:

No specific terms and conditions.
Use of BIOLOGICAL RESOURCE is research purpose only.
In case for commercialization purpose, RECIPIENT of the BIOLOGICAL RESOURCE shall obtain
Prior Informed Consent (PIC) from DEPOSITOR and InaCC.
In publishing the results obtained by use of the BIOLOGICAL RESOURCE, the following(s) are
requested:
Acknowledgment to the country of origin
Citation of the following reference(s):

7.
The InaCC shall not be held liable to the DEPOSITOR for any damage or loss to the BIOLOGICAL
RESOURCE due to any events caused during maintenance or storage of the BIOLOGICAL RESOURCE.
8.
Both parties shall discuss to enable amicable resolution of accidents during shipment of the
BIOLOGICAL RESOURCE.
9.
The BIOLOGICAL RESOURCE shall be shipped, deposited and otherwise treated in accordance with
all applicable laws, regulations and guidelines. The DEPOSITOR and the InaCC shall, if necessary,
take all steps and procedures to comply with legal requirements for handling of the BIOLOGICAL
RESOURCE.
10. Both parties shall discuss in good faith to enable the amicable resolution of matters, arising in
connection with the interpretation and performance hereof, as well as the matters which are not
expressly set forth in this AGREEMENT.

The DEPOSITOR and the InaCC do hereby sign two original copies of this MTA and each party holds one
signed copy.
