Friends of Bramblefields Local Nature Reserve (LNR) – in association with Fen

Estate and Nuffield Road Area Residents Association (FENRA)

Constitution

1.

The name of the group shall be Friends of Bramblefields.

2.

The aims and objectives of the group: i) To protect and enhance Bramblefields LNR for the public benefit as a place of nature, history and education ii) To ensure continued public access to, and increase awareness, appreciation and enjoyment of Bramblefields LNR within the local community and the wider city. iii) To speak and act with Cambridge City Council and other organisations on behalf of all who care for Bramblefields LNR as such a place.

3.

Powers of the group: The Friends shall have the power to raise money and build membership to achieve its aims.

4.

Membership: i) Membership of Friends of Bramblefields shall be open to all who support the objectives of the group, regardless of age, sex, religion or sexual orientation. ii) Groups fulfilling the above criteria may apply to affiliate to the Friends. Members of

Fen Estate and Nuffield Road Area Residents Association (FENRA) will automatically be added to the membership of the Friends. FENRA is an affiliate members of the Friends. iii) Individuals and groups shall become members and affiliates of the friends at the discretion of the Committee and must subscribe to the aims and objectives of the

Friends. iv) There is no subscription charged for membership, but the Friends would accept donations to fund activities and events to achieve the objectives of the Friends. Funds will be managed by FENRA.

5.

The Committee shall consist of no fewer than five members and the Chair, Treasurer and

Secretary will be the elected FENRA committee, namely:

Lisa McIntyre (Chair, FENRA and Friends)

Stephen judges (Treasurer, FENRA and Friends)

Lindsey Marsden (Secretary, FENRA and Friends)

Tessa Muranyi (FENRA and Friends Committee Member)

Julie Wiggins (FENRA and Friends Committee Member)

Jo Rees (FENRA and Friends Committee Member)

Nick Guillod (FENRA and Friends Committee Member)

Karen Bennett (FENRA and Friends Committee Member)

6.

The Committee shall meet at least 3 times a year as part of the FENRA committee meeting

i) The Secretary shall be responsible for agendas and recording minutes. ii) Quorum: a minimum of four (or one third of voting committee, whichever is the greater) must be present for decisions to be made on behalf of Friends, including expenditure. iii) Members may attend meetings but not be entitled to vote.

7.

Annual General Meeting will be in conjunction with FENRA AGM in November of each year for the purposes of: i) Reporting to its members the activities of Friends throughout the year. ii) Financial accounts report and approval. iii) Accepting resignation of Committee iv) Electing new committee members v) Members and Committee shall be present and all (including members) will have a vote.

8.

Accounts and Finance shall be managed by FENRA Treasurer. All monies raised by FENRA specifically for Friends shall be applied to further the objectives of the Friends and no other purpose. The Treasurer shall be responsible for keeping proper accounts and records and provide a report at each meeting and at the AGM. Funds will be paid into the FENRA bank account and expenditure will be authorised by no less than two signatories.

This constitution was adopted as the constitution of the Friends of Bramblefields LNR at a FENRA committee meeting at 28 Long Reach Road, CB4 on 16 February 2013.
