Independent Board Directors Posted: November 2012 Closing date: 7th December 2012 Independent Board Directors The Exercise Movement and Dance Partnership (EMDP) is seeking independent directors for its Board. These would be voluntary positions with the remit to help form and influence the strategic direction of the organisation in the Sport England 2013-17 funding cycle and beyond. About EMDP EMDP is the Sport England funded umbrella governing body for exercise, movement and dance in a sport and physical activity context. It was founded in 2006 with support from Sport England and three founder partners – the Keep Fit Association, the Fitness League and the Medau Society. EMDP's vision is ‘’More people enjoying lifelong good health & wellbeing through exercise, movement & dance’’. Its mission is to increase the participation levels and quality of delivery of EMD by working in Partnership at all levels. The key area of focus in the upcoming 2013 – 2017 funding cycle is exercise, movement and dance in a sport and physical activity context mainly for women and girls from the age of 14 delivered through EMDP’s three strategic and operational pillars of; 1) Acting as the umbrella governing body for exercise, movement and dance (EMD) in a sport and physical activity context 2) Providing administrative functions and support for affiliate teachers and organisations. 3) Providing training in EMD. The Board EMDP is a not-for-profit company limited by guarantee. The company has been incorporated since 2006. The EMDP Board is made up of two nominees from each of its founder partners and four appointed independent directors (including the Chair). The Board meets four times each year, normally on a Friday; in London from 11.00 am until 3.00 pm. Meetings are usually held at the offices of the Sport and Recreational Alliance offices in London. The Board has three sub-committees that normally meet quarterly: the Management Committee, the Finance Committee and the Marketing and Development Committee. Board directors, particularly Independent directors are encouraged to join at least one subcommittee. The Role Directors can serve up to two four-year terms. It is anticipated that the time commitment is one to two days per month after the induction period. This includes attendance at up to four Board meetings and membership and participation in at least one of the Board Committees.. Expenses will be paid in accordance with EMDP’s expense policy. The duties of a director are: To ensure that EMDP complies with its Articles of Association, company law and any other relevant legislation or regulations. To ensure that EMDP pursues its objects as defined in its Articles of Association. To ensure EMDP applies its resources exclusively in pursuance of its objects. To contribute actively to the role of the Board in giving firm strategic direction to the organisation, setting overall policy, defining goals and setting targets and evaluating performance against agreed targets. To safeguard the good name and values of EMDP. To ensure the effective and efficient administration of EMDP. To ensure the financial stability of EMDP. To protect and manage the property of EMDP and to ensure the proper investment of its funds. To appoint the chief executive officer(s) and monitor their performance. In addition to the above statutory duties, each director should use any specific skills, knowledge or experience they have to help the Board reach sound decisions. This may involve scrutinising board papers, leading discussions, focusing on key issues, providing advice and guidance on new initiatives or on other issues in which the Director has special expertise.
