RESOLUTION NO. 3 OF 2013
TITLE: A RESOLUTION AUTHORIZING THE MAYOR TO EXECUTE A CONTRACT
BETWEEN THE TOWN OF GREENWOOD AND THE WALDEN-FERRY WATER
COMPANY AND OTHERWISE PROVIDING WITH RESPECT TO A POTENTIAL
AGREEMENT TO PROVIDE WATER TO WALDEN-FERRY WATER COMPANY.
WHEREAS, the Walden-Ferry subdivision is located outside the municipal limits of the
Town of Greenwood, and does not have an adequate supply of water to fully develop the subdivision;
WHEREAS, the Town of Greenwood has access to water and water distribution infrastructure sufficient to provide water to not more than 100 potential households in the
Walden-Ferry subdivision and is willing to do so under circumstances that ensure: a) the citizens of the Town suffer no negative consequences as a result of the Proposed
Contract; and, b) the Town’s benefits from the Proposed Contract outweigh any potential risks;
WHEREAS, the developers of Walden-Ferry subdivision have proposed to form
“Walden-Ferry Water Company” as a duly authorized and certified water distribution company pursuant to the laws of the State of Louisiana, fully authorized to accept water from the Town of
Greenwood and distribute it to the residents of the Walden-Ferry subdivision; and,
WHEREAS, the developers of Walden-Ferry subdivision have represented to the Town that they shall conduct an environmental assessment to ensure that the Town and its water infrastructure shall not be contaminated or otherwise negatively affected by the transfer of water from the Town to the Walden-Ferry Water Company.
BE IT THEREFORE RESOLVED, AS FOLLOWS:
(1) The Mayor is hereby authorized to enter into a Contract between the Town of Greenwood and Walden-Ferry Water Company substantially in accordance with that Proposed Contract attached hereto and incorporated herein by reference as “Attachment A” (“Proposed Contract”) under the following conditions: a.
the uncompleted provisions of Sections A(2),(4); B(1),(3), and (6) be determined and those contract provisions completed to the satisfaction of the Mayor; b.
the developers of Walden-Ferry Water Company provide a written environmental report to the Mayor which, to the Mayor’s satisfaction, indicates the Town and its water infrastructure shall have no negative impact from the environmental conditions in the Walden-Ferry subdivision as a result of any activities carried on pursuant to the Proposed Contract;

c.
the Walden-Ferry Water Company provides written proof satisfactory to the
Mayor that it has all necessary certifications and approvals to operate as a water company within the State of Louisiana and is otherwise authorized to operate a water supply distribution system to the Walden-Ferry subdivision utilizing water purchased from the Town pursuant to the Proposed Contract; d.
receipt by the Mayor of written notice of approval of the Proposed Contract by the
Walden-Ferry Water Company; e.
the authorizations and certifications received by the Walden-Ferry Water
Company are not in conflict with the Proposed Contract and the requirements imposed by the State of Louisiana on the Walden-Ferry Water Company do not place a burden upon the Town greater than that assumed by the Proposed
Contract; and, f.
the Mayor has, after consultation with the Town’s civil engineers satisfied himself, that the Town is capable of satisfying its obligations in the Proposed
Contract and the Proposed Contract will not place an inappropriate burden on the
Town and its infrastructure.
NOW, THEREFORE, BE IT RESOLVED that the Board of Aldermen, the governing authority of the Town of Greenwood, does hereby authorize the Mayor to execute a contract between the
Town of Greenwood and the Walden-Ferry Water Company and otherwise providing with respect to a potential agreement to provide water to the Walden-Ferry Water Company.
BE IT FURTHER RESOLVED that all resolutions or parts thereof in conflict with this resolution are hereby repealed.
On motion of Alderman Cook, seconded by Alderman Newsom, this Resolution was duly adopted this 18th day of March, 2013 by a unanimous voice vote.
