Alumni Chapter
CHARTER AND BY-LAWS 2008
Article I. Name and Purpose
The name of the chapter is the
Chapter.
The
objectives of this organization shall be to promote and encourage interest in
The University of West Alabama, and to bring together the alumni in
Counties.
Article II. Officers
Officers of the Chapter shall consist of a President, a Vice President (who
shall serve as President-Elect), a Secretary, and a Treasurer who shall be elected
for a two-year term by the membership at a meeting prior to the end of the
fiscal year of the Chapter. The fiscal year will coincide with the fiscal year of
The University of West Alabama National Alumni Association.
Section A. Executive Council
The Executive Council shall consist of the President, Vice- President,
Secretary, and Treasurer. (You could add other, such as: the Executive Council
would be able to make emergency decisions and report such action to the
Chapter membership at its next meeting.
Section B. President
The President shall be the chief officer of the chapter; shall preside at all
meetings of the Executive Committee; shall assist in the formulation and
promoting of the Chapter; and shall preside at all meetings of the members of
the Chapter. The President shall also serve as an officer on the National Alumni
Association Executive Council.
Section C. Vice President
The Vice-President shall serve as President-Elect of the chapter and shall
work with the President to become familiar with the duties of that office, and
will succeed the President at the end of the term for which the President has
been elected. The Vice-President shall perform the duties of the President in
the absence of the President from the Executive Committee or a Chapter

membership meeting. The Vice-President shall succeed to the presidency upon
the death, resignation or removal of the President and shall serve in the
capacity through the remainder of the term for which the President was elected.
The Vice-President will serve as the Parliamentarian for the Chapter.
Section C. Secretary
The Secretary shall record the proceedings of the meetings of the
Chapter, compile and preserve records for the Chapter such as membership
attendance and payment of dues, assist the Treasurer in receipt of any monies
received by the Chapter, such as: dues, fundraising events, etc.
Section D. Treasurer
The Treasurer shall supervise and receipt all monies received by the
Chapter and deposit same into the Chapter's account set up in The University of
West Alabama Foundation Account. For disbursement of funds in the Chapter's
account, the Treasurer will complete and sign an Expenditure Request Form and
forward it to the Alumni Office at the University of West Alabama for payment.
Section E. Parliamentarian
The Vice President will serve as the Parliamentarian for the Chapter and
will ensure that all meetings are conducted according to Roberts Rules of Order.
Article III. Membership
An alumni chapter may be chartered in any area where alumni population
dictates a reasonable membership and where a group of alumni have elected
officers and established goals and/or mission that reflects the objectives of the
National Alumni Association.
Section A.
Active Membership
All persons who have matriculated through The University of West
Alabama or its predecessor colleges, persons who have served as members of
the faculty, staff, or board of trustees of The University of West Alabama or its
predecessor colleges are considered to be eligible for membership.
Section B.
Honorary Membership
Any person who has rendered distinctive service to The University of West
Alabama or the Chapter may be elected to become an honorary alumnus upon
recommendation by at least two members of the Chapter.

Persons holding honorary membership do not vote or hold any office in the
Chapter.
Article IV. Elections
The Executive Committee will serve as the Nominating Committee and
provide a slate of officers for consideration by the membership.
Election of
officers will be held biennially at a regular scheduled meeting prior to the end
of the Chapter's fiscal year. All members of the Chapter may offer nominations
from the floor of the Chapter meeting.
All nominees must have given prior
approval for their names to be placed on the ballot and have expressed their
willingness to serve in such capacity.
Article V. Committees
The Chapter shall authorize and define the powers and duties of all
standing committees. Members of the standing committees shall be appointed
and/or voted on by the voting body. The standing committees are as follows:
Membership, Scholarship, and Hospitality (possibly others as determined by the
By-laws).
Article VI. Meetings
Section A. Regular meetings shall be held on
and
the
Secretary
must
notify
the
membership at least two weeks prior to a scheduled meeting.
Section B.
Special meetings may be called by notification to the Chapter
members at least two weeks prior to a scheduled meeting.
Section C.
By a majority vote of members present, the Chapter shall have the
authority to approve, disapprove, or modify all actions previously taken by the
Executive Council.
Article VII. Amendment to By-laws
Section A.
The By-laws for the Chapter may be amended at any regular
meeting of its membership, provided that a notice stating the purpose of each
proposed amendment is sent to every member of the Chapter not less than ten

days prior to the date of the meeting at which the proposed amendment is to
be considered for vote by the membership.
Section B.
It shall require a roll call vote of not less than two-thirds of the
members of the Chapter who are present at the meeting to amend the By-laws.
