Northamptonshire Golf MERGER of Northamptonshire Golf Union (NGU) Northamptonshire Ladies County Golf Association (NLCGA) Northamptonshire County Golf Partnership (NCGP) Northamptonshire Golf BENEFITS OF MERGER • One body representing Northamptonshire at national level • One body managing golf at County level in Northamptonshire • Streamlined administration • Co-ordination of coaching across the County for male and female golfers • Integration of the Northamptonshire County Golf Partnership into the County golf structure Northamptonshire Golf BENEFITS OF MERGER • Additional funding opportunities at national and local level • Start of the modernisation of county golf • Fully co-ordinated development of county golf • A foreunner in merger – first in the country therefore less financial burden Northamptonshire Golf The story so far Meetings have been ongoing since December 2012 between the NGU and the NLCGA and many members from both Executives have been attending They have been very fruitful and everyone agreed the merger should take place As we are the first County in the country to progress this we have had great support from England Golf and they have agreed from the outset to pay our legal fees The legal fees are because of the requirement to have a new set of County rules and be accredited as a limited company Northamptonshire Golf The story so far The requirement for a Limited Company is so that the liability for each Club and each Director is only £1.00 These Rules and the Articles of Association have now been completed and agreed by both parties and the solicitors It has been agreed Northamptonshire Golf will have a Board of Directors who will be appointed at the Annual General Meeting They will be not be elected with a particular title but will have their duties selection upon election. They will then serve for a period of three years until re-election Northamptonshire Golf The story so far The Chairman will be elected as a Director, then elected as Chairman by the Board of Directors and then be Chair of the Board meetings The President and Vice President will be elected as they are now and nominated at the AGM. As the male to female ratio is uneven, there will be at least one female President in any 4 year sequence All committees will have both males and females serving and would have a Director responsible for each department. The Director will be on the main Board of Directors Northamptonshire Golf The story so far Before we can progress as one body, we have to circulate the membership and consult with them We have to have the Rules and Articles of Association accepted by each Club and then approved at the AGM so we can progress as Northamptonshire Golf Northamptonshire Golf The Process Step 1 Completed Meetings between NGU and NLCGA to discuss feasibility of Merger Step 2 On-going Ongoing meetings to discuss all aspects of merger between NGU and NLCGA Step 3 Completed Meetings between NGU, NLCGA, England Golf and England Golf‘s solicitors to discuss Merger and agreement for England Golf to pay legal fees Northamptonshire Golf Step 4 Completed Meetings between NLCGA, NGU and England Golf solicitors to complete and finalise Rules and Articles of Association for the merged company to become accredited and named Northamptonshire Golf Step 5 Sept/Oct 2014 Create a marketing pack and present to all clubs in the county organisations through series of local meetings or visits to clubs during September/October Step 6 Nov/Dec 2014 Use planned AGMs of each organisation for Q&A/feedback under A.O.B. NLCGA annual meeting in November and NGU AGM in December Northamptonshire Golf Step 7 Jan/Feb 2015 Hold EGMs for both organisation on same day/time to present proposals to merge the two organisations for adoption Step 8 March 2015 Hold first General Meeting of Northamptonshire Golf Ltd (NGL) to approve the Articles of Association and Rules of NGL and elect the members of the Board of Directors Step 9 March 2016 NGU and NLCGA will still be organisations until Northamptonshire Golf Ltd is running smoothly then they will be disbanded Northamptonshire Golf The Board of Directors The Board of Directors will have the following Directors and their job descriptions are as defined Northamptonshire Golf Chairman of the Board of Directors Key Objective A member of the Board of Directors of Northamptonshire Golf with the specific role of ensuring Northamptonshire Golf is managed in a professional manner to achieve the primary objectives of Northamptonshire Golf Key Responsibilities 1. Chairs the Northamptonshire Golf Board of Directors meetings 2. Plan, organise, control and lead the efforts of the Northamptonshire Golf Board of Directors to produce a co-ordinated and effective team 3. Chair the Annual General Meeting plus any other special meetings of affiliated clubs convened in connection with Northamptonshire golf matters Northamptonshire Golf Chairman of the Board of Directors Key Responsibilities cont... 4. Together with the Treasurer, monitor financial performance of the appropriate areas against budget and agree actions necessary to achieve targets 5. In the case of a disciplinary hearing appoint a Chairman and at least three other members of the Board, or the relevant sub committee, to sit as a Disciplinary Committee. In the event of an appeal chair the Appeals Committee together with a minimum of two Board Directors 6. Ensure no Director of Northamptonshire Golf abuses their position of trust Northamptonshire Golf Competitions Director Key Objective As a member of the Board of Directors of Northamptonshire Golf with the specific role of ensuring all golf competitions organised by Northamptonshire Golf are efficiently planned and managed in accordance with national guidelines Key Responsibilities 1. Chairs the Northamptonshire Golf Competitions Committee meetings 2. Plan, organise, control and lead the efforts of the Northamptonshire Golf Competitions Committee to produce a co-ordinated and effective team to organise all County competitions 3. Co-opts members from affiliated clubs to assist with the organisation and management of County run competitions Northamptonshire Golf Competitions Director Key Responsibilities cont... 4. Liases with the County Secretary to find and confirm venues for County competitions 5. Liases with affiliated clubs who are holding county events to ensure organisation of the events is conducted in a professional and efficient manner 6. Ensure publicity of events, competition entry and payment is efficient and effective utilising the website facilities wherever possible 7. Ensure effective management of competitions on the day, and/or through the season (Leagues) 8. Attends the Northamptonshire Golf Board of Directors meetings to report on the activities of the Competitions Committee Northamptonshire Golf Team Manager (Director) Key Objective A member of the Board of Directors of Northamptonshire Golf with role of ensuring all teams representing Northamptonshire Golf are efficiently organised and managed in accordance with the objectives of Northamptonshire Golf Key Responsibilities 1. Chairs the Northamptonshire Golf Teams Committee meetings 2. Plan, organise, control and lead the efforts of Northamptonshire Golf teams covering Men (including Seniors), Ladies and Juniors 3.
