NON-DISCLOSURE AGREEMENT
This Agreement is made and entered into on this ---------------------- day of ---- ----- -----“The Agreement”.
BY AND BETWEEN:
1) Crédit Agricole- Egypt, S.A.E , established and existing under the Investment Law No. 8
of 1997, with its Head Office located at Ring Road exit to 90th street, 1st right to Choueifat
area, 5th settlement, New Cairo, holding a Commercial Register No.20051. issued from
Cairo Investment Authority, Arab Republic of Egypt .represented in this Agreement by
Mr. -------------------------------------------- in his capacity as ---------------------------------------------.
(hereinafter being referred to as (“The First Party“)
2) ---------------------------------------------------------------- established and existing under the -----Law No -- -- -- of ---- --- with its head office located at ------------------------------------------------------------------------------------------------------------------------------------ holding a Commercial Register
No. --------------- issued from ----------------------------------------------------, represented in this Agreement
by Mr. ------------------------------------------in his capacity as --------------------------------------------(hereinafter being referred to as (“The Second Party”)
1. On the understanding that both Parties are interested in co-operating in IT field, the
Second Party considers and agrees to hold the confidential information in confidence.
2. The Second Party undertakes to use the confidential information solely for the purpose
of completing the requested tasks assigned by the First Party.
3. This Agreement applies to both technical and commercial information communicated to
the Second Party.
4. All equipments and facilities offered from the First Party should be used only for
completing the requested tasks.
5. The First Party have all the rights to audit all the tasks done by Second Party to ensure
his security standards.
6. The Second Party should notify the First Party for any gaps in the security and escalate
it to both IT Operations & IT Security Heads.
7. The duration of this Agreement shall be --------------------------- starting on ------/-----/-------and ending on------/-----/--------.
The Recipient Party shall keep the entire contents of this Agreement totally confidential
during and after its termination for a period of --------- years, and will not disclose any of
the furnished information to any third party for whatever cause or purpose without the
prior written approval of the other party ; the Discloser Party.
8. It is not allowed for the Second Party to use any software violating the First Party
security principles like (password cracking – sniffers – Trojans – Virus – malicious code …).
9. This Agreement shall not be construed as creating, conveying, transferring, granting or
conferring upon the Second Party any rights, license or authority in or to the information
exchanged, except the limited right to use Confidential Information specified in point 2.
10. This Agreement does not apply to any information in the public domains or media.
11. The Second party should provide the First Party with regular reporting and information
on the service provided.
12. This Agreement, all acts and transactions pursuant hereto and the rights and obligations
of the Parties hereto shall be governed, construed and interpreted in accordance with
the laws of Egypt. Any disputes arising from this Agreement, its execution or
interpretation or regarding any claim related to same shall be subject to the jurisdiction of
South Cairo court.
13. Any notice given under this Agreement shall be made in writing and shall be effective
upon receipt; if delivered by hand or sent by postal mail, when addressed as below.
Either Party may change its address at any time by giving notice of such change.
