WHEREAS, a MidAmerican predecessor entered into an Agreement with Southwest
Federated Power Cooperative (Southwest Federated) for an interconnection at Villisca, Iowa,
dated June 17, 1953, as later modified under date of September 22, 1953, and as later superseded
by an agreement dated January 31, 1968, and
WHEREAS, CIPCO has assumed all transmission responsibilities of Southwest
Federated in respect of the voltages and facilities associated with the foregoing agreements
between a MidAmerican predecessor and Southwest Federated, and
WHEREAS, MidAmerican has assigned to CIPCO all rights and interest in a portion of
the Des Moines to Fort Dodge 161 kV line including the terminal equipment in MidAmerican’s
Des Moines Energy Center (formerly Des Moines Power Station) substation, and
WHEREAS, it is the desire of the Parties to coordinate the planning and construction of
future electric transmission and distribution facilities in their adjoining service areas and to share
the responsibility for providing such additional facilities in a manner commensurate with each
Party’s use thereof; and
WHEREAS, the Parties desire to realize certain benefits of coordinated development,
such benefits including but not limited to economy of operation and improved service reliability,
and
WHEREAS, the Parties desire to provide a vehicle for future interconnection and service
arrangements, and
WHEREAS, Midcontinent Independent System Operator, Inc. (“MISO”) is the
Transmission Provider for MidAmerican and this agreement has been designated as a
Grandfathered Agreement (“GFA”) under the MISO FERC Electric Tariff, Fourth Revised

Volume No. 1 (“Tariff”) at Substitute Original Sheet No. 2890C (listing MidAmerican Contract
No. 472 in Attachment P of the Tariff),and
WHEREAS, this agreement addresses both interconnection and transmission and is being
amended to reflect non-substantial changes that do not alter transmission service and do not alter
the status of this agreement as a GFA under the MISO Tariff and MISO is only executing the
agreement for the limited purpose of monitoring interconnection to the MISO Transmission
System, and
WHEREAS, the Parties acknowledge that MISO is not a party to the agreement, and the
Parties and MISO agree that the amendment to add MISO as a signatory did not alter the
underlying transmission service provided by this agreement as a GFA;
NOW THEREFORE, in consideration of the premises and mutual covenants hereinafter
contained, the Parties do mutually agree as follows:
ARTICLE I - OBJECTIVES
1.01
General
The principal objective of this Agreement is to achieve the maximum practicable
coordination of the planning, construction, and use of the electric facilities of the Parties such
that the greatest possible benefits in economy and reliability of service may be realized and
equitably shared by the Parties.
It is a further objective of this Agreement that each of the Parties will provide a
reasonable share of the coordinated electric facilities on an equitable basis, with due
consideration given to benefits accruing to each Party. For the purposes hereof direct ownership

of facilities, reimbursement for owning and operating costs or payment of a transmission service
charge shall constitute provision of facilities.
1.02
Facilities
It is the intent of the parties to engage in joint planning of their transmission and
substation facilities in adjoining service areas in a manner adequate to assure reliable service to
MidAmerican customers and CIPCO customers.
Adjoining service areas as defined herein are areas of the parties in close proximity to,
and on either side of, a common service territory boundary as defined by the Iowa Utilities
Board.
1.03
Service Areas of CIPCO and MidAmerican
It is the intention of CIPCO and MidAmerican that neither Party will extend its
transmission facilities into or within the service area of the other Party without first advising the
other Party of such proposed extension in accordance with Iowa Utilities Board requirements.
For the purposes hereof, the service area of CIPCO shall be the combined service areas of the
members of CIPCO.
ARTICLE II - GENERAL TERMS AND CONDITIONS
2.01
Responsibilities of Parties
CIPCO will hold MidAmerican harmless of for any taxes, licenses, permits, fees,
penalties or fines assessed against MidAmerican upon any of the property of CIPCO located on
the premises of MidAmerican. MidAmerican will hold CIPCO harmless for any taxes, licenses,
permits, fees, penalties, or fines assessed against CIPCO upon any of the property of

MidAmerican located on the premises of CIPCO. Each Party will be responsible for its own
compliance with environmental regulations, and each party will hold the other harmless from,
and bear all costs arising from, its failure to comply with such environmental regulations.
Each Party shall be liable for damages caused by its facilities and shall indemnify the
other Party from and against any and all liability, loss, damages, and expenses including
judgments, costs and reasonable attorney fees by reason of property damage or injuries to, or
death of, any person or persons resulting from, arising out of, or connected with the constriction,
reconstruction, modification, operation, or maintenance of its facilities. Notwithstanding such
indemnification neither party shall be liable to the other Party for any indirect, consequential,
punitive, or similar damages arising from or in any way connected with this Agreement.
2.02
Notices
Any notice, request, consent, or other communication required or provided for by this
Agreement by one party to the other shall be deemed sufficiently given if delivered through the
United States mails, postage prepaid, addressed to the Party concerned at its address as follows:

2.03
Effective Date and Term of Agreement
Subject to Section 2.06, this Agreement shall become effective upon execution for an
initial period of ten years and shall continue thereafter in effect from year to year until terminated
by either Party giving to the other not less than forty-eight (48) months advance written notice.
This Agreement shall upon execution supersede the following Agreements:
a.
Interconnection and interchange Agreement dated January 31, 1968, by and
between Iowa Power and Southwest Federated;
b.
General Facilities Agreement dated April 30, 1974, and later revised on October
28, 1980, by and between Iowa Power and CIPCO.
c.
The Transmission Service Agreement dated February 27, 1978, as amended on
October 25, 1978, April 27, 1981, and January 28, 1986, by and between Iowa
Power and CIPCO.
d.
Facilities Agreement for Fort Dodge – D.P.S. Interconnection dated January 21,
1960, by and between Iowa Power and Iowa-Illinois Gas and Electric Company,
and subsequently assigned to CIPCO.
2.04
Succession
The benefits and obligations of this Agreement shall inure to and be binding upon the
successors of the original Parties hereto, respectively, for the full term hereof. This Agreement is
not assignable without the written consent of the other Party to this Agreement. Such Consent
shall not be unreasonably withheld.

2.05
Amendment
This Agreement may be amended only by written agreement of the Parties. Waiver or
variations of any right, privilege, or benefit provided hereunder to any party shall not be deemed
an amendment to this Agreement unless and until it be incorporated herein by written agreement
executed by the Parties.
2.06
Regulatory and Administrator Approval
This Agreement and any amendments hereto shall be binding upon the Parties when
approved or accepted for filing by any regulatory authority or other agency having jurisdiction
over the Parties and when approved by the Administrator of the Rural Electrification
Administration or his assign.
The Parties agree to share equally the FERC filing fees related to this Agreement
including all Exhibits and any subsequent amendments to the Agreement and Exhibits when such
sharing is mutually agreeable to both Parties.
2.07
Article and Section Headings not to Affect Meaning
The descriptive heading of the various Articles and Sections of this Agreement have been
inserted for convenience of reference only and shall in no way modify or restrict any of the terms
or provisions hereof.
2.08
Continuity of Service
The facilities described herein shall be made continuously available to the Parties during
the term of this Agreement except during periods of interruption or curtailment of service caused
by uncontrollable forces as defined in Section 2.09 or by operation of devices installed for
system protection or resulting from necessary installation, maintenance, repair or replacement of

equipment. Whenever possible, either Party shall give the other Party reasonable advance notice
of any scheduled interruption of such service.
2.09
Uncontrollable Forces
Neither Party shall be considered to be in default with respect to any obligation hereunder
if prevented from fulfilling such obligation by reason of uncontrollable forces. The term
“uncontrollable forces” shall be deemed for purposes hereof to mean storm, flood, lightning,
earthquake, fire, explosion, failure of facilities not due lack of proper care or maintenance, civil
disturbance, labor disturbance, sabotage, war, national emergency, restraint by court or public
authority, or other causes beyond the control of the Party affected, which such Party could not
reasonably have been expected to have avoided by exercise of due diligence and foresight and by
provision of reserve facilities in accordance with good practice. Either Party unable to fulfill any
obligation by reason of uncontrollable forces will exercise due diligence to remove such
disability with reasonable dispatch, except that any labor dispute may be settled at the discretion
of the involved Party.
2.10
Effect of MISO Signature
The Parties acknowledge and understand that the signature of the authorized officer of
MISO on this agreement is for the limited purpose of acknowledging that the representative of
MISO has read the terms of this agreement. The Parties and MISO further state that they
understand that the FERC desires that the Parties keep MISO fully apprised of the matters
addressed herein as well as any reliability and planning issues that may arise under this
agreement, and that the signature of the officer of MISO shall not in any way be deemed to

imply that MISO is taking responsibility for the actions of either Party, that MISO has any
affirmative duties under this agreement or that MISO is liable in any way under this agreement.
ARTICLE III - FACILITIES
3.01
General
CIPCO and MidAmerican will jointly plan, individually construct and own portions of
any new and additional transmission facilities in the adjoining service areas for service to their
consumers and customers respectively. Each Party will provide the necessary capital for and
assume responsibility for ownership of its property included in the adjoining service areas which
now exist or hereafter develop.
3.02
Ownership of Facilities
Nothing in this Agreement shall affect the present ownership rights of either Party to its
present transmission lines, distribution lines and substation facilities.
3.03
Installation of Necessary Facilities
New transmission facilities required by either Party within the other Party’s service areas
shall be constructed and owned by the Party requiring such facilities or as may be mutually
agreed upon by the Parties. Should it become necessary in the fulfillment of the objectives hereof
for one of the Parties to add facilities on property owned or lease by the other Party, the plans
and specifications describing such additions shall be subject to approval by the Party owning or
leasing the property prior to installation of such additional facilities. In cases where it has been or
is deemed mutually advantageous for one Party to own specific equipment or facilities within the
confines of property owned or leased by the other Party, such specific equipment or facilities

shall be appropriately identified and documentation attesting to ownership thereof shall be
prepared and made available to both Parties.
3.04
Operation of Transmission Facilities
The operation, maintenance, and replacement of facilities provided for hereunder shall be
the responsibility of the Party owning such facilities.
3.05
Coordination of Transmission Operations
CIPCO and MidAmerican shall coordinate the operation of their electric systems within
the adjoining service areas with respect to normally open points, automatic sectionalizing,
transfer switches, and the like, so as to equitably provide the best continuity of service possible
to the Parties in adjoining service areas.
3.06
Joint Use of Transmission Facilities
CIPCO and MidAmerican agree that each Party shall have the right to use the existing
transmission system of the other Party in the other Party’s service areas for the purpose of
delivering power and energy to the load for which the Party has responsibility and, further, that
each Party shall have the right to tap the transmission facilities of the other Party for such
purpose, all subject to written mutual agreement by the Parties incorporated hereunder by
reference and attached hereto as an exhibit.
Except as provided above, this Agreement shall not provide for the wheeling of power or
energy by one Party over the other Party’s facilities to or from a third party.
3.07
Specific Facilities Agreements
The Parties may agree upon the terms for construction or use of specific facilities for the
purposes set forth herein. Such agreements shall be set forth in writing and executed by duly

authorized representatives of the Parties and, further, shall be attached hereto as exhibits and by
reference made a part of this Agreement.
3.08
Operating Committee
a.
Each Party shall appoint one representative and an alternate to act for it in matters
pertaining to the interconnected operation for the respective electric systems of
the Parties and the operating arrangements for the deliveries of power and energy
herein provided for, said two representatives and their alternates being hereinafter
referred to collectively as the Operating Committee. Each Party will evidence
such appointments by written notice to the other Party, and by similar notice
either Party may at any time change its representative on the Operating
Committee. Any representative, by written notice to the other representative, may
authorize an alternate to act in his place with respect to matters specified in such
notice.
b.
The Operating Committee shall hold a meeting whenever requested by either
party. The Operating Committee shall also meet regularly on an annual basis, at a
date and place to be mutually agreed to by the members of the Operating
Committee. Such regular meeting shall be held to coordinate operation and
maintenance schedules of the interconnected facilities and to exchange such
information as will be beneficial to both Parties in carrying out the provisions of
the Agreement.
c.
The representative from each party constituting the Operating Committee shall be
of equal authority, and all decisions made and directions given must be

unanimous. In the event of a disagreement between members of the Operating
Committee, the subject shall be referred to and settled by the President of
MidAmerican and the General Manager of CIPCO.
d.
The Operating Committee shall have not authority to alter, amend, change, or
modify, add to or subtract from any provision of this Agreement nor to bind or to
take any action which would bind the Parties on any issues other than those
arising from the authority specifically given to the Operating Committee under
this Agreement. The Operating Committee may change operating procedures and
standard practices from time to time to meet changing conditions.
e.
Written minutes shall be kept for all meetings of the Operating Committee, and all
decisions or agreements made by the Operating Committee shall be reduced to
writing.
ARTICLE IV – SERVICES RENDERED
4.01
Use of Facilities
Each Party shall pay the other Party for the use of the other Party’s electric system
facilities in the scheduling of the Party’s power and energy at the locations designated in exhibits
attached hereto and at the rates set forth in service Schedule ONE for Delivery Service attached
hereto, as the same may be in effect from time to time.
4.02
Billing and Payment
Within 30 days following the end of each calendar year, the party designated as Billing
Agent shall send the other Party either an invoice or a payment, as necessary, to cover the net
amount of billing for services rendered hereunder together with a detained calculation of the

amount of such billing or payment. The other Party shall furnish any information pertaining to
its system or records which is needed in said calculation. Initially, and until and unless agreed
otherwise by the Parties, MidAmerican will serve as the Billing Agent.
During any calendar year in which service is provided hereunder for less than one year,
charges shall be determined from applicable annual rates but shall be pro-rated according to the
number of days in which service is provided.
Bills shall be due and payable within fifteen (15) days from date such bills are rendered.
Interest on any unpaid amount from the date due until the date upon which payment is made
shall accrue at 12 percent per annum.
ARTICLE V - METERING
5.01
Equipment
Electric power and energy delivered by either Party into the system of the other, at each
point of delivery where it is determined by the parties that it is electrically possible for the power
and energy to flow in either direction, shall be measured separately by non-reversible recording
type watt-hour and demand meters. At such locations, instantaneous demand and hourly energy
readings shall be supplied to each Party’s load control center. At each point of delivery where it
is electrically possible for the power and energy to flow in one direction only, metering shall be
supplied as determined by the Parties.
5.02
Maintenance and Testing
All metering equipment required under this Agreement shall be maintained in accordance
with good practice by the owner. Such metering equipment shall be tested by the owner at
reasonable intervals as agreed upon by the parties and its accuracy of registration maintained in

accordance with good practice and the requirements of the Iowa Utilities Board. On request of
either Party, special tests shall be made. When more frequent tests are requested, the Party
performing the test may bill the other Party for its direct and indirect expenses related solely to
the specific meter test. Either Party shall afford opportunity to representatives of the other to be
present at all routine or special tests and upon occasions when any readings for purposes of
settlements hereunder are taken. If any test of metering equipment discloses an error exceeding
two percent (2%), the account between the Parties shall be adjusted to correct for the error
disclosed, such adjustment to apply to the period during which the error can be determined to
have existed, or if this cannot be determined, then to a period equal to one-half of the time
elapsed between such test and the next preceding one, but in no event for more than thirty (30)
days. Should any metering equipment at any time fail to register, or should the registration
thereof be so erratic as to be meaningless, the amounts of power and energy delivered shall be
determined by the Parties from the best available data.
5.03
Records
In addition to meter records, the Parties shall keep such log sheets and other records as
may be needed to afford a clear history of the various movements of power and energy involved
in transactions hereunder and to effect such differentiations as may be needed in connection with
settlements with respect to such transactions. The originals of all such meter and other records
shall be open to inspection by representatives of either Party.
5.04
Readings
Owners of meters shall record meter readings on the first day of each month or at such
other times as may be agreed upon by the Parties. As promptly as practicable after the meter

reading date, each Party will render to the other a statement setting forth appropriate data from
meter registrations and other sources in such detail and with such segregations as may be needed
for operating records and for settlements hereunder. Each Party will also furnish appropriate data
from meter registrations or from other sources when such data is needed for operating records or
for settlement.
5.05
Loss Compensation
Delivery of energy by one Party to the other in compensation for losses shall be
scheduled under load conditions similar to those prevailing when the losses were incurred.
In the determination of energy losses to be supplied hereunder where more than one loss
compensation percentage is applicable to a given schedule, such adjustments shall be applied
cumulatively in such manner as to be effectively compounded.

FIRST REVISED EXHIBIT A – PELLA AREA
Section 1. General
This Exhibit A shall be effective as part of the Amended and Restated General Facilities
Agreement between Central Iowa power Cooperative (CIPCO) and MidAmerican Energy
Company (MidAmerican) dated November 26, 1991, as subsequently amended and restated on
May 14, 2010 and December ___, 2014, and shall continue in effect so long as such Agreement
remains effective and until either (1) terminated by mutual agreement of the Parties, (2)
superseded by another Exhibit A mutually agreed to by the Parties, or (3) terminated by either
Party giving to the other not less than forty-eight (48) months advance written notice.
It is the intent of the Parties that they establish mutually advantageous interconnections
between their systems such that continued electric service to their customers and consumers may
be provided at minimum cost, all in accordance with the intent and provisions of the Amended
and Restated General Facilities Agreement, and as shown on Drawing A-1 “Pella Area System”
last revised on December 6, 1990, attached hereto and by this reference incorporated herein.
Therefore, the Parties agree as follows:
Section 2. Obligations of the Parties
a.
Poweshiek Line
CIPCO shall continue to own, operate, and maintain a 69 kV transmission line
(Poweshiek Line) from ITC Midwest’s Poweshiek Substation (Poweshiek Substation) to a threeway (GOAB) switch located at a point approximately two miles south and east of the city of
Pella (City) and continuing on southeast two miles to the Howell REC substation. The point of

attachment of the City 69 kV line to this switch shall be a point of interconnection and, further,
shall be known as the CIPCO/Pella (City) 69 kV interconnection.
b.
West Pella Interconnection
CIPCO shall serve a 69/12 kV distribution substation owned, operated, and maintained
by Pella Cooperative Electric Association west of Pella (West Pella REC Substation).
The point of attachment of the slack span 69 kV conductors supplying the West Pella
REC Substation shall be a point of interconnection and, further shall be known as the West Pella
Interconnection. The switching device associated herewith shall be supplied by CIPCO, and
subsequently owned, operated, and maintained by MidAmerican.
c.
MidAmerican/Pella Interconnection
MidAmerican and CIPCO shall regard the point of interconnection between
MidAmerican and the City, located on the 69 kV line approximately one mile west of the City
and known as the MidAmerican/Pella Interconnection, as a point of interconnection between
MidAmerican and CIPCO. The point shall also be known as the MidAmerican/CIPCO 69 kV
Interconnection.
d.
Pleasantville Substation Capacity
MidAmerican shall continue to own, operate, and maintain a distribution substation in the
vicinity of Pleasantville, Iowa (Pleasantville Substation) having adequate capacity to supply the
load of Pella Cooperative Electric Association, a CIPCO member, in that area, up to 4 MVA.
Terms, conditions, and facilities to serve CIPCO loads greater than 4 MVA shall be negotiated
by the Parties.

e.
Pleasantville Substation 13 kV Interconnection
MidAmerican shall, at its sole expense, continue to own, and CIPCO shall continue to
operate and maintain one three-phase 13 kV terminal in its Pleasantville Substation, such
terminal to include a disconnect switch, lightning arresters, and necessary metering equipment.
CIPCO shall operate and maintain the meter/recorder. A circuit breaker or recloser (if required)
and voltage regulator will be supplied by CIPCO at its sole expense. Further, MidAmerican will
continue to allow CIPCO to connect its 13 kV system to such terminal. The point of such
connection shall be a point of interconnection and, further, shall be known as the Pleasantville 13
kV Interconnection.
f.
Pleasantville Transmission Capacity
MidAmerican shall continue to provide 69 kV transmission capacity to supply the CIPCO
Pleasantville load to a maximum of 4 MVA. Terms, conditions, and facilities to serve the load in
excess of 4 MVA shall be negotiated by the Parties.
g.
Otley Substation Capacity
CIPCO shall continue to serve a distribution substation owned operated and maintained
by Pella Cooperative Electric Association in the vicinity of Otley, Iowa (Otley Substation) and
shall use its best efforts to ensure that Pella Cooperative Electric Association maintains adequate
capacity in such substation to supply the load of MidAmerican in that area, up to 4 MVA. Terms,
conditions, and facilities to serve MidAmerican loads greater than 4 MVA shall be negotiated by
the Parties.
h.
Otley Substation 13 kV Interconnection

CIPCO shall, at its sole expense, continue to own, operate, and maintain a three-phase 13

CIPCO shall continue to allow MidAmerican to connect its 13 kV system to such
terminal. The point of such connection shall be a point of interconnection and, further, shall be
known as the Otley 13 kV Interconnection.
i.
Otley Substation 69 kV Interconnection
MidAmerican shall continue to allow CIPCO to connect Pella Cooperative Electric
Association’s Otley Substation to MidAmerican’s 69 kV transmission line located in the vicinity
of Otley. The point of attachment of the slack span 69 kV conductors supplying such substation
to the group operated air break (GOAB) switch on the MidAmerican 69 kV line shall be a point
of interconnection and, further, shall be known as the Otley 69 kV Interconnection.
j.
Otley Transmission Capacity
MidAmerican shall continue to provide 69 kV transmission capacity to supply the Otley
Substation to a maximum of 4 MVA. Terms, conditions, and facilities to serve load in excess of
4 MVA shall be negotiated by the Parties.
k. Tracy 69 kV Interconnection
MidAmerican shall continue to allow CIPCO to connect the Pella Cooperative Electric
Association’s Tracy REC Substation to MidAmerican’s 69 kV transmission line located in the
vicinity of Tracy, Iowa. The point of attachment of the slack span 69 kV conductors supplying
such substation to the group operated airbreak (GOAB) switch on the MidAmerican 69 k V line

l.
Tracy Transmission Capacity
MidAmerican shall continue to provide 69 kV transmission capacity to supply the Tracy
Substation to a maximum of 3 MVA. Terms, conditions, and facilities to serve load in excess of
3 MVA shall be negotiated by the Parties.
m.
ITC Midwest Poweshiek Transmission Source
CIPCO will continue to provide for 161 kV transmission and 161/69 kV substation
capacity to serve load in the Pella area under the provisions of a separate agreement with ITC
Midwest. Power and energy for CIPCO loads connected to the MidAmerican 69 kV system in
the Pella area shall be supplied by CIPCO to the MidAmerican 69 kV system.
n.
West Knoxville 69 kV Interconnection
MidAmerican shall allow CIPCO to connect its West Knoxville Substation to
MidAmerican’s Pleasantville – Knoxville 69 kV transmission line located in the vicinity of
Knoxville, Iowa. The point of attachment of the slack span 69 kV conductors supplying such
substation to the group operated airbreak (GOAB) switch on the MidAmerican 69 k V line shall
be a point of interconnection and further, shall be known as the West Knoxville 69 kV
Interconnection.
o.
West Knoxville Capacity
800 kW of the load to be served from West Knoxville Substation will be considered load
formerly served from Pleasantville Substation, and will be included in determining the
Pleasantville Substation 4 MVA capacity limit stipulated in paragraph d. above.

Section 3. Metering and Losses
For all power and energy supplied to CIPCO loads within MidAmerican’s load control
area, CIPCO agrees to deliver to MidAmerican, power and energy in compensation for losses in
the amount of three and one-half percent (3.5%) of all power and energy delivered to CIPCO
where these loads are metered on the secondary side of the substation transformer, or in the
amount of two percent (2%) where metered on the primary side or where metered on the
secondary side with transformer loss compensating devices provided. All such loads shall be
metered in accordance with Article V of the Amended and Restated General Facilities
Agreement. Inasmuch as power and energy can flow in one direction only, the metering shall
consist of a non-reversible recording type electronic watt-hour and demand meter connected to
measure flow in the transformer.
Section 4. Billing
a.
Pella Area Transmission
69 kV Transmission Delivery Service for such capacity as may be required to supply the
CIPCO load in the areas of West Pella, Otley, Pleasantville, Tracy and West Knoxville
Substations and as may be delivered from the Pella 69 kV Interconnection to the respective
substations, shall be provided under the terms of Article IV of the Amended and Restated
General Facilities Agreement.
The amount of such capacity provided by MidAmerican shall be the sum of the
individual maximum one hour kW substation demands including one and one-half percent
(1.5%) substation transformer loss during the previous twelve months as metered at West Pella,
Otley, Pleasantville, Tracy and West Knoxville. Notwithstanding, CIPCO shall deliver to

MidAmerican energy and power in compensation for substation transformer and subtransmission losses in accordance with Section 3 hereof.

13 kV bus shall be provided under the terms of Article IV of the Amended and Restated General

Imogene 69 kV Interconnection
CIPCO shall continue to serve a 69/12.47 kV substation in the vicinity of Imogene
(Imogene Substation) for the purpose of providing electric service for Southwest Iowa Rural
Electric Cooperative (successor to Nyman Electric Cooperative), a CIPCO member system, and
shall have the right to tap the above mentioned Hastings-Shenandoah line to supply this
substation.
The point of attachment of the CIPCO line conductors to the Hastings-Shenandoah line
shall be a point of interconnection and, further, shall be known as the Imogene 69 kV
Interconnection.
c.
Essex 69 kV Interconnection
CIPCO shall continue to serve a 69/12.47 kV substation in the vicinity of Essex (Essex
Substation) for the purpose of providing electric service for Southwest Iowa Rural Electric
Cooperative (successor to Nyman Electric Cooperative), a CIPCO member system, and shall
have the right to tap the Clarinda-Shenandoah line to supply this substation. The point of
attachment of the CIPCO line conductors to the Clarinda-Shenandoah line shall be a point of
interconnection, and further, shall be known the Essex 69 kV Interconnection.
d.
Future MidAmerican Load at Essex
CIPCO shall use its best efforts to ensure that Southwest Iowa Rural Electric Cooperative
(successor to Nyman Electric Cooperative) accommodates the request of MidAmerican at some

future time to serve a portion of its load from, either or both, Imogene and Essex Substations.
Payment therefor shall be made, at such time as such service may be provided, in accordance
with the terms of the Amended and Restated General Facilities Agreement.

South Section Hastings-Shenandoah Line
MidAmerican shall continue to own, operate, and maintain that portion of the HastingsShenandoah 69 kV line which shall begin at MidAmerican’s Shenandoah Substation and end at
the Imogene Substation tap point, such portion to be known as the South Section.
f.
Hastings 69 kV Terminal
MidAmerican shall, at its Hastings Substation, continue to own, operate and maintain a
69 kV terminal for termination of the North Section (Hastings Terminal), which shall include an
oil circuit breaker or equivalent interrupting device, surge arresters, protective relaying,
supervisory control equipment, a structure suitable for attachment of CIPCO’s 69 kV line
conductors and other appurtenant devices deemed necessary for safe and reliable operation.
g.
Shenandoah 69 kV Terminal
MidAmerican shall, at its Shenandoah Substation, continue to own, operate and maintain
a 69 kV terminal for termination of the south Section, such terminal to include an oil circuit
breaker or equivalent interrupting device, surge arresters, protective relaying, supervisory control
equipment, a structure suitable for attachment of 69 kV line conductors and other appurtenant
devices deemed necessary for safe and reliable operation.
Section 3. Metering and Losses

CIPCO at the WAPA Creston Substation.

shall remain effective and until either (1) terminated by mutual agreement of the Parties, (2)
superseded by another Exhibit C mutually agreed to by the Parties, or (3) terminated by either
Party giving to the other no less than forty-eight (48) months advance written notice.
It is the intent of the parties that they establish mutually advantageous interconnections
between their systems such that continued service to their customers and consumers may be
provided at minimum cost, all in accordance with the intent and provisions of the Amended and
Restated General Facilities Agreement and as shown on Drawing C-1 “Winterset System”, last
revised on December 6, 1990, attached hereto and by this reference incorporated herein.
Therefore, the Parties agree as follows:
Section 2. Obligations of the Parties
a.
Winterset Junction Substation
CIPCO shall continue to own, operate, and maintain a 161/69 kV substation in the
vicinity of Winterset (Winterset Junction Substation).
b.
Winterset Junction 161 kV Interconnection
MidAmerican shall continue to allow CIPCO to connect its Winterset Junction Substation
to MidAmerican’s 161 kV transmission line in the vicinity of Winterset. The point of

attachment of the slack spans of the 161 kV conductors supplying such substation to the
Winterset Junction Substation 161 kV line dead end structures shall be points of interconnection
and shall be known collectively as the Winterset Junction 161 kV Interconnection.
MidAmerican shall continue to own, operate, and maintain the 161 kV line to the point of
attachment to the substation.
c.
Patterson Interconnection
MidAmerican shall continue to own, operate, and maintain a 69/13 kV substation in the
vicinity of Patterson (MidAmerican Patterson Substation). CIPCO shall continue to serve a
69/12.47 kV distribution substation owned, operated and maintained by Farmers Electric
Cooperative, also in the vicinity of Patterson (Patterson REC). MidAmerican shall continue to
own, operate, and maintain a 69V transmission line from the Patterson REC substation to the
MidAmerican Patterson Substation (Patterson Line).
The point of connection of the MidAmerican Patterson Line to the Patterson REC
Substation shall be a point of interconnection and, further, shall be known as the Patterson 69 kV
Interconnection. MidAmerican shall furnish and install, and CIPCO shall own, operate, and
maintain motor operated remote controlled load break switches at the Patterson REC substation.
CIPCO shall control the operation of the motor operated switches with prior coordination
between the MidAmerican and CIPCO control centers.
The metering transformers, wiring and meter/recorder for MidAmerican’s Patterson
Substation shall continue to be owned by MidAmerican. CIPCO shall operate and maintain the
meter/recorder.

d.
Enron Substation and Line
MidAmerican shall own, operate, and maintain a 69 kV transmission line (ENRON Line)
connecting MidAmerican’s Earlham 161/69 kV substation and its ENRON 69/4.16 kV
substation. At the tap point to the ENRON Substation, MidAmerican shall provide a termination
structure and necessary equipment to terminate the ENRON Line and the Earlham REC Line, as
hereinafter defined.
e.
Earlham 69 kV Interconnection
CIPCO shall own, operate, and maintain a 69 kV transmission line (Earlham REC Line)
from the ENRON Substation tap point to a termination structure at Earlham REC Substation, at
which point the Earlham REC Line will be connected to the existing 69 kV line to Winterset
Junction Substation. CIPCO shall own, operate, and maintain motor operated remote controlled
load break switches at the Earlham REC Substation end of the line. CIPCO shall control the
operation of the motor operated switches with prior coordination between MidAmerican and
CIPCO control centers.
The point of attachment of the CIPCO Earlham REC Line conductors to the ENRON
Substation tap point shall be known as the CIPCO Earlham 69 kV Interconnection.
f.
Indianola 69 kV Line
By means of a separate agreement between MidAmerican and the City of Indianola
(Indianola), Indianola constructed and owns, operates and maintains a 69 kV line from
Indianola’s Harrison Substation to MidAmerican’s Patterson Substation.

Section 3. Metering and Losses
For all power and energy supplied to CIPCO loads within MidAmerican’s load control
area, CIPCO agrees to deliver to MidAmerican, power and energy in compensation for
transmission losses in the amount of three and one-half percent (3.5%) of all power and energy
delivered to CIPCO where these loads are metered on the secondary side of the substation
transformer, or in the amount of two percent (2%) where metered on the primary side or where
metered on the secondary side with transformer loss compensating devices provided. All such
loads shall be metered in accordance with Article V of the Amended and Restated General
Facilities Agreement. Inasmuch as power and energy can flow in one direction only, the
metering shall consist of a non-reversible recording type electronic watt-hour and demand meter
connected to measure flow in the transformer.
Power and energy through the 161/69 kV transformers at CIPCO’s Winterset Junction
Substation shall be metered on the 69 kV side as described in Article V of the Amended and
Restated General Facilities Agreement for power and energy flow in either direction.
Section 4. Billing
Transmission capacity for 161 kV and above for the CIPCO power and energy delivered
to the Winterset Junction Substation shall be supplied by MidAmerican under the terms of
Exhibit D of the Amended and Restated General Facilities Agreement.

EXHIBIT D - 161 KV TRANSMISSION SERVICE
Section 1. General
This Exhibit D shall upon its execution be effective under and as a part of the Amended
and Restated General Facilities Agreement between Central Iowa Power Cooperative (CIPCO)
and MidAmerican Energy Company (MidAmerican) dated November 26, 1991, as subsequently
amended and restated on May 14, 2010 and December ___, 2014, and shall continue in effect for
an initial period ending January 1, 2001, and thereafter from year to year unless (1) terminated
by mutual agreement of the Parties, (2) superseded by another Exhibit D mutually agreed to by
the Parties, or (3) terminated by written notice given by either Party to the other, such notice to
be served not less than two (2) years prior to the effective date of termination.
MidAmerican, CIPCO, Corn Belt Power Cooperative, and the City of Cedar Falls, Iowa,
are parties to an Agreement dated July 31, 1973, (later amended to include the City of Atlantic,
Iowa, as a party) which provides for construction, ownership, and operation of Council Bluffs
Generating Unit No. 3 (Unit 3) at the Council Bluffs Power Station, located in the vicinity of
Council Bluffs, Iowa, and which further provides for construction and ownership of outlet
transmission facilities for Unit 3.
CIPCO, by virtue of its interest in the aforesaid agreement, has certain rights for delivery
of its share of power generated by Unit 3 over the Unit 3 outlet transmission facilities.
CIPCO requires the use of transmission facilities of MidAmerican other than those
associated with Unit 3 for the further delivery of power generated by Unit 3 and supplied to
CIPCO’s electric system through the system of MidAmerican.

Consistent with the intent of the Amended and Restated General Facilities Agreement,
the Parties desire to set forth in writing certain terms and conditions under which MidAmerican
shall provide transmission service to CIPCO for the purposes stated hereinabove.
Section 2. Obligations of the Parties
a.
CIPCO Capacity
MidAmerican agrees to make available to CIPCO capacity in its transmission system
from the input points to the points of delivery and at the maximum rates of delivery hereinafter
described.
b.
System Losses
CIPCO agrees to continue to pay MidAmerican for transmission service rendered
hereunder at the rate hereinafter described. CIPCO agrees to deliver to MidAmerican, power and
energy in compensation for losses which occur in the MidAmerican Transmission System due to
CIPCO energy schedules hereunder in the amount of two (2) percent of the net amount of such
energy schedules during any hour. As nearly as is practicable, CIPCO shall provide such loss
compensation simultaneously with deliveries hereunder.
c.
Transmission Requirements
The Parties agree to review their transmission and scheduling requirement from time to
time, at intervals not to exceed three years and as necessitated by such changes in, or additions
to, the generation and transmission systems of the Partiers or other parties as may significantly
affect the premises and conditions herein stated, and to make any appropriate adjustments hereto,
to be evidenced in writing by revision or amendment of this Exhibit.

d.
Service Charge Adjustments
CIPCO agrees to pay MidAmerican the amount of ten dollars forty-six cents ($10.46) per
kilowatt per calendar year for transmission capacity furnished as hereinabove provided, in the
amount shown in Exhibit D-A hereof commencing with the effective date hereof. It is further
agreed that compensating adjustments shall be made in such payments whenever: (1) the annual
fixed charge rate for facilities owned by MidAmerican and used for the purpose hereof varies up
or down from the present value of 18.99% by more than 1.00% (upper limit 19.99%, lower limit
17.99%), as determined by MidAmerican’s annual review, or (2) MidAmerican’s investment is
adjusted upward or downward from the amounts shown in Exhibit D-A hereof. Adjustment to
the basic charge established in Exhibit D-A shall become effective on such date as ordered by the
Federal Energy Regulatory Commission following the filing of an amended Exhibit D with such
Commission.
Section 3. Scheduling Points
The Parties agree that CIPCO may schedule power and energy to the load for which it has
responsibility hereunder through the transmission system of MidAmerican at nominal voltage
levels of 161 kV or higher to its electric system from the following points of input:

Other Input
Any point of interconnection between the systems of MidAmerican and other parties at
nominal voltages of 161 kV or higher provided CIPCO has arranged for scheduling rights with
such other parties, or is a party to such interconnection.

Facilities Agreement, MidAmerican shall bill CIPCO as of the first day of each month in
accordance with the terms hereof for services rendered during the preceding month and all bills
shall be due and payable within fifteen (15) days following the date rendered.

and Restated General Facilities Agreement and as shown on Drawing E-1 “Clarinda-Villisca

Clarinda Substation
MidAmerican shall at its Clarinda Substation continue to own, operate, and maintain a 69
kV terminal for the Clarinda Line (Clarinda Terminal), which shall include an oil circuit breaker
or equivalent interrupting device, surge arresters, protective relaying, supervisory control
equipment, a structure suitable for attachment of CIPCO’s 69 kV line conductors and other
appurtenant devices deemed necessary for safe and reliable operation. The point of connection of
the Clarinda Line to the Clarinda Terminal shall be a point of interconnection and shall be known
as the Clarinda 69 kV Interconnection.
c.
Villisca Substation
CIPCO shall continue to own, operate, and maintain a distribution substation in the
vicinity of Villisca, Iowa (Villisca 69/13 kV Substation) and shall, at its sole expense, continue
to own, operate and maintain a three-phase 13 kV terminal and allow MidAmerican to connect
its 13 kV system to such terminal. The point of such connection shall be a point of
interconnection and, further, shall be known as the Villisca 13 kV Interconnection.
d.
Coburg REC Interconnection
MidAmerican shall continue to own, operate, and maintain its 69 kV line south of Red
Oak, Iowa, as generally shown on Drawing E-1. MidAmerican shall at CIPCO’s expense, install
a tap structure and two disconnect switch structures on its 69 kV line and allow CIPCO to
interconnect its 69 kV system to the tap structure. MidAmerican shall own, operate, and maintain
the tap structure, and two disconnect switch structures on its 69 kV line. CIPCO shall at its sole
expense install, own, operate, and maintain a tap switch and 69 kV line from MidAmerican’s tap
structure to Southwest Iowa Rural Electric Cooperative’s (successor to Nyman Electric

Cooperative) Coburg Substation. The point of interconnection shall be at the point where
CIPCO’s 69 kV conductor attaches to the MidAmerican tap structure, and shall be known as the
Coburg 69 kV Interconnection.
e.
Villisca Substation Engineering
MidAmerican shall have the opportunity to review and comment on the engineering of
CIPCO’s Villisca Substation insofar as it may relate to delivery of power by CIPCO to
MidAmerican at 13 kV. CIPCO shall have the opportunity to review and comment on the
engineering of MidAmerican’s Clarinda Substation insofar as it relates to the 69 kV
interconnection with CIPCO.
f.
Villisca Line Purchase
Upon termination of this Agreement, MidAmerican shall acquire CIPCO’s 69 kV line
from Clarinda to Villisca, at its original cost less accrued depreciation.
Section 3. Metering and Losses
a.
Clarinda Metering
MidAmerican will continue to own, operate, and maintain metering on the Clarinda 69
kV Interconnection at the Clarinda Substation. Power and energy on the Clarinda Line shall be
metered as described in Article V of the Amended and Restated General Facilities Agreement for
power and energy flow in either direction.
b.
Villisca Metering
CIPCO will continue to own, operate, and maintain metering on the Villisca 13 kV
Interconnection at the Villisca 69/13 kV Substation. Power and energy on MidAmerican’s 13 kV
system shall be metered as described in Article V of the Amended and Restated General

Facilities Agreement for power and energy flow in one direction. The metering shall consist of a

energy in compensation for losses in the amount of 3.5% (2 percent transmission losses and 1.5
percent transformer losses) of all power and energy delivered to MidAmerican.
c.
Coburg Metering
CIPCO shall install, own, operate, and maintain metering equipment at Southwest Iowa
Rural Electric Cooperative’s (successor to Nyman Electric Cooperative) Coburg Substation.
CIPCO agrees to deliver to MidAmerican, power and energy in compensation for transmission

This Exhibit F supersedes the original Exhibit F, dated November 26, 1991, of the
Facilities Agreement. The superseded Exhibit F listed equipment provided by MidAmerican and
annual charges paid by CIPCO for the termination of CIPCO’s Ft. Dodge line, a/k/a the Boone
Junction Line, at MidAmerican’s Des Moines Energy Center (DMEC) 161 kV Substation, or the
DPS 161 kV Substation. MidAmerican now desires to purchase approximately 8.5 miles of
CIPCO’s Boone Junction Line between the DMEC Substation and the new Bondurant 161 kV
Substation (Substation) to be constructed by MidAmerican on its DMEC – Sycamore 161 kV
Line. CIPCO desires to terminate its Bondurant to Boone Junction 161 kV Line (Line) at the
Substation, thus maintaining this mutually advantageous interconnection between the Parties.
The Line and its terminals are shown on Drawing F-1 entitled, “Bondurant-Boone Junction
System”, dated March 16, 1994, attached hereto and by this reference incorporated herein.

MidAmerican Purchase of CIPCO 161 kV Line
MidAmerican agrees to purchase, and CIPCO agrees to sell, for the sum of $255,000 net
of taxes, approximately 8.5 miles of the line between the DMEC 161 kV Substation and the
Substation, which purchase and sale are to be effected through a Purchase and Sale Agreement
dated June 29, 1994, describing the structures, conductor, and related equipment, and the
franchises, right-of-way easements, and related permits and licenses included in the transaction.
b.
CIPCO Payment for Terminal at Bondurant
CIPCO agrees to provide to MidAmerican, as a Contribution In Aid of Construction the
sum of $255,000, to be applied to the termination of the Line in the Substation.
c.
Bondurant Interconnection
MidAmerican agrees to construct, own, operate, maintain, and replace as required all
equipment necessary to terminate the Line in the Substation, major components of which will
include a dead-end tower, one 161 kV circuit breaker with isolation switches, lightning arresters,
coupling capacitor potential devices with carrier accessories, steel structures and foundations,
interconnecting cables and wiring, protective relaying compatible with relaying at Boone
Junction, carrier current transmitters and receivers, SCADA equipment, and metering and
telemetering equipment. The point of attachment of the conductors of Line to the dead-end tower
in the Substation will be a point of interconnection known as the Bondurant Interconnection
(Interconnection).

Future Facilities at Bondurant
The Parties agree that arrangements and payment for future equipment and facilities
deemed necessary by either Party for termination of the Line or operation of the Interconnection
will be negotiated. Such future equipment and facilities will be constructed, owned, operated,
maintained, and replaced as required by MidAmerican, regardless of the agreement on payment.
e.
CIPCO Scheduling Capacity
MidAmerican agrees to transfer to the Substation all rights to schedule power and energy
through its system to the DMEC 161 kV Substation which are granted to CIPCO in Exhibit D
(161 kV Transmission Service) of the Facilities Agreement.
f.
Future MidAmerican Substation
CIPCO agrees to allow MidAmerican to connect a future substation or switching station
to the Line north of the Substation at such time as MidAmerican may determine the connection is
appropriate. If CIPCO desires to sell additional portions of the Line north of the Substation,
CIPCO agrees to notify MidAmerican of its intent and to consider MidAmerican as a potential
buyer.
g.
Future CIPCO Substation
MidAmerican agrees to allow CIPCO to connect a future substation or switching station
to MidAmerican’s Creston-Clarinda 161 kV line.
h.
CIPCO Capacity in DMEC-Bondurant 161 kV Line
MidAmerican agrees to allow CIPCO to utilize unused capacity in MidAmerican’s 161
kV transmission line between DMEC and the Interconnection as a scheduling path for power and

energy to their respective loads in Boone Junction and Ft. Dodge, provided that such use does
not interfere with or impair MidAmerican’s use of its transmission line.
i.
CIPCO Waiver of Terminal Acquisition Rights
CIPCO waives all rights to acquire equipment and facilities devoted to the termination of
the Boone Junction 161 kV Line at the DMEC 161 kV Substation upon termination of the
superseded Exhibit F.
Section 3. Metering
Since power and energy can flow through the Interconnection in either direction, the
metering will consist of separate non-reversible recording-type watt-hour and demand meters,
and of telemetering equipment capable of supplying instantaneous demand and hourly readings
to the load control centers of the Parties, an accordance with Article V of the Facilities
Agreement.
Section 4. Payments
a.
CIPCO Terminal Usage Payments Cease
Payments made by CIPCO for equipment and facilities for termination of the Boone
Junction 161 kV Line at the DMEC 161 kV Substation under the superseded Exhibit F will cease
at the end of the last full month during which the Line is terminated in the Substation and is
ready for operation, or at the time the 8.5-mile line from DMEC to the Substation is removed
from service, whichever occurs first.
b.
Payments Subject to Regulatory Approval
The payment made by MidAmerican for the 8.5-mile line from DMEC to the Substation,
and the Contribution In Aid of Construction made by CIPCO for termination of the Line in the

Substation, will be made upon approval of the Purchase and Sale Agreement and this Exhibit F,
respectively, by the Administrator of the Rural Electrification Administration, the Federal
Energy Regulatory Commission, and other governmental agencies, if applicable. Each Party will
be responsible for its own costs associated with the procurement of approval from regulators to
which it is subject. If any necessary approval is not received, this Exhibit F and all obligations
pursuant thereto shall be null and void.
c.
No Other Payments Required Unless Negotiated
No other payments by the Parties, periodic or otherwise, associated with this Exhibit F
will be required unless subsequently negotiated.

EXHIBIT H – JESUP INTERCONNECTION
to the Amended and Restated General Facilities Agreement
between
MidAmerican Energy Company
and
Central Iowa Power Cooperative
Section 1. General
This Exhibit H shall be effective as part of the Amended and Restated General Facilities
Agreement between Central Iowa Power Cooperative (CIPCO) and MidAmerican Energy
Company (MidAmerican) dated November 26, 1991, as subsequently amended and restated on
May 14, 2010 and December ___, 2014, and shall continue in effect so long as such Agreement
shall remain effective and until either (1) terminated by mutual agreement of the Parties, or (2)
superseded by another Exhibit H mutually agreed to by the Parties.
It is the intent of the Parties that they establish mutually advantageous interconnections
between their systems such that continued electric service to their customers and consumers may
be provided at minimum cost, all in accordance with the intent and provisions of the Amended
and Restated General Facilities Agreement and as shown on MidAmerican drawing H-1 dated
12-3-93. Therefore, the Parties agree as follows:
Section 2. Obligations of the Parties
a.
CIPCO Radial Tap to Jesup
CIPCO will continue to own, operate, and maintain a one mile radial 3/0 ACSR 69 kV
transmission line located in the Southeast Corner of Section 26, Township 89 North, Range 10
West, Buchanan County originating at a tap on the MidAmerican Black Hawk to Independence
69 kV line. This redial line provides transmission service to a 3.75 MVA, 69-12.5 kV substation
owned, operated, and maintained by Buchanan County Rural Electric Cooperative. This station
is known as the Jesup REC Substation and is located at the Southwest Corner of Section 24, T89N, R-10W, Buchanan County. Buchanan County REC will continue to provide 69 kV fuses as
part of this substation.

b.
MidAmerican Switching Facilities
MidAmerican will continue to own, operate and maintain a switching structure to tap its
69 kV line including two-way 69 kV disconnect switches and all necessary insulators. CIPCO
previously reimbursed MidAmerican for the installed cost and will provide future replacement
costs if necessary of the switching structure, disconnect switches, insulators and other related
materials.
c.
CIPCO Switching Facilities
CIPCO will continue to own, operate and maintain a one-way switching structure on its
radial line located one span north of the MidAmerican switching structure.
d.
Blackhawk-Independence Line Normally Open
It is understood that the Black Hawk to Independence 69 kV line is designed to operate as
a normally open line. MidAmerican switch #6729 at Jesup is presently operated normally open
and will continue in that mode unless changed by mutual consent of the Parties. Switch #6729
will be closed in appropriate situations to restore or maintain service to loads service by the line.
Section 3. Metering and Losses
CIPCO will continue to own, operate and maintain 12.5 kV mitering facilities at the
Jesup REC Substation. Readings will be increased 2% to reflect losses in the substation
transformer. Energy consumption will be reported monthly by CIPCO to Alliant Energy, which
will make repayment under the terms of its interconnection with MidAmerican. CIPCO will be
responsible for payback of transmission losses to Alliant Energy through their interchange
agreement with Alliant Energy.
Section 4. Billing
A fixed carrying charge of $1,377 will continue to be invoiced annually to CIPCO by
MidAmerican in consideration for the use of 0.42 miles of the MidAmerican Black Hawk to
Independence 69 kV transmission line, between CIPCO’s Jesup tap and the point of
Interconnection with Alliant Energy, located in the NE 1/4, Section 35, T-89N, R-10W,
Buchanan County.
