RECEIVER’S MOTION FOR ENTRY OF ORDER
CONFIRMING SALE OF RECEIVERSHIP ESTATE PROPERTY
COMES NOW Thomas L. Taylor III (“Receiver”), Court-appointed receiver in the
above-styled enforcement action, and pursuant to this Court’s previously entered Order (1)
Granting Receiver Authority to Sell Oil and Gas Interests; (2) Approving Engagement of Sales
and Marketing Firm; and (3) Approving Sales Procedures (Dkt. 77) (the “Sales Order”)
respectfully moves this Court for entry of an Order confirming the sale of certain property
interests owned by the Receivership Estate. 1
By the present Motion, Receiver seeks confirmation of the sale -- free and clear of all
liens, claims and encumbrances -- of Receivership Estate assets to Relic Mineral Fund L.P.
(“Buyer”) for the purchase price of $82,500. These assets consist of various royalty interests and

overriding royalty interests located in Arkansas, Colorado, New Mexico, North Dakota,
Oklahoma, Texas and Wyoming, as more fully described in Exhibit C attached hereto (the
“Barefoot Technicolor Assets”). The full purchase price has been paid by Buyer and is held by
EnergyNet.com, Inc. (“EnergyNet”) in escrow pending entry of a confirmation Order by this
Court. The Receiver and Buyer also have executed an “Agreement of Sale” with respect to the
Barefoot Technicolor Assets. Exhibit D attached hereto.
The Receiver has, contemporaneously with the filing of this Motion, served notice of this
Motion upon all parties to the above-styled enforcement action. The Receiver is not aware of any
non-parties with potential or purported interests in the Barefoot Technicolor Assets as of the
filing of this Motion. All known liens, claims, encumbrances and other interests in the Barefoot
Technicolor Assets previously have been removed pursuant to Order of this Court. See Dkt. 147
(Order approving settlement with Amegy Bank, N.A.). Pursuant to the Sales Order, any person
seeking to oppose the confirmation of the sales detailed herein must file such opposition with the
Court within fifteen (15) days of the filing of this Motion. Sales Order ¶8.
The Receiver has discussed this Motion with counsel for Plaintiff Securities and
Exchange Commission (the “Commission”), who do not oppose the relief sought herein.
A. Marketing and Sale of Receivership Estate Oil and Gas Interests Pursuant to
28 U.S.C. §§ 2001 and 2002 as Modified by the Sales Order
This Court entered the Sales Order on May 27, 2014, adopting the sales procedures
proposed by the Receiver in his Motion (1) for Authority to Sell Oil and Gas Interests; (2) for
Authority to Retain Sales and Marketing Firm; and (3) for Approval of Sales Procedures
(Dkt. 69). Pursuant to the Sales Order, the Receiver and EnergyNet executed the Sellers
Agreement for the Sale of Oil and Gas Properties (the “Sellers Agreement”). Dkt. 110-1 at 3, ¶3.

Pursuant to the Sellers Agreement, EnergyNet has assisted the Receiver in the marketing and
sale of the oil and gas interests owned by the Receivership Estate, including the sale of the
Barefoot Technicolor Assets which, through this Motion, the Receiver seeks to confirm. Id.
As previously reported to this Court (see Dkt. 110), the Receiver has complied with the
notice requirements set forth in paragraph 6 of the Sales Order with respect to the sale of the
Receivership Estate’s oil and gas portfolio on EnergyNet.com. On or about July 30, 2014 the
Receiver posted on the Receivership Estate website (www.vendettaroyaltyreceivership.com) a
notice of the Sales Order entered by this Court and the sale of Receivership Assets through
EnergyNet. Dkt. 110-1 at 4, ¶7. Since that date, this notice has been prominently displayed at the
top of the main page of the Receivership Estate website, and will remain displayed on the
Receivership Estate website through the final sale of oil and gas assets pursuant to the Sales
Order. Taylor Decl. ¶3.
Additionally, and in satisfaction of Sales Order ¶6, Hart Energy ran a “Breaking News”
story on August 6, 2014 on its A&D Watch website, emailed to subscribers, detailing the
Vendetta Receivership, the Commission’s enforcement action and the Receivership Assets which
would be sold through auctions on EnergyNet. Dkt. 110-1 at 4 – 5, ¶¶8 – 9. That story again
appeared in Hart Energy’s “A&D Watch Weekly” newsletter on August 13, 2014. Id. On August
13, August 20, August 27 and September 3, 2014, Hart Energy listed in the “On the Market”
section of its “A&D Watch Weekly” newsletter that Receivership assets were being listed as for
sale by the Receiver, and directing potential buyers to EnergyNet. Dkt. 110-1 at 5, ¶10.
B. Marketing and Sale of the Barefoot Technicolor Assets
The preparation of the online “data room” for the Barefoot Technicolor Assets (Lot
35257) was completed and opened to the public on or about May 9, 2016. Taylor Decl. ¶4. At

this time, the “lot” number for the sale was displayed at the top of the main page of the
Receivership Estate website, and remained through the close of the auction. Id. ¶3.
EnergyNet also engaged in marketing efforts with respect to this auction as directed in
paragraph 6(2) of the Sales Order. These efforts included (1) listing the auction on the EnergyNet
website portal, and including the auction in weekly property listing updates sent to over 18,000
registered EnergyNet buyers; (2) marketing the auction through telephone calls to potential
buyers that have expressed interest in similar properties in the past, and bidders that have
recently purchased packages in the area; and (3) through the pre-saved search feature on the
EnergyNet.com website. Felton Decl. ¶2; Exhibit E.
A total of 341 unique EnergyNet users visited the Barefoot Technicolor Assets “data
room” on 1,448 occasions. Taylor Decl. ¶4. The auction bid window was open to potential
buyers from May 26 through June 2, 2016. Id. During the auction, 65 bids were placed on the
Barefoot Technicolor Assets by 21 unique bidders. Id. At the close of the auction period, Buyer
had placed the highest bid for $82,500, an amount greater than the minimum bid reserve price set
based on the recommendations of EnergyNet personnel and Scott Marshall. Accordingly,
EnergyNet declared Buyer the winning bidder (subject to Court confirmation of the sale). The
purchase price represents approximately 107 months of cash flow from the month preceding the
auction, an amount consistent with the current market on EnergyNet for assets of this nature.

The Receiver now requests that the Court confirm the sale of the Barefoot Technicolor
Assets, free and clear of all liens, claims and encumbrances, to Buyer for the purchase price of
$82,500.

CONCLUSION AND REQUEST FOR RELIEF
The Receiver respectfully requests that the Court grant this Motion and confirm the sale
of the Barefoot Technicolor Assets to the Buyer for the purchase price of $82,500. The Receiver
submits the Declarations and the Exhibits attached hereto demonstrating that the sale of the
Barefoot Technicolor Assets was carried out in accordance with the Sale Order entered by this
Court.

“Confirmation Motion”). Through the Confirmation Motion, Receiver Thomas L. Taylor III
seeks confirmation of the sale of certain royalty interests and overriding royalty interests located
in Arkansas, Colorado, New Mexico, North Dakota, Oklahoma, Texas and Wyoming, as more
fully described in Exhibit A hereto (the “Barefoot Technicolor Assets”).
In connection with the Confirmation Motion, the Court previously entered its May 27,
2014 Order (1) Granting Receiver Authority to Sell Oil and Gas Interests; (2) Approving
Engagement of Sales and Marketing Firm; and (3) Approving Sales Procedures (Clerk’s Docket
No. 77) (the “Sales Order”).
The Court, having considered the Confirmation Motion, and all opposition, responses or
objections thereto, if any; and having determined that proper notice and reasonable opportunity

to intervene, to object and to be heard with respect to the Confirmation Motion and the relief
requested therein has been given to all necessary parties with respect to the Confirmation
Motion; and having determined that the Confirmation Motion is fully supported by the entire
record in these proceedings to date, all evidence presented to the Court and the arguments of
counsel; the Court is of the opinion that the Confirmation Motion should be and hereby is
GRANTED in all respects
It is therefore ORDERED that the Confirmation Motion is GRANTED in all respects.
It is further ORDERED that any liens, claims, encumbrances and/or interests of security
asserted in the Barefoot Technicolor Assets, under any legal or equitable principles, are not valid,
have been paid or have been otherwise discharged.
It is further ORDERED that the sale of the Barefoot Technicolor Assets free and clear of
all liens, claims and encumbrances to Relic Mineral Fund L.P. (“Buyer”), for the amount of
$82,500 is hereby CONFIRMED. The Receiver is directed to take all further action necessary to
complete the sale and transfer of the Barefoot Technicolor Assets to Buyer pursuant to the Sales
Order.
