Miscellaneous
Use of the Site by any visitor shall be governed in accordance with the laws of the State of California applicable to contracts entered into

under this Agreement shall be exclusively with the state and federal courts of the County of Santa Clara, California, and each visitor
expressly consent to personal jurisdiction in the County of Santa Clara, California. HTC may modify the Site and/or any portion thereof
and/or this Agreement upon reasonable notice to the visitors (which may include notice via the Site or other electronic means), and the
continued access to the Site after receiving such notice shall constitute an unqualified acceptance of any such modifications. If any of the
terms of this Agreement are deemed to be unenforceable, the other terms shall be unaffected. This is the entire agreement of the parties
with respect to the Site, and supersedes and replaces all prior or contemporaneous discussions, negotiations or proposals relating to the
Site, if any, and may not be amended, waived or otherwise modified except as set forth herein.
