NEW EMPLOYEE GUIDE
WELCOME TO GOES-R! THIS GUIDE WILL HELP YOU:
1. Get contractually squared away by completing the GOES-R Non-Disclosure Agreement (NDA),
International Traffic in Arms Regulations (ITAR), and Export Administration Regulations (EAR) forms
2. Get an account on the Virtual System Design Environment (VSDE), home of GOES-R’s portals (i.e.,
how we share documents with each other!)
3. Obtain a Goddard Space Flight Center (GSFC) security badge, government-furnished
phone/voicemail, office key, and computer at GSFC (as needed)
4. Obtain a GSFC email and domain account (as needed)
Let’s get started!
STEP 1

Read through ATTACHEMENT 1, the lists of contractors, to ensure you do not have any conflicts of
interest
2. Fill out ATTACHEMENT 2, the Non-Disclosure Agreement (NDA)
3. Read through ATTACHEMENT 3, the International Traffic in Arms Regulations (ITAR) and Export
Administration Regulations (EAR) briefing
4. Complete ATTACHEMENT 4, the ITAR & EAR Certification
Note: The ITAR & EAR Certification requires proof of citizenship (passport or birth certificate) UNLESS you
are a Government Employee - but Government Employees must still complete the Certification!
5. Give completed ATTACHEMENT 2 and ATTACHEMENT 4 to a NDA / ITAR Representative (refer to the
Contacts Key at the end of this guide)

Certification for Personnel Supporting the GOES-R Program
Non-disclosure, Conflicts of Interest, and Rules of Conduct
BACKGROUND:
1)
The National Oceanic and Atmospheric Administration (NOAA) and the National
Aeronautics and Space Administration (NASA) were engaged in a phased competitive
acquisition approach that included three contractors performing Program Definition and Risk
Reduction (PDRR) contracts. These contracts were completed in April 2007, and are now
followed by a full and open competition to select separate contractors to perform the
Acquisition and Operation (A & O) phase of the Geostationary Operational Environmental
Satellites (GOES-R) GroundSegment and GOES-R Space Segment. Currently, source
selections are underway to award Ground Segment (NOAA) and Space Segment (NASA)
contracts. NASA has also awarded contracts to develop instruments to be used with the
GOES-R Space Segment; and NOAA and NASA have awarded contracts to support the
GOES-R Program and Project Offices.
CERTIFICATION OF NON-DISCLOSURE:
2) I acknowledge that I will support the Government’s effort to acquire the next series of GOES
satellites by assisting the GOES-R Government Program Office (GPO) in conducting the
Ground Segment and Space Segment source selections and performing other work associated
with transition into the A & O phase. I am aware that during the course of executing my
duties, I will be exposed to sensitive information such as business proprietary information
and internal GPO deliberations that are not appropriate for public disclosure. I acknowledge
that all information generated by the GPO and in particular, internal source selection
information and information submitted by contractors proposing to perform some or all
aspects of the GOES-R acquisition, must be protected in accordance with Part 3.104 of the
Federal Acquisition Regulation (FAR).
3) Sensitive information, for the purposes of this NDA, includes, but is not limited to, contractor
work products submitted during the GOES-R PDRR phase, information marked as
proprietary or competition sensitive or in proposals submitted in response to solicitations,
source selection plans, acquisition and management strategies and any other information
associated with the sensitive information that could compromise the nature of the information
to be protected. I understand unauthorized release is subject to the penalties set forth herein.
4) I am aware that NOAA and NASA are engaged in a phased competitive acquisition approach
for the A&O contracts as outlined above. I acknowledge there are also contracts to formulate
plans for and develop instruments to be used on the GOES-R system and contracts with
companies that support the GOES-R program and project offices. I understand that
unauthorized disclosure of any sensitive information, as defined herein, including
contractor’s data, work products, proposed approach/solution, trade secrets, confidential
commercial or financial information, or proprietary information could damage the integrity of
these ongoing acquisitions and that the transmission or revelation of such information to
unauthorized persons could subject me to prosecution under the procurement integrity laws or
under other applicable laws.

a) A trade secret is a secret, commercially valuable plan, formula, process, or device that is
used for the making, preparing, compounding, or processing of trade commodities and
that can be said to be the end product of either innovation or substantial effort.
b) Examples of commercial or financial information include: business sales statistics;
research data; technical designs; customer and supplier lists; profit and loss data;
overhead and operating costs; and information on financial condition.
5) I certify that I will not divulge, publish, or reveal by word, conduct or any other means, such
sensitive information to any persons without a need to know unless specifically authorized in
writing in each and every case by a duly authorized representative of the United States
Government, such as the Contracting Officer. I understand that unauthorized disclosure of
such sensitive information may subject me to substantial administrative, civil and criminal
penalties, including fine, imprisonment, and loss of employment.
6) The following applies to non-government personnel: I acknowledge that I may not disclose
any non-public information concerning the GOES-R program to anyone outside the GPO
including persons in my company, or subsequent companies I may choose to work for unless
I am specifically authorized by the Contracting Officer, or such information has otherwise
been made public by the Contracting Officer. Penalties for such unauthorized disclosure are
identified in my contract and, even if such remedies are not specifically identified, may
include termination for default, suspension, debarment or other action deemed appropriate by
the Contracting Officer responsible for my contract. I further understand that this restriction
extends to any new contracts/orders or subsequent/successor contracts/orders to the one cited
below.
CERTIFICATION OF NO CONFLICT OF INTEREST:
7) Other than what is disclosed as an attachment to this certificate, I certify that neither I nor my
spouse nor my dependent children, nor members of my household, nor personnel with whom
I am seeking employment have any direct or indirect financial or any other beneficial interest
in any of the firms supporting the GOES-R Program efforts including contractors and
subcontractors supporting the instrument formulation and development efforts. My duty to
disclose any conflicts as they arise is an on-going duty extending into the A & O phase and
includes notification to the GOES-R Contracting Officer or Contracting Officers, as
appropriate, of any unreported conflicts arising from my interest (or spouse, dependent
children, or members of my household) in a competitor to the A&O contract.
8) The following applies to non-Government personnel: As a contractor, I certify that I do not
personally have a financial or non-financial relationship with any of the organizations
included in the list of GOES-R system or instrument prime and subcontractors that would
represent a real or apparent conflict of interest. Further, I will ensure appropriate officials
within the organization for which I work are made aware of the list of GOES-R system or
instrument prime and subcontractors, and have advised them to fully disclose and mitigate
any organizational conflicts of interest between my employer and these organizations.
Finally, I certify that if I become aware of a financial or other relationship between myself or
my employer and one of these organizations, I will immediately notify the Contracting
Officer. Penalties for failure to properly disclose a real or apparent conflict of interest before
or during source selection, before or during award of the A & O contracts, and during the
performance of the A & O contracts are identified in my contract and, even if such remedies
are not specifically identified, may include termination for default, debarment or other action
so authorized by the contracting officer responsible for my contract.

9) A complete list of these contractors/subcontractors is maintained by the GOES-R document
manager and is posted on the GOES-R VSDE web-portal. The contractors/subcontractors list
will be routinely updated by the GOES-R document manager, however failure to list a
contractor/subcontractor on the list with which I have a conflict I am aware of does not
discharge my duty to disclose such conflict.
RULES OF CONDUCT:
10) Throughout my involvement with the GOES-R program, I certify that I will observe the
following rules of conduct:
a) I will not ask for, demand, exact, solicit, seek, accept, receive, or agree to receive,
directly or indirectly, any money, gratuity, or other thing of value from any officer,
employee, representative, agent, or consultant of a GOES-R system or instrument prime
or subcontractor. I will advise my family that the acceptance of any such gratuity may be
imputed to me as a violation, and must therefore be avoided.
b) I understand that my obligations under this certification are of a continuing nature. If at
anytime during the period I am supporting the GOES-R Program I am approached by a
contractor about employment opportunities with them, or apply for a position, or receive
an offer regarding an employment opportunity, or other business opportunity, am offered
a gift from a system or instrument prime or subcontractor, or I encounter circumstances
where my participation might result in a real, apparent, or potential conflict of interest, I
will immediately seek the advice of an Ethics counselor and report the circumstances to
the Contracting Officer.
c) I will notify the Contracting Officer if any aspect of my previous certification changes,
including changes to an otherwise exempted financial relationship that exceed the
maximum threshold established by the Contracting Officer. I understand that the list of
contractors supporting GOES-R may change. Accordingly, I will periodically (no less
then quarterly) review the list of contractors supporting GOES-R as posted on the VSDE
portal and will notify the Contracting Officer of any changes to my certification. If I am
unable to access the portal, I will contact the GOES-R document manager. If I am a nonFederal employee, I will advise my employer of any changes to the list and remind them
of the need to update their OCI certification when circumstances arise that warrant an
update.
d) I will use the following legend on all information, data, documents, charts, and briefing
slides produced for the GOES-R source selection and related documents for which I am
responsible for preparing. Related documents can include data such as approved
requirements, award fee plans, selection strategies, funding levels, and schedules. I
understand the legend must be used on the top and bottom of the cover page and each
page that contains source selection information.

11) These restrictions are consistent with and do not supersede, conflict with, or otherwise alter
the employee obligations, rights, or liabilities created by Executive Order No. 12958; section
7211 of title 5, United States Code (governing disclosures to Congress); section 1034 of title
10, United States Code, as amended by the Military Whistleblower Protection Act (governing
disclosure to Congress by members of the military); section 2302(b)(8) of title 5, United
States Code, as amended by the Military Whistleblower Protection Act (governing
disclosures of illegality, waste, fraud, abuse or public health or safety threats); the
Intelligence Identities Protection Act of 1982 (50 U.S.C. 421 et seq.)(governing disclosures

12) The acknowledgement and signature provided does not bar disclosures to Congress or to an
authorized official of an executive agency or the Department of Justice that are essential to
reporting a substantial violation of law.
I understand that making a false, fictitious, or fraudulent certification may subject me to
prosecution under Title 18, U.S.C.1001.

Any item that is sent or taken from the U.S. to a foreign destination is an export. "Items"
include commodities, software or technology, such as clothing, building materials, circuit
boards, blue prints, design plans, retail software packages and technical information.

The International Trade in Arms Regulations (ITAR) control items that are
on the United States Munitions List (USML)
– Category XV and XX are the primary concern for NOAA/NESDIS
Don't -Make a false statement or misrepresent or omit a material fact in a
license application or other export document.
The Export Administration Regulations (EAR) control items that are on
the Commerce Control List (CCL)
– All Categories have a technical data protection requirement
Don't- Fail to file the appropriate documents.

statements causes problems:

Omega Engineering Inc.
The Violation: Omega Engineering Inc., of Stamford, Connecticut and
its former Vice President, Ralph Michel, violated the EAR by exporting
certain laboratory equipment to Pakistan in 1997 after BIS had denied a
license for the same shipment earlier that year.
The Penalty: In the criminal cases, Michel was sentenced to ten months
imprisonment and fined $50,000, and Omega was sentenced to a
$313,000 criminal penalty and five years corporate probation. In the
administrative cases, Omega agreed to pay a $187,000 penalty and to a
five-year denial of export privileges to Pakistan. BIS also denied
Michel's export privileges to Pakistan for five years.

RLC Electronics, Inc.
The Violation: Between March 2002 and April 2003, RLC Electronics,
Inc. exported power dividers and low pass filters without the
required BIS licenses to the Indian Space Research Organization's
(ISRO) Telemetry, Tracking and Command Network (ISTRAC) in
India. In January 2003, RLC exported position switches without the
required BIS license to the ISRO Sriharikota Space Center (SHAR) in
Bangalore, India. At the time of the export, ISTRAC and SHAR were
on BIS's Entity List and exports to ISTRAC and SHAR required prior
authorization. RLC also made false statements on a Shipper's
Export Declaration submitted to the U.S. Government.

Volume licensing
The following guidelines explain restrictions on exporting Adobe products.For worldwide for
customers who need to send products purchased in one country to another country. This information
May be required for your shipping documentation, record keeping, or post-shipment reporting.
To obtain Adobe's ECCN and HTS information To export Adobe products, you need to obtain Adobe's
Export Control Classification Number (ECCN), license information, and Harmonized Tariff Schedule of
the United States (HTSUS) information. Adobe's Product export information includes product names,
license exception symbols, ECCNs, and the HTSUS number. The ECCN is a five-digit alphanumeric
character classification system used to determine U.S. export licensing requirements. The ECCN
represents a specific commodity defined in the U.S. Bureau of Industry and Security (formerly the
Bureau of Export Administration). THE 5-digit code assigned to all commodities exported from the
United States. The U.S. Department of Commerce, Bureau of Census uses this code to calculate U.S.
trade statistics, and U.S. Customs uses it to assess duties and tariffs.
The Violation: In 1996, SGI knowingly exported Challenge L computer
systems, upgrades, and peripheral equipment to the All-Russian Institute for
Technical Physics without the required export license from BIS. Additionally,
SGI re-exported computers from its facility in Switzerland to the United Arab
Emirates without the required licenses and failed to notify BIS of certain
computer exports as required by the EAR.
The Penalty: In the criminal case, SGI pled guilty to two felony charges and
was sentenced to $1 million in criminal fines. In the related administrative
case, SGI agreed to pay a $182,000 administrative penalty.
Legal restrictions on exporting Adobe products
Adobe products are subject to export restrictions under U.S. law, as some software may contain
encryption technology. These restrictions are provided and enforced by the Bureau of Industry and
Security, which defines specific export restrictions on goods, software, and technologies. Please note
that end users, end use, and country of ultimate destination may affect your export licensing
requirements. You are ultimately responsible for exporting Adobe products in accordance with the
Export Administration Regulations (EAR) 15 Code of Federal Regulations. We encourage you to consult
the EAR and any other appropriate sources before you distribute or import Adobe products.

National Security Controlled Technology to Chinese and Ukrainian Nationals
(deemed export) – In November 2004, BIS assessed Fujitsu Network
Communications, Inc. an administrative penalty of $125,000 as part of an
agreement with Fujitsu to settle charges related to unlicensed deemed exports
to foreign nationals. In particular, BIS alleged that Fujitsu failed to obtain the
export licenses required for transferring commercial digital fiber-optic
transmission and broadband switching technology to Chinese and Ukrainian
nationals. The applicable technology is subject to national security controls.
The Violation: Between 1994 and 2000, Digital Equipment
Corporation and its subsidiaries violated the EAR by exporting or
re-exporting computers and computer equipment without the
required export licenses from BIS. Exports of these commodities
were destined for South Korea. Re-exports of the U.S.-origin
goods were made from Hong Kong to the PRC and from Singapore
to India.
High Performance Computers to China – In December 2003, BIS assessed Sun
Microsystems, Inc. a $269,000 administrative penalty and imposed a one year
suspended denial of its export privileges as part of an agreement with Sun to
settle charges related to exporting computers to military end-users in China and
Egypt without the required BIS licenses, among other violations. BIS also
settled cases with two of Sun’s subsidiaries, for aiding and abetting the
unlicensed export to the military end-user in China.
The Penalty: Compaq agreed to pay a $39,000 administrative
penalty.
Mitigating Circumstances: Compaq voluntarily self-disclosed the
violations and cooperated fully in the investigation.

The ITAR controls defense articles and defense services listed in the United States Munitions List
(“USML”). The USML lists 21 categories of “Defense Articles/Services” which are subject to export
controls and licensing.
“Defense Article” -- any item or technical data designated in the United States Munitions List.
“Defense Service” -- the furnishing of assistance (including training) to foreign persons, whether in the
United States or abroad in the design, development, engineering, manufacture, production, assembly,
testing, repair, maintenance, modification, operation, demilitarization, destruction, processing, or use
of defense articles or the furnishing to foreign persons of any technical data whether in the United
States or abroad.
“U.S. Person” – a natural person who is a lawful permanent resident as defined in 8 U.S.C.
1101(a)(20) or who is a protected individual as defined by 8 U.S.C. 1324b(a)(3). It also means any
corporation, business association, partnership, society, trust, or any other entity, organization or group
that is incorporated to do business in the U.S. It also includes any government entity (federal, state, or
local).
“Foreign Person” – opposite of U.S. person.
“Export” – sending or taking a “defense article” out of the U.S. in any manner, except by mere travel
outside of the U.S. by a person whose personal knowledge includes “technical data”; or transferring
registration, control, or ownership to a “foreign person” of any aircraft, vessel, or satellite covered by
the USML, whether in the U.S. or abroad; or disclosing (including oral or visual disclosure) or
transferring in the United States any “defense article” to any embassy, any agency or subdivision of a
foreign government (e.g., diplomatic missions); or disclosing (including oral or visual disclosure) or
transferring “technical data” to a “foreign person”, whether in the U.S. or abroad; or performing a
“defense service” on behalf of, or for the benefit of, a “foreign person”, whether in the U.S. or abroad.
“Temporary Export” vs. “Permanent Export” – Under the ITAR, a temporary export is less than four
(4) years with no transfer of title. A permanent export is four years or over, or anytime there is transfer
of title.
“Export/Import Licenses” – Export and/or Temporary Import licenses are issued by the United States
Department of State for the export or temporary import of “defense articles”. Common ITAR licenses
include: DSP-5, Permanent Export License (Unclassified); DSP-73, Temporary Export License
(Unclassified); DSP-61, Temporary Import License (Unclassified).
“License Exemptions” – The ITAR contains numerous exemptions to licensing requirements which are
outlined in the regulations. Exemptions do not apply, however, to any export to a proscribed country
(Afghanistan, Angola, Armenia, Azerbaijan, Belarus, Burma, China (PRC), Cyprus, Cuba, Haiti, India,
Iran, Iraq, Liberia, Libya, Nigeria, North Korea, Pakistan, Rwanda, Somalia, Sudan, Syria, Tajikistan,
Vietnam, Yeman, Federal Republic of Yugoslavia, Zaire).
General Requirements: The ITAR requires companies engaged in the business of manufacturing or
exporting defense articles or furnishing defense services to register with the Office of Defense Trade
Controls (“ODTC”) and comply with certain registration, licensing, record keeping and reporting
provisions. The Company is responsible for obtaining the appropriate export license prior to shipment
or transfer of any controlled commodities or data. The facility is responsible for maintaining export
records for a minimum of five years and must comply with all reporting requirements. The Company
is also responsible for having all Manufacturing License Agreements and Technical Assistance
Agreements approved by ODTC. The ITAR also has specific requirements for encryption technology.
All the requirements are set forth in 22 C.F.R. 120-130.

The EAR controls exports of items and technical data listed in the Commerce Control List (CCL).
“Export” – the actual shipment or transmission of any item out of the United States, which is subject to
the EAR, or the release of technology or software to a foreign national in the United States.

“Release” – (1) visual inspection by foreign national of U.S. origin equipment or facilities; (2) oral
exchanges of information whether in the U.S. or abroad; or (3) the application to situations abroad of
personal knowledge or technical experience acquired in the U.S.
“Re-Export” – An actual shipment or transmission of any item, which is subject to the U.S. EAR, from
one foreign country to another foreign country; or release of technology or software to a foreign
national outside the U.S.
“Technical Data” – “Technology” (defined as specific information necessary for the development,
production, or use of a product); “Technical Assistance” (defined as instructions, skills training,
working knowledge, or consulting services); or “Software” (defined as a collection of one or more
programs or micro programs fixed in any tangible medium of expression). Technical Data may take
forms such as blueprints, plans, diagrams, models, formulae, tables, engineering designs and
specifications, manuals and instructions written or recorded on other media or devices such as disk,
tape, read-only memories, and software or interactive programs.
“Commerce Control List” – CCL lists all items and data that require an export license prior to
shipment, transmission, or release.
“Subject to the EAR” – The following items are “subject to the EAR”: (a) all items in the United
States, including a U.S. Foreign Trade Zone or moving intransit through the United States from one
foreign country to another; (b) all U.S.-origin items wherever they are located; (c) U.S.-origin parts,
components, materials, or other commodities incorporated abroad into foreign-made products, U.S.
origin software commingled with foreign software, and U.S. origin technology commingled with
foreign technology, in quantities exceeding “de minimis” levels; (d) certain foreign-made direct
products of U.S.-origin technology or software; and (e) certain commodities produced by any plant or
major component of a plant located outside the United States that is a direct product of U.S.-origin
technology or software. The following activities are subject to the EAR: (a) activities of U.S. persons
related to proliferation of chemical or biological weapons or missile technology; and (b) activities of
U.S. persons prohibited by any order under the EAR (e.g. Denial Orders).
NOT “Subject to the EAR” – An item will NOT be subject to the EAR if it is considered: (a)
controlled by another federal agency; (b) a newspaper, magazine or book; (c) publicly available
technology and software that are already published or to be published; (d) items that are the result of or
arise from fundamental research, that are educational, or that are included in patent applications; and
(e) foreign-made items with “de minimus” U.S. content.
“EAR 99” – refers to items that are subject to the EAR, but not covered by a Control List entry.
“Prohibitions” – The EAR requires that prior to exporting any item or data, Government must
determine if it is subject to any of the Ten General Prohibitions. If any of the prohibitions apply, it
must be resolved with either an export license prior to transmission or release, or it must comport with
one of the license exceptions.The Ten Prohibitions include the following: (1) Exports and Reexports;
(2) Parts and Components Reexports; (3) Foreign-Produced Direct Product Reexports; (4) Denial
Orders; (5) End-Use/End-User; (6) Embargo; (7) U.S. Person Proliferation Activity; (8) Intransit; (9)
Orders, Terms, and Conditions; and (10) Knowledge of a Violation is to Occur. The Prohibitions are
discussed at Part 736 of the EAR.

“LOCATOR AND INFORMATION SERVICES TRACKING
SYSTEM” (LISTS) FORM
In the U. S. Code, Title 5, Section 301, Title 42, Section 2473, and Title 44, Section 3101, authorize collection of this
information. Executive Order 9397 authorizes collection of your Social Security Number when that number will be used as a
unique employee identification number. Privacy information requested on GSFC Form 24-27 is collected and maintained
pursuant to the NASA System of Records published as “NASA 51LISTS.” Providing privacy information is a voluntary
action, although failure to do so may result in being denied a GSFC identification badge or access to printed materials in the
Library.
The intended official uses of the privacy and personal information are: to assist the Security Office in issuing identification
badges and coordination clearance requests; to establish for the Library an authorization for use of its printed materials; to
identify the listed emergency contact in case of an emergency to a Center employee or guest worker; and to provide a home
address in case an employee or guest worker must be contacted during off hours or for official mailings to a home address.
The official uses of the general (non-privacy/personal) records are: to locate individuals working for or at the Goddard Space
Flight Center; to improve services provided to the Center including mailroom operations, space utilization, identification of
potentially hazardous work environments, scheduling of annual physical examinations, and maintenance of Center’s
mainframe user identification names; and as a tool for performing short – and long – term institutional planning.
Additional routine uses of the LISTS information, uses which are standard for many NASA Systems of Records, include law
enforcement, disclosure when requesting information, disclosure of requested information, and court proceedings. These uses
are cited in full text in the “NASA 51LISTS” System of Records notice.
