The Guide to proposed company name
revision.
The following has been created to highlight the background and reasoning for proposing that the
Australian Institute of Landscape Architects formal business name be revised to include ‘ltd’.
Executive Summary
As members are aware, the new constitution was provided to members for feedback on two
occasions. In the first round of consultation members were asked to respond to a number of
questions. One of those questions was regarding the new constitution being drafted to allow the
potential payment of directors in the future. This question was responded to positively by members.
As such, the newly proposed constitution includes a clause to allow for Directors to be paid (7.1 c iii).
It is not expected that Directors will be paid, however having an allowance in the constitution will
enable this possibility in the future if the membership so wishes.
So to enable this clause, the company needs to revise our name to include the word ‘Limited’.
The proposed name revision
Our revised name would thus be ‘The Australian Institute of Landscape Architects Ltd.’
Any change of name requires us to

Firstly to do so via special resolution of the membership, and
To notify ASIC
When we will be using our name
We can still trade under the abbreviated name of ‘The Australian Institute of Landscape Architects’,
however officially our company name will be ‘The Australian Institute of Landscape Architects Ltd’.
Our proposed new full name (‘The Australian Institute of Landscape Architects Ltd’) will appear on all
public documents (this is governed by section 153 of the Corporations Act), however advertising and
general material generally doesn’t constitute a public document. A public document includes any
document that has to be lodged with ASIC, or the document is signed for a particular transaction and
any business letter, statement of account, invoice, receipt, order for goods, order for services or
official notice of the Company.
Implications for this name change
ASIC has confirmed that The Australian Institute of Landscape Architects is a public company limited
by guarantee. The use, or omission of the word ‘Limited’ in our company name, does not alter our
registration type or its requirements. It also does not affect any current tax obligations or liabilities,
which has been confirmed by our Auditors.
