The IMO, an agency of the United Nations responsible for regulating international seaborne trade, approved amendments to the SOLAS Convention requiring verification and documentation of export containers before they can be loaded onto vessels, as of July 1st, 2016. At more than 70 locations APM Terminals provides a range of services including VGM Data Management, VGM Verification and VGM Generation. July 2016 APM Terminals purchased the outstanding 40% of the existing APM Terminals-Aarhus A/S facility from Aarhus Service Holding. In August 2010 APM Terminals Aarhus and Cargo Service A/S (a subsidiary of Aarhus Service Holding A/S) combined adjacent facilities in a 60/40 joint venture to be operated as APM Terminals-Aarhus A/S. Container throughput at the deep-water Aarhus facility has grown consistently over the past four years by an aggregate total of 11% from 399,000 TEUs in 2012, to 442,000 TEUs in 2015 Coman SA, operated by APM Terminals Cotonou in Benin’s primary port, has commissioned two new Mobile Harbor Cranes (MHC) at a ceremony presided over by the Benin Minister of Transport. The new cranes will bring the West African terminal’s operating total to five, after the decommissioning of an older crane. The cranes have a lifting capacity of 144 tons, making them the largest in the port area. The Port of Cotonou, in addition to serving as Benin’s primary port, is also a gateway for Nigerian cargo and transit cargo for Niger, Mali and Burkina Faso. 6 June 2016 Monrovia Free Port completes the installation of buoys and navigational aids, permitting a return to 24hour operations at Liberia’s primary port for the first time in three decades. APM Terminals began operations at the Port of Monrovia in February 2011 under a 25year concession agreement for the privatization of the port concluded in 2010. Under the terms of the agreement, USD $120 million will be invested in port upgrades, with over USD $100 million invested to-date. APM Terminals Inland Services, South Asia signs an exclusive agreement with Gothenburg, Sweden-based Volvo Cars to provide a dedicated, specialized warehouse facility in Chennai. The customized warehouse will provide an integrated Inland Services solution for the Volvo Completely Built Up Units (CBUs) imported from Europe to India through the Port of Chennai, India’s second-largest port. May 2016 APM Terminals signs contract for the enlargement of 10 STS cranes at APM Terminals Pier 400 Los Angeles. The modifications include raising the overall height, and the extension of the crane boom, to accommodate Ultra-Large Container Ships (ULCS) of up to 20,000 TEU capacity. The cranes, when the project is completed, will be the tallest in service at any American port April 2016 The Aqaba Container Terminal (ACT), Aqaba, Jordan, was named the winner of the Workplace Safety and Health Award by the Jordanian Social Security Corporation. The award was given to ACT for exceeding all health and safety standards and benchmarks established by the Kingdom of Jordan’s overseeing authorities. The Port of Salalah hosted the largest vessel ever to call an Omani port, with the arrival of the 18,270 TEU capacity Mayview Maersk. The Port of Salalah, which is operated by APM Terminals as part of the APM Terminals Global Terminal Network, and in which APM Terminals holds a 30% share, handled 2.6 million TEUs in 2015 March 2016 APM Terminals is named as the operator of a new container transshipment terminal in development at the Tanger-Med 2 port complex in Morocco. APM Terminals MedPort Tangier is scheduled to open in 2019 with an annual throughput capacity of 5 million TEUs under the terms of the 30-year concession agreement with the Tanger Med Special Agency complementing the existing operations at APM Terminals Tangier at Tanger-Med 1, which opened in 2007. APM Terminals completed the acquisition of Grup Maritim TCB’s terminal and intermodal services portfolio representing operations in Barcelona, Castellon, Gijon and Valencia, Spain; Yucatan, Mexico; Buenaventura, Colombia; Paranagua, Brazil; and a new terminal in development at Quetzal, Guatemala. APM Terminals Buenos Aires, operator of the Terminal 4 facility in Argentina’s primary port, was named winner of the first annual “Innovation in Safety Award”, by ICHCA International, the independent organization dedicated to improving the safety, productivity and efficiency of cargo handling and transportation. APM Terminals | Company profile APM Terminals recent milestones (continued) February 2016 The opening of the new 8.5 km (5.2 mile) access channel directly linking the East Port Said port complex to the Mediterranean Sea has eliminated the need for vessels heading to the Suez Canal Container Terminal (SCCT) to wait between vessel convoys transiting the canal before entering the port complex. The access channel, which began construction in August 2015, has been dredged to a depth of 18.5 meters (61 feet) to accommodate ULCS traffic to the terminal. APM Terminals Pipavav welcomed arrival of a Ro/ Ro a cargo of 800 passenger cars loaded at the Port of Chennai on February 5th, in a pioneering use of economical and environmentally-friendly coastal transportation of Indian-manufactured automobiles. January 2016 APM Terminals and Colombian-based port and terminal operating company, Compañia de Puertos Asociados S.A. (Compas S.A.) finalized the incorporation of Cartagena Container Terminal Operator (CCTO), a joint venture to manage and operate Compas S.A.’s existing multipurpose facility in Cartagena, Colombia. APM Terminals will hold a 51% majority share in the operation, which includes annual throughput capacities of 250,000 TEUs and 1.5 million tons of general cargo. December 2015 APM Terminals Los Angeles Pier 400 received the largest container ship to call at a US port with the arrival of the 17,700 TEU capacity CMA CGM Benjamin Franklin on its maiden voyage from the Far East. The Port of Salalah, which is operated by APM Terminals, inaugurated a new deep-water General Cargo and Liquid Bulk Terminal, adding 20 million tons of dry cargo and six million tons of liquid bulk cargo annual handling capacity. 7 November 2015 APM Terminals enters into a joint venture with Qingdao Port International for the newly developed Qingdao Port Dongjiakou Multi-Purpose Terminal. APM Terminals will hold a 20% share in the facility, which is part of the Qingdao Port complex, one of the world’s busiest ports, ranking seventh globally handling a total of 468 million metric tons in 2014. The Dongjiakou Port area of Qingdao is set to become a national hub of Chinese bulk and energy cargos. With local Jordanian partner Kawar Group, APM Terminals officially opens the expanded Aqaba Logistics Village. The newly completed ALV Phase 2 facility includes 13,000 square meters (3.2 acres) of multi-purpose warehousing alongside 40,000 square meters (9.8 acres) of open yard. ALV Phase 2 has been designed to allow the flexibility of handling a wide variety of cargoes as regional and international trading patterns continue to evolve in the Middle East. ALV’s two distribution center warehouses are located in close proximity to Aqaba Container Terminal (ACT), which is a joint venture between APM Terminals and the Aqaba Development Corporation, and is managed by APM Terminals. October 2015 APM Terminals was named “Port Operator of the Year” at the Lloyd’s List 2015 Global Awards ceremony in London. APM Terminals Rotterdam Maasvlakte II set a new record for the Port of Rotterdam, loading 17,152 TEU onto the EEE-Class Madison Maersk. This operational record included stacking containers ten high above deck stowage aboard the 18,300 TEU capacity Ultra-Large Containership. September 2015 APM Terminals Pipavav handled its largest container ship, the 9,971 TEU capacity Maersk Saltoro, which at 299 meters in length, was the largest vessel ever to call Port Pipavav. APM Terminals and Barcelona-based Grup Maritim TCB reach an agreement for APM Terminals’ acquisition of Grup TCB’s 11-terminal portfolio of terminal and inland services operations in Spain, Turkey, Mexico, Guatemala, Colombia and Brazil. The transaction will add 4.3 million TEUs of annual throughput capacity, and annual equity-weighted volume of 3.5 million TEUs to the APM Terminals Global Terminal Network. August 2015 APM Terminals and Colombian-based port and terminal operating company, Compañia de Puertos Asociados S.A. (Compas S.A.) sign a joint venture agreement to jointly manage and operate Compas S.A.’s existing multipurpose Cartagena Terminal. APM Terminals will hold a 51% majority share in the joint venture, and APM Terminals and Compas S.A. will jointly invest over USD $200 million to triple the facility’s annual throughput capacity. APM Terminals and GF Group announce APM Terminals’ acquisition of Reefer Terminal S.p.A, at the Port of Vado, Italy, the largest refrigerated terminal in the Mediterranean. Operations will ultimately be integrated into the APM Terminals Vado scheduled to open in 2018. APM Terminals | Company profile APM Terminals recent milestones (continued) July 2015 APM Terminals Apapa established a new productivity record by handling 868 containers on the 4,500 TEU capacity Safmarine Chambal over 11 and a half hours, for a Gross Crane Productivity of 19 container moves per crane hour, and a Berth Productivity of 75.63 MPH. APM Terminals Apapa became the first container terminal in Africa to surpass the 75 MPH operational benchmark. Brasil Terminal Portuário (BTP), in which APM Terminals holds a 50% share, surpassed one thousand vessel calls, and one million containers handled in one year and eight months since beginning operations. In the first half of 2015, BTP has handled 363,921 TEUs, a 167% increase over the number of containers handled during the first six months of 2014. The completion of the dredging of the navigation channel has now enabled larger vessels to call, contributing to the increase in container volume. Total container throughput in 2014 was 736,711 TEUs. June 2015 A signing ceremony between APM Terminals, in partnership with Bolloré Africa Logistics, and the Ghana Ports and Harbour Authority was hosted by the President of the Republic of Ghana, John Dramani Mahama, finalizing the agreement to invest $1.5 billion in a new deepwater 3.5 million TEU port and logistics hub in Tema. 8 in which APM Terminals holds a significant financial interest, were included among the world’s 25 most productive terminals, with three more members of the APM Terminals portfolio listed as among regional top performers. May 2015 APM Terminals Itajaí set a new productivity record by completing 125 Berth Moves per Hour (BMPH) on April 26th while working the 8,600 TEU capacity Maersk Lamanai. The 125 BMPH was accomplished with two Ship-to-Shore (STS) cranes supplemented by two of APM Terminals Itajaí’s three Mobile Harbor Cranes (MHCs). The terminal’s previous record of 123.67 BMPH had been established with the much smaller 2,700 TEU capacity CMA CGM Ilva in October 2014. April 2015 APM Terminals hosted the official opening of the new APM Terminals Maasvlakte II Rotterdam facility, the world’s most technologically advanced and environmentally sustainable container terminal, with a celebration attended by The Netherlands’ Monarch King Willem-Alexander, and 500 senior representatives from the global shipping industry and national governments. The state-of-the-art deepwater facility is the world’s first designed to use remotecontrolled STS cranes coordinated with fully automated yard operations, providing new annual throughput capacity of 2.7 million TEUs to Europe’s largest container port. APM Terminals Rotterdam Maasvlakte II terminal was named the winner of the “Innovation of the Year” award at the 4th Annual Containerisation International Awards ceremony in London. The award was made in recognition of the industry-changing technological advances represented by the world’s first fully-automated and emissions-free, sustainably-powered container terminal. APM Terminals Mumbai established a new annual container throughput record for Indian ports by handling a total of 2.01 million TEUs during the Fiscal Year of 2014-15, representing the period from April 1st, 2014 to March 31st, 2015. APM Terminals Mumbai was India’s busiest container terminal in 2014. A total of 12 port facilities within the APM Terminals Global Terminal Network scored positions within the JOC Group’s 2014 annual global port and terminal productivity rankings, including APM Terminals Yokohama, which again led all container facilities with 186 crane moves per hour (MPH). Nine facilities either operated by APM Terminals, or March 2015 APM Terminals Pier 400 Los Angeles won two awards at the 66th Annual Pacific Maritime Association (PMA) Area Accident Prevention Committee Safety Awards. Establishing a new record for US port operations, three Ultra-Large Container Ships (ULCS) with nominal respective capacities of 13,000 TEUs each, called APM Terminals Pier 400 Los Angeles between February 22nd and March 7th, representing a combined total of nearly 35,000 container moves over the period, including loading 28 double stack container trains. This was the first time that three ULCSs were docked and worked simultaneously at any US Port. February 2015 The 16,650 TEU capacity MSC London became the largest vessel to call the French port of Fos, as part of the Mediterranean Shipping Company’s weekly Dragon Service linking Asia with major Mediterranean Sea ports. APM Terminals was named “Port Operator of the Year” at the second annual Lloyd’s List North American Maritime Awards, in Houston. January 2015 The Maersk McKinney Moller left APM Terminals Algeciras with a world record 18,168 TEUs loaded, the most ever carried aboard a single vessel. The new record exceeded the previous record of 17,603 TEUs carried by the Mary Maersk, also set by APM Terminals Algeciras, in 2014. 9 December 2014 APM Terminals Maasvlakte II began landside operations, and received its first commercial vessel call to reposition empty containers, as procedure and live testing of cranes, and rail, truck and barge operations began final stages for the official 2015 commercial opening. A contract was also signed for the supply of environmentally sustainable windgenerated electricity to power container handling equipment, which will make the world’s most automated terminal also the world’s only completely emission-free facility. APM Terminals Port Elizabeth was recognized as the productivity leader among container terminals in North America at the JOC Port Performance Conference North America, in Newark. APM Terminals Port Elizabeth averaged 82 crane moves per hour with a vessel alongside during the first six months of 2014. APM Terminals Houston ranked third with 68 MPH. Vostochnaya Stevedoring Company, part of the Global Ports holdings and the APM Terminals Global Terminal Network, successfully completed a trial run of a sixday trans-Siberian rail service between Vostochny and the Paveletskaya rail freight station in Moscow. November 2014 APM Terminals Rotterdam was cited by the JOC Group as the productivity leader among Europe’s container facilities for the first half of 2014, with 102 crane moves per hour with a vessel alongside at the JOC Europe Port Performance. NTB North Sea Terminal Bremerhaven, also part of the APM Terminals Global Terminal Network and in which APM Terminals holds a 50% ownership share, received the award for second place, with 97 MPH. A Memorandum of Understanding was signed with the Government of Ghana for a private investment of USD $1 billion for the expansion of Tema Port. The Meridian Port Services Joint Venture will add four deep-water berths and increase the annual container throughput capacity of Ghana’s primary port to 3.5 million TEUs. The new STS cranes are scheduled to be operational by March 2015. September 2014 Peruvian President Ollanta Humala toured APM Terminals Callao, where four new Super Post-Panamax ship-to-shore (STS) cranes and 12 new electric Rubber-Tire Gantry (RTG) cranes had been delivered as part of the company’s $750 million infrastructure investment and improvement program for the terminal. The STS cranes, the largest in the world, with a 23 container-wide reach, will be able to accommodate vessels of up to 16,000 TEU capacity. August 2014 The Merete Maersk became the eighth EEE-Class vessel to call the Port of Vostochny, following the vessel’s launch at South Korea’s Daewoo Shipbuilding & Marine Engineering shipyard. Other investments finalized in 2015 were a 20% share of a bulk grain terminal in Qingdao, China; a 51% majority share in a multi-purpose terminal in Cartagena, Colombia and a refrigerated cargo terminal in Vado, Italy, along with ongoing expansion and upgrades of existing facilities across the portfolio. • Return on Invested Capital of 10.9% • Invested capital of USD $6.2 billion • 36 million TEU throughput (based on equity share) APM Terminals generated profit of USD $654 million in 2015, with a Return on Invested Capital (ROIC) of 10.9%, which reflected in part lower volumes of containerized traffic in such markets as West Africa, Russia and Brazil. The number of containers handled by APM Terminals (weighted by APM Terminals’ ownership interest) decreased by 6.0% compared with 2014, to 36 million TEUs. The decrease was mainly due to the divestment of operations in Charleston, South Carolina; Jacksonville, Florida; and Houston, Texas, in the USA, and the company’s one third share of the MedCenter Container Terminal, in Gioia Tauro, Italy; (in 2014 APM terminals also trimmed holdings in Portsmouth, Virginia, USA and Le Havre, France). Excluding these divestments, like-for-like volumes decreased by 1.1% for the year, while overall global container throughput grew by 1.3%. The continuing expansion of the APM Terminals Global Terminal Network, however, was accelerated through the several significant acquisitions and new projects won. APM Terminals agreed to acquire 100% of the shares in Grup Marítim TCB (TCB), the leading Spanish container terminal operator, with terminals located in Spain, Colombia, Brazil, Mexico, Guatemala and Turkey. When the transaction is fully completed, APM Terminals Global Terminal Network will expand to 77 terminals in 38 countries across five continents and with additional eight terminals in development. The 11 acquired TCB terminals (including a facility in Guatemala scheduled to open in early 2016) will add an additional 4.3 million TEUs of capacity and 3.5 million TEUs in estimated annual container volumes (2.6 million TEUs of additional throughput when weighted Equity share). The acquisition has an implied 12 Newly completed projects expected to begin operations in 2016 include the 1.5 million TEU annual capacity deepwater APM Terminals Izmir, in Turkey on the Aegean Sea, and Phase I of the semi-automated Lázaro Cárdenas Terminal 2 (TEC2) deep-water facility on Mexico’s Pacific Coast, with an initial annual throughput capacity of 1.2 million TEUs. In April of 2015 the world’s first fully-automated container terminal, APM Terminals Rotterdam Maasvlakte II was officially opened. The new terminal was named “Innovation of the Year” by Containerisation International, and APM Terminals was named “Port Operator of the Year” at the 2015 Lloyd’s List Global Awards ceremony. Many of the innovative systems and technologies applied at APM Terminals Rotterdam Maasvlakte II will also be utilized at APM Terminals Lázaro Cárdenas. The terminal, currently under construction in Mexico’s second-busiest container port, is expected to open late 2016. The TEC2 facility will be the first automated container terminal in Latin America and will feature fully automated electric yard stacking cranes, and shuttle carriers will be used for transport between the yard cranes and the ship to shore (STS) cranes. Financial Performance APM Terminals earned a profit of USD $654 million (USD $ 900 million) and an ROIC of 10.9% (14.7%) with an underlying profit of USD $ 626 million (USD $849 million) in 2015. Lower global oil prices resulted in a sharp decline in import volumes into oil producing countries in West Africa, Russia and Brazil. Along with divestments in 2014, this caused revenue to decrease by 4.8% and the EBITDAmargin to decrease by 2.7% compared with 2014 (22.7%). Operating business generated a profit of USD $696 million, while projects under implementation represented a deficit of USD $42 million stemming from their upstart costs. Results in 2014 were was positively impacted by net divestment gains after tax of USD $232 million, and negatively affected by impairments of USD $181 million related to European activities of which USD $154 million was related to joint venture companies. The result for 2015 does not include any impairment, but includes net divestment gains of USD $10 million and positive impact from reversed impairments of USD $14 million. Global market conditions have had an unfavourable effect upon container volumes and rates in several key terminals. Specifically, major operations in oil-dependent markets have declined significantly compared with 2014 container volumes. Partly mitigating this, performance in APM Terminals’ North American businesses has increased compared to 2014, mainly due to increased volume and storage income; (in 2015, APM Terminals was also named Lloyd’s List North American Maritime Awards’ “Port Operator of the Year”). APM Terminals’ revenue improvement and cost-saving initiatives continue to be aggressively pursued across the global portfolio, and have delivered approximately USD $200 million to the bottom line, though adverse market conditions were only partly mitigated. The acquisition of the Grup Maritim TCB portfolio will initially produce a negative impact on ROIC of just over one percentage point due to the increased asset base, and the amortisation of terminal rights. APM Terminals | Company profile 2015 Financial results (continued) The Grup Maritim TCB acquisition has an implied enterprise value of USD $1.1 billion, with additional capital expenditure investments of USD $400 million over the next five years. Subject to regulatory approvals the transaction is expected to be completed in Q1 2016. The share of profit in joint ventures and associated companies increased to USD $199 million (USD $79 million), mainly caused by the USD $154 million impairments in Joint Venture companies in 2014. The effective tax rate (excluding profits from JV’s and associates) increased to 26% (23%) as certain tax incentives have expired since last year. The Signal Mutual Industry Leader Safety Award APM Terminals Pacific Ltd., which performs cargo handling services at APM Terminals Pier 400 Los Angeles and APM Terminals Tacoma, was named winner of the annual Signal Mutual Industry Leader Safety Award in the category of large stevedoring operations (over 500,000 man hours worked) for demonstrating the most improvement of safety performance in terms of declining reported incidents for the past three consecutive years. India Maritime Week Gateway Award of Excellence APM Terminals Chennai, Ltd., part of APM Terminals Inland Services operations, was named “Container Freight Station of the Year” of 2011 at the India Maritime Week Gateway Awards of Excellence Ceremony. 2011 Lloyd’s List Middle East and Indian Subcontinent 2011 Safety Award The Port of Salalah, Oman, which is managed by APM Terminals, was named the winner of the Safety category of the Lloyd’s List Middle East and Indian Subcontinent 2011 Awards in Dubai on November 16th. The award recognizes “exceptional commitment to improving safety standards in the shipping industry” through “robust and effective improvements to their operations at sea or ashore”. Lloyd’s List 2011 Global Safety Award APM Terminals was named winner of the 2011 Lloyd’s List Global Safety Award at the prestigious annual industry Awards Gala on September 20th in London. The award was presented in recognition of APM Terminals’ “exceptional commitment to improving safety standards” over the past year, and “genuinely comprehensive approach to safety and a real commitment to implementing a safety culture across the company”. The award was accepted by APM Terminals CEO Kim Fejfer. Transport Africa Awards “Best Port Operator in Africa” APM Terminals was named winner of the “Best Port Operator in Africa” award at the Transport Africa Awards ceremony held in Johannesburg, South Africa on June 29th. The criteria for the award were “operational efficiency and effectiveness and the ability to demonstrate best practice in Africa’s ports sector”. Seatrade Award for “Innovation in Ship Operations” APM Terminals was named winner of the 2011 Seatrade Award for “Innovation in Ship Operations” for the FastNet Crane concept at the 23rd Annual Seatrade Awards in London, cited as “an innovative design or device which has the potential to significantly improve the efficiency of any aspect of ship operations and/or cargo handling.” First conceived in 2006, patents on FastNet cranes have now been filed in 17 nations as well as the 27 EU member countries. Pacific Maritime Association Safety Awards APM Terminals’ Pier 400 Los Angeles facility was awarded First Place for the fourth consecutive year in the Pacific Maritime Association’s Coast Accident Prevention Awards ceremony in the category of Terminal Operations, Group A, representing terminal operations with one million or more man-hours worked in 2010. APM Terminals Tacoma won Second Place in the Group C category, which includes facilities of between 100,000 and 499,999 man-hours worked. Ecoval Trophy APM Terminals Tangier-Med was recognized with a Sustainability award in January 2011 in Casablanca, at the first annual Ecoval Trophy Awards given by Ecoval Morocco, a subsidiary of Holcim Morocco, which is part of Swiss-based cement and aggregates producer Holcim Ltd. The Ecoval Trophies are presented in three categories covering the collection and recovery of waste oils. APM Terminals Tangier-Med was one of three winners in the category of “Eco-Enterprise”.
