NON-DISCLOSURE AGREEMENT
The undersigned, in conjunction with his or her provision of Services to the
Solix, Inc. (Solix) under Contract No.:____________, dated
may obtain
access to confidential and proprietary information and material which pertains to
the business of Solix or to its members.
The undersigned agrees that at all times during or after the term of this
Agreement he or she will: 1) take all reasonable precautions to guard the secrecy of
such confidential information; 2) limit access to the information only to authorized
persons having a need-to-know; 3) not discuss or reproduce any information except
for a use which has been approved of by Solix management; 4) not publish or
disclose any of the information to others without Solix's prior written approval; 5)
return upon termination of agreement all such information and any reproductions
of information which are in tangible form; 6) use such information only for
purposes of performing under the above mentioned Services unless otherwise
agreed to in writing by Solix; and 7) upon termination of this Agreement, return to
Solix all Solix property and all work or work products in his or her possession.
The undersigned has been advised that the unauthorized disclosure of
information or breach of the obligations under this Non-Disclosure Agreement
may result in significant damage to Solix or to its member companies.
This Non-Disclosure Agreement shall be construed in accordance with the
laws of the State of New Jersey. The undersigned agrees to submit to the
jurisdiction of any Court within New Jersey wherein an action may be brought
concerning this Non-Disclosure Agreement.
