GEORGETOWN UNIVERSITY CONTRACTS DEPARTMENT ADDENDUM FOR TRANSPORTATION (STUDENTS, FACULTY, STAFF AND AFFILIATES) Rev. 12.18.14 Standard of Care; Vehicle Condition; Compliance with Laws; Subcontractors This Addendum (“Addendum”) amends the attached Agreement by and between Georgetown University (“Georgetown”) and _________________________ (“SUPPLIER”), and is hereby incorporated into said Agreement (“Agreement”). The terms of this Addendum shall remain in effect and apply to future agreements between Georgetown and the SUPPLIER. 1. In performing the services hereunder, SUPPLIER will use the degree of care and skill ordinarily exercised under similar conditions by reputable members of this profession practicing in the same or similar locality. SUPPLIER will comply with all applicable laws, including but not limited to laws related to hiring, employment, non-discrimination and conducting controlled substances and alcohol testing of drivers who will be transporting any member of the Georgetown community. Buses and vans, collectively referred to as “bus(es)” will be operated only by persons who have been trained in the operation of these vehicles and possess the required Driver’s license, and are not disqualified from driving a commercial motor vehicle. Each bus must be driven in a safe and prudent manner at all times, in compliance with all applicable road rules and restrictions. Watercrafts, including but not limited to boats and recreational vessels, shall be inspected for safety and compliance with applicable rules and regulation prior to use for performance of the services, shall be operated only by persons trained in the operation of these vehicles and so licensed, where applicable. Supplier shall provide all necessary safety equipment to any watercraft passengers as part of its performance of the services hereunder. All modes of transportation that may be used for services may be collectively referred to in this Agreement as “vehicles.” 2. Supplier represents and warrants that the vehicles supplied have received the required preventative maintenance and that the vehicles are in good physical and mechanical condition. 3. SUPPLIER shall maintain, unless otherwise specified, comprehensive general liability insurance in the amount of at least $1,000,000 combined single limit per occurrence/$2,000,000 aggregate, worker’s compensation coverage including employer’s liability, in accordance with appropriate federal and state laws; automobile liability insurance with a combined single limit for bodily injury and property damage of not less than $5,000,000 per accident throughout the performance of this Agreement. 4. The comprehensive general liability and auto insurance policies shall include Georgetown University as an Additional Insured but solely with respect to liability arising from the performance of this agreement. A certificate evidencing such coverage shall be forwarded to Georgetown University, Office of Risk Management, Box 571167, Washington, DC 20057. 5. If SUPPLIER engages any third parties to provide any of the services hereunder ("Subcontractors"), SUPPLIER shall enter into written agreements with Subcontractors that, at a minimum, require the Subcontractors to abide by all of the pertinent terms contained in this Addendum. If Subcontractors are 1 engaged by SUPPLIER, SUPPLIER shall be responsible to the University for the actions and omissions of its subcontractors and SUPPLIER shall impose on each such Subcontractor the same obligations stated in this paragraph with respect to personnel of the subcontractor.
