The by-laws committee recommends the following changes to the current JML PTA bylaws. (Note: The
VA PTA bylaw template, required for all new bylaws, made some stylistic and organizational changes
which resulted in some changes in the organization of our bylaws. Thus, some of the section and
paragraph numbers have changed.)

Discussion: The committee recommends reordering the listing of Vice Presidents so that, if the
President is unable to serve, the duties would fall first to the Vice President Committees. This seems a
more reasonable order of succession in light of the duties of each position. The committee further
recommends changing the name of the Vice President Communications and Outreach to Vice President
Communications and change the name of the Vice President Committees and Volunteer Management to
Vice President Committees and Volunteers. These title changes more accurately reflect the duties of the
positions.
2. New provision: Article 8, Executive Committee, Section 1,
Section 1. The executive committee shall consist of the elected officers of the association and the
principal of the school or his/her designee.
Old provision: Article X, Executive Committee, Section 1,
Section 1. The executive committee shall consist of the elected officers of the association and the
principal of the school.
Discussion: The committee recommends adding “and his/her designee” to allow the principal to
designate another person to serve on the committee if he/she is absent or otherwise unavailable.

Section 4. Meetings of the executive committee shall be held by the call of the president or a
majority of the executive committee, three (3) days notice having been given. A quorum of the executive
committee shall be a majority of the members of the committee then in office.
Old provision: Article X, Executive Committee, Section 4:
Section 4. Meetings of the executive committee shall be held by the call of the president or a
majority of the executive committee, five (5) days notice having been given. A quorum of the executive
committee shall be a majority of the members of the committee then in office.
Discussion: The committee recommends shortening the time for notice for executive committee
meetings to allow meetings to occur more expeditiously if necessary. As email notices are now more
common than written notices, we feel this amount of notice is adequate.
4. New provision: Article 9, Executive Board, Section 1:
Section 1. The executive board of this local PTA/PTSA shall consist of the elected officers of the
association and the chairman of the standing committees. The principal of the school or his/her designee
and a staff representative or his/her alternate, appointed by the principal or elected by the faculty, also may
serve on the executive board. The chairmen of the standing committees shall be appointed by the officers
of the association not more than ninety (90) days following the installation of officers.
Old provision: Article XI, Executive Committee, Section 1:
Section 1. The executive board of this local PTA/PTSA shall consist of the elected officers of the
association and the chairman of the standing committees. The principal of the school or his/her designee
and a staff representative or his/her alternate, appointed by the principal or elected by the faculty, also may
serve on the executive board. The chairmen of the standing committees shall be appointed by the officers
of the association not more than thirty (30) days following the installation of officers.
Discussion: The committee recommends extending the time for appointing officers to afford newly
elected officers more time to name chairmen.
5. New provision: Article 9, Executive Board, Section 6:
Section 6. The executive board shall hold at least five (5) meetings during the year. The time and
place of meetings shall be set at the first meeting of the executive board after their election. Special
meetings of the executive board may be called by the president or by a majority of the members of the
executive board, three (3) days notice being given. A quorum of the executive board members shall be
either five (5) or a majority of the members of the executive board then in office.
Old provision: Article 9, Executive Board, Section 4:
Section 4. Regular meetings of the executive board shall be held during the school year, the time
to be fixed by the board at its first meeting of the year. Ten (10) members of the executive board members
shall constitute a quorum. Special meetings of the executive board may be called by the president or by a
majority of the members of the board, five (05) days’ notice being given.

Discussion: The committee recommends setting a minimum number of executive session meetings
to ensure they are regularly scheduled. The committee also recommends shortening the notice period and
lowering the number of members required for a quorum.
6. New provision: Article 10, Committees, Section 5:
Section 5. The chairman of each standing and special committee shall present a plan of work to a
member of the executive board. The treasurer will provide each committee chair with a budget. Any
spending in excess of the budget must be approved in advance by the executive board.
Old provision: Article XIII, Committees, Section 5:
Section 5. The chairman of each standing and special committee shall present a plan of work to
the executive board for approval. No committee work shall be undertaken without the consent of the
executive board.
Discussion: The bylaws committee recommends that committee chairs should not have to present a
plan of work to be approved by a quorum of the executive board prior to initiation of any work. Rather,
the plan of work should be coordinated with and presented to the VP for events or the VP for volunteers,
as appropriate, or any other executive board member as needed. Also, the committee recommends that the
bylaws reflect that committee chairs be apprised of their budget from the treasurer and that they be on
notice that they may not exceed that budget without advance approval of the executive board. If approval
to exceed a budget is needed, the executive board can always vote electronically if expedited approval
needed.
7. New provision: Article 11, General Membership Meetings, Section 1:
Section 1. Regular meetings of this local PTA/PTSA shall be held at least six (6) times during
the school year, three (3) days' notice having been given.
Old provision: Article XII, General Membership Meetings, Section 1:
Section 1. Regular meetings of the association shall be held at least six (06) times during the
school year, unless otherwise provided by the association or the executive board, five (05) days' notice
having been given.
Discussion: The committee recommends shortening the notice time for general meetings in the event
emergency meetings are needed. As electronic notice is now routinely given, the shorter time period
should provide adequate notice.
