Publisher’s License Agreement Rider
For the State of Wisconsin on behalf of the Board of Regents of the University of Wisconsin System the University of Wisconsin – Milwaukee
“UWM”, this “Rider” shall amend the Publisher License Agreement “Agreement” and any applicable EULA. In the event of a conflict, this
Rider shall take precedence over the XXXXXX’s agreement.
Parties: Licensee shall be: The State of Wisconsin on behalf of the Board of Regents of the University of Wisconsin System and the University of
Wisconsin - Milwaukee “UWM”
Indemnification: UWM will not indemnify or hold harmless the software Publisher. Any reference to indemnification by UWM shall be removed
from the Agreement.
Arbitration: Any reference to Arbitration, binding or otherwise, shall be removed.
Additional Fees: UWM will not pay Publisher’s legal fees or fees relating to the cost to conduct an audit.
Renewals: The terms of the Agreement shall automatically renew and include this Rider. The license shall not automatically renew, unless a
perpetual license is purchased. An annual license and the terms of the agreement may be renewed at UWM’s sole option by the issuance of a UWM
purchase order.
Payment: Invoices must reference the UWM purchase order number and be sent to the bill to address on the purchase order to be properly submitted
and payable. Invoicing, payment and interest penalties shall be in accordance with Wisconsin Prompt Pay Law. s. 16.528 and 16.53 (2) (11). All
invoices must reference a valid purchase order number issued by a UWM Purchasing Agent.
Choice of Law/Venue: The state courts of Wisconsin shall be the sole forum for all disputes arising of this contract. The validity, construction,
enforcement and effect of this Agreement shall be governed solely by the laws of the State of Wisconsin, including its conflicts of law principles
Entire Agreement: This Rider, the UWM purchase order, if purchased directly, and the Agreement shall constitute the entire agreement between the
parties. If there is a conflict between this Rider and the Agreement, this Rider shall take precedence. In no event shall any additional referenced or
embedded documents, agreements, third party agreements, terms referenced as a web page in the Agreement or click through terms and conditions to
access the software apply, amend, modify or supersede this contract.
