Sub: Invitation of proposals for production of 26 episodes science serials titled
“Science experiments that shaped the world”
Vigyan Prasar, an autonomous organisation under the Department of Science and
Technology, New Delhi has been undertaking telecast of science serials through
Doordarshan. To meet the transmission demand, VP is proposing to produce a 26 part
video serial on the theme of “Science experiments that shaped the world”. Proposals are
invited from various agencies for undertaking the production episodes.
Scope of work
Production of the video programme complete in all respects
Duration: Each episode is of about 20 to 22 ½ mts duration (and would be required to be
done in modular fashion)
Language: Hindi
Shoot format: Shooting in Digi Beta and mastering in various formats as specified in
deliverables.

The theme and topic of the episodes should conform to the programme brief
provided by VP.
The select agency should submit detailed script inclusive of visuals proposed.
Only on approval shooting should be undertaken.
The production of script should be of high quality meeting the industry
standards. Competent and approved talent/voices should be used. Appropriate
use of modern editing techniques including rendering of text/ visuals, multilayering, composting, chromo key, special effects etc should be made to make
the film visually very rich. The video film should meet the international
telecast standards of all public and private channels.
26 part serial has been divided into SIX blocks (theme/ topic attached) Each
block would be considered a separate project. Producers/firms can apply
for any or all of the blocks. (list of blocks and episodes envisaged for each
block is given in a separate sheet)

Work should be completed in nine months after the issue of work Order. In
case of genuine reasons for extension, letter should be sent at least 21 days in
advance adducing the reasons for delay and extension of time limit.
In case of non-completion of work within stipulated time period, liquidated
damage charges will be levied upon which will be 0.5% of the total cost per
week upto 5% plus a special liquidity damage of Rs 25000/-. Work will not be
accepted thereafter.
All rates quoted in the budget should be inclusive of incidentals but exclusive
of service tax.
No modification of proposal will be permitted after its submission
The deliverables are enclosed
Producers selected will have to enter into an agreement with VP within 15
days of intimation of selection by VP, which will include payment terms,
clause regarding penalty, value of bank grantee to be given, penalty clause in
case of delay / non completion etc. Draft agreement is appended below.
Statutory taxes will deducted from the payments to be released
Payment to the selected firms will be made in stages. It will be as under:a. On initiation

b. On completion and approval of the script

c. On completion of shoot and animation

d. On final approval and delivery of all
deliverables to the satisfaction of VP
30%
Selection procedure
The selection would be based upon the artistic and aesthetic aspects of the treatment
submitted as well as the budget. However budget would not be the sole or main
criteria. Budget proposed would be examined in comparison to the treatment
proposed. A committee of experts would examine the merit of the proposals and rank
them. If required, short listed applicants may be called for a presentation before the
committee. No recommendations would be entertained. The budget would be
approved by the committee after examining the approach/treatment and work
involved. In view of the same proposal and budget should be presented in two
separate sealed covers placed and sealed inside a bigger envelope. Applications
received with budget not in separate sealed cover will be rejected. Budget proposals
of shortlisted applicants who have been approved by selection committee, shall be
opened and considered.
Application procedure
Interested firms/agencies/producers may submit their application in the prescribed
format enclosed herewith. Following enclosures should be appended.
i)
Treatment/approach for the block applied for. The treatment should indicate
the content flow that is proposed in treating each episode in the block. –
FOUR copies need to be submitted
ii)
profile/ CV of the firm/producer respectively. The profile should indicate the
past experience in undertaking such work, facility/equipment available etc –
FOUR copies to be submitted
iii)
a DVD/ VCD copy of any ONE recent work undertaken by the agency/firmOnly one copy is required
Incomplete application would be rejected. Enclosed application format is to be used
and applications not in the format would be rejected. Ensure that Part 1 to 4 of the
application form duly filled in and Part – 5 of the application form- Budget in a
separate sealed cover.
SEPARATE APPLICATIONS ARE REQUIRED FOR EACH BLOCK FOR
WHICH THE PRODUCERS ARE DESIRIOUS OF APPLYING
Last date for submission proposal is January 22, 2010 (5 pm) and proposals
through Regd. Post/courier only will be accepted. Postal delay will not be
condoned. Separate application is MUST for applying for more than one block. Four
copies of the application and all the enclosures should be submitted.
The application may be submitted in a sealed cover addressed to ‘Registrar, Vigyan
Prasar, NCMRWF Campus, A50, Institutional area, Sector 62, NOIDA 201307.
Budget proposed should be placed inside a separate sealed cover and marked
‘Budget’. The proposal (three copies) and budget should be in two separate sealed
covers. Both of them should be placed inside a bigger envelope and the envelope may
be marked ‘Proposals for video serial on “Science experiments that shaped the
world’ for block abc” (abc being the block for which the application is being
submitted). Unsealed and unmarked covers would be rejected.

(AN AUTONOMOUS ORGANISATION UNDER
DEPARTMENT OF SCIENCE AND TECHNOLOGY, GOVERNMENT OF INDIA, NEW DELHI)
ARTICLES OF AGREEMENT MADE at New Delhi this xyz DAY between ABC
hereinafter referred to as Video Programme Producer which expression shall unless
repugnant to the context or meaning hereof includes his heirs, executors, and
administrators and permitted assignees) of the ONE PART and the Director of Vigyan
Prasar having its office at A 50, NCMRWF Campus, Sector 62, NOIDA, UP
(thereinafter called ‘VP’, which expression shall unless excluded by or repugnant to the
context deemed to include his successor in office, representatives and assignees) of the
OTHER PART.
WHEREAS VP has decided to produce a XX video film of about 25 mts duration being
the abc block of the 26 part video serial tentatively titled ‘experiments that shaped the
world’.
Whereas the Video Programme Producer has offered his services for the production of
the said programmes to the satisfaction of VP in all respects and VP has agreed to engage
him on the terms and conditions hereinafter contained.
Now it is hereby mutually agreed by and between the parties hereto as under: -
1. The Video Programme Producer shall, in consideration of the payments to be
made to him as hereinafter provided write script, script, production with good
voice, shoot, edit, titling/sub-titling/text, voiceover background effects, additional
shorter versions (which can be made through editing simultaneously) and in all
respects complete and execute the said Programme with suitable, unused and
originally composed music including background music, signature tune,
opening/closing/change over music/jingle upto one minute, stock
voices/music/songs, recorded interviews/ expert comments, graphics, animations,
interactivity and supporting material. The programme should be highly creative
and modern editing techniques including rendering text/ visuals, multi-layering,
composting chromo key, special effects etc. The programme should meet telecast
standards of all public and private channels.
2. The Video Programme Producer agrees that during the production and till its
completion VP shall have full ownership on all the materials of the Programme
acquired on Government money and that on completion of the Programme the
Video Programme Producer would make the same available to VP free from all
dues related to the Programme so that there will be a smooth transfer of all the
materials of the Programme to VP.
3. After completion of the said Serial the Video Programme Producer shall ensure
that the following materials will be delivered to VP
a. One telecast copy in Digi Beta format
b. One telecast copy in DVC pro for telecast
c. One Beta Master in international track
d. Two telecast copy in Beta
e. 10 VCDs
f. 10 DVDs
g. Two CDs containing audio track in broadcast quality
h. Ten VCDs; including jewel box cover , cover design, inlay card etc
i. Hard copy of the complete finalized scripts in duplicate
j. A set of stills (4 for each programme)
k. CD cover, inlay, face cover design in source file format
3.1 Further Producer will apply on behalf of Vigyan Prasar and obtain the censer
board certificate for the film at their own cost.
4.
The Video Programme Producer shall carry out the entire production work under
supervision of VP. It is clearly understood that the term “supervision” will neither
imply interference or intervening in the creative endeavours of the Video
Programme Producer nor affect in any way any obligation of the Video
Programme Producer under these presents.
5.
The whole of work specified and provided for in these presents shall be executed
in the best and most efficient workmanship with materials of the best quality of
their respective kinds.
6.
In case of cessation of work due to strike, closure and / or natural calamity and in
the eventuality that the material relating to the production of the Serial are unable
to be taken elsewhere for the smooth continuation of the production work, the
period of cessation involved shall get added to the date agreed to for the final
delivery. Provided, however, due and prompt notice thereof is given by the Video
Programme Producer to VP and the latter is satisfied about the sufficiency of the
preventive measures taken by the former. In case of such event causing cessation
of work of the programme to continue beyond 30 days the parties shall meet to
decide further course of action to be taken.
7.
The Video Programme Producer shall give to VP free access to all or any of his
offices or studios whether owned or hired by him for the purpose of enabling it to
inspect or examine any materials whether under preparation or otherwise and
shall by all means facilitate such examination or inspection.
8.
This agreement is declared to be personal to the Video Programme Producer.
He/she shall not assign or transfer this agreement or any part thereof or any
benefit thereunder to any other persons nor shall he/she give by way of subcontract the production work of the Programme or any part thereof without the
prior consent of VP in writing and in case the Video Programme Producer shall
assign or transfer this agreement or any benefit thereunder or give by way of
subcontract the production work of the Programme or any part thereof contrary to
this agreement. VP may, by written notice to the Video Programme Producer
require him to withdraw from the production work of the Programme and such
requisition under the clause immediately following.
9.
If the Video Programme Producer shall neglect or fail to comply with any notice,
requisition, order, instructions, or direction of VP or if at any of the stages of
production, if it shall appear to VP that the Video Programme Producer has failed
to fulfil any of the terms and conditions of this agreement or is defaulting in
progression of the production work of the Programme or any part thereof or
anything connecting therewith with due and sufficient diligence and care of if the
Video Programme Producer shall become insolvent or be declared bankrupt or
shall make a compromise with his creditors then and any of these cases, VP may
cancel this agreement or without cancelling or terminating the agreement by a
written notice require the Video Programme Producer to withdraw from the whole
or any portion of the production work of the Programme upon receipt of which
the Video Programme Producer shall be bound forthwith to comply with such
requisition and VP upon service of such notice of cancellation or termination or
requisition of this agreement may engage any other Video Programme Producer,
or Video Programme Producers or persons or workman and or procure and
purchase requisite materials implements and equipments for the due execution
and completion thereof at the risk and cost of the Video Programme Producer and
in that event the costs and charges incurred and damages suffered by VP, due to
stoppage or temporary cessation of production work of the programme shall be
recovered from the Video Programme Producer provided engages other Video
Programme Producer or Video Programme Producers or workman and / or
procure and purchase requisite materials completion of the production of the
Programme, within Two months from due execution and completion of the
production of the programmes, within two months from the due date of the
aforesaid notice of requisition or termination of this agreement as the case may be
provided.
HOWEVER, that the right of VP herein reserved shall be without
prejudice to any rights of VP as to damages, cancellation, rescission or otherwise
whatsoever under the law or under the agreement – provided further that the
Video Programme Producer shall or workman as aforesaid and from the
procurement and purchase of the requisite materials, implements, and equipments
for the due execution and completion of the production of the Programme made at
the risk of the Video Programme Producer PROVIDED in the event of noncompletion of the Serial by the Video Programme Producer or the contract being
terminated by VP in respect of any Video Programme Producer, and the
completed part is approved by the approving authority. VP may at its discretion,
fix such charges as it may deem fit and pay the same to the Video Programme
Producer. The decision of VP in this regard shall be final.
10.
The Video Programme Producer shall complete the production of the Programme
and deliver all the materials referred to in clause 3 hereinabove complete in all
respects by 16.30 hrs on XYZ. The said time is the essence of the contract and in
the event of failure of the Video Programme Producer to complete the production
of the said programme and delivering the materials referred to above within the
said specified period, he/she shall be liable to make good all losses or damages
which may be suffered by VP together with a sum of amount equivalent to 0.5%
per week upto maximum of 5% only plus special damage of Rs. 25,000/- in each
case.

The clause of special damage will remain effective till ABC and VP will
not accept the final video programme after this date.
Extension of the period, if required would be sought by the programme
producer at least 21 days before last date mentioned in clause 10 above,
stating reasons for extension. Based on merit, on case to case basis, VP wil
have the sole right to agree or deny extension and the decision of the
Director (VP) will be final and binding.
11.
All the costs, charges / expenditure incurred in connection with this agreement
shall be borne by Video Programme Producers.
12.
Upon completion of the said Programme, or any part thereof which has been
approved by the approving authority as stated in Clause 9, the title, ownership and
right of sale / exploitation of the said Programme for all territories of the world as
known in the “Video trade” shall be vested in the Programme and VP would be
free to use the programmes in any manner VP likes.
13.(a) VP will pay to the Video Programme Producer a sum of MN (Rupees sss only)
plus service tax as applicable for each episode for the completion of the said
subject to such deduction as tax as it may require to deduct under the relevant
statute for the completed Master Credit delivered by the Video Programme
Producer provided that notwithstanding any agreement on the part of VP to make
On Account payment at any of the above mentioned stages if in VP’s opinion, the
production of the Programme is not proceeding satisfactorily, it shall have the
right to suspend and to stop payments of the advance mentioned above at any
stage till such time as VP is satisfied that the Programme is progressing
satisfactorily, provided further that in the event of this agreement being
terminated due to any cause whatsoever or being cancelled or the work of the
production withdrawn in terms of clause due to any cause whatsoever or being
cancelled or the work of the production withdrawn in terms of Clause 9 thereof,
the Video Programme Producer shall be bound to repay and he/she hereby
undertaken to repay to VP all the sum(s) of money received under these present
till the termination of the agreement with 12% interest thereon, from the date of
such termination and on his failures to do so, VP shall be entitled, without
prejudice and in addition to its other rights, to recover the same as arrears and to
encash the bank guarantee by way of forfeiture of security, deposit, provided
further that in the event of any amount being agreed to be paid to the Video
Programme Producer the Video Programme Producer will be entitled to deduct
the same out of the amount repayable by him under this provision.
b) All the materials of the said Programme and when the same are voice over and
got ready during the course of the production of the same shall be and remain
hypothecated with VP for the amount due to it from the Video Programme
Producer till such time as the Video Programme Producer delivers to VP all the
materials referred to in Clause 3 of this agreement and the Video Programme
Producer shall be responsible for the safe and proper custody of all the aforesaid
Programme materials till their delivery to VP.
14.
The Video Programme Producer hereby undertakes to ensure that the said
Programmes do not infringe the copyrights and / or performing rights held by any
other party and in the event of any litigation being started in respect of the said
Programme wherein VP is dragged as the party, defendents or otherwise, the
Video Programme Producer hereby agrees and undertakes to assist VP or any
officer of VP in defending such litigation and obligation and to reimburse or make
good at sums of money that VP or any officer of VP may be ordered to pay a
court of law or otherwise to any third party together with all charges, and
expenses, in relation there to pay be paid or incurred by VP.
15.
In consideration of the services of the Video Programme Producer under this
present, VP undertakes to release installments of the Video Programme Producer
in the steps enumerated below (each release will be subject to the provision of
bank guarantee by the Video Programme Producer for the amount as specified by
Government as security).
20% at the time of initiating the project.
30 % at the time of submission of the scripts and acceptance by VP
20% after completion of shooting; creation of animation etc for the
programme
30% Balance on satisfactory delivery of comprehensive documentary as
well as the final programmes to VP.
16.
The producer will submit a bang grantee from any nationalized bank for an amont
not less than 30% of the project cost and the validity of the same will be at least
three months more than the last date stipulated in clause 10.1. Further it has been
agreed that the disbursement of next installment to the Video Programme
Producer will be made only after ensuring the VP that the required work has been
carried out by the Video Programme Producer against the released installment.
The Video Programme Producer will also keep VP informed about the progress of
the Serial from time to time in writing.
17.
VP hereby confirm and the Video Programme Producer agrees that VP shall be
the sole and executive holder of the rights for sale / exploitation of the Programme
after its completion for all territories of the world as known in the “video trade”
such right(s) shall mean and include the sale or disposal of all the commercial
rights in all formats inclusive of radio, television, television channels, video CD,
broadcast, internet, cable broadcast circuits of the world on any terms that VP
may consider reasonable for sale / exploitation of the Programme.
18.
VP shall spend such amount as it may consider necessary for purpose of obtaining
of copies subtitling of the Programme, publicity materials, and other publicity for
promotional aspects of the Programme and freight charges etc., for promotion of
the said Programme for all territories of the world including India.
19.
The agreement is accepted in New Delhi and it is agreed by the parties concerned
that all matters, claims and disputes arising in respect of the terms and conditions
hereof shall be settled and paid by the parties in New Delhi and that in respect of
all disputes in connection with or arising out of the agreement, the jurisdiction
shall be subject to clause 21 hereof the competent Court at New Delhi and that the
said Court alone shall subject as aforesaid be said to have jurisdiction to hear any
suit or take any cognizance or deal with any proceedings in connection with or
arising out of this agreement.
20.
All disputes and differences arising out of or in any way touching or concerning
this agreement whatsoever shall be referred to the sole arbitration of any arbitrator
to be appointed by the Director, Vigyan Prasar, New Delhi. The award of such
Arbitrator shall be final and binding on the parties to this agreement. It is in terms
of this agreement that in the event of such arbitrator to whom the matter is
originally referred being transferred or on vacating his successor shall be
appointed by the aforesaid authority and the new incumbent shall resume
arbitration proceeding from the stage where his predecessor has left. The
Arbitration Act of 1940, shall apply to the aforesaid arbitration proceedings. In
witness thereof the parties hereto have set and subscribed their respective hand
and seals on the day and year first hereinabove written.
21.
The court is at Delhi, will only have the jurisdiction for entertaining any issue if
any arising out of the bond agreement.
