CALL TO ORDER
Pursuant to the School District's Procedural By-law 1, the chairperson of the
inaugural meeting shall be the secretary-treasurer ('the interim chairperson')
until such time as the board chairperson has been elected.
We hereby acknowledge that we are on the territory of the Okanagan First
People.
2.
ADOPTION OF AGENDA
RECOMMENDED MOTION:
That the agenda be adopted.
3.
OATHS OF OFFICE
The oaths of office were administered by Judge Meg Shaw on December 1,
2014.
4.
ELECTION OF CHAIRPERSON
The school district's procedural By-law 1 states:
The interim chair shall call for nominations for board chair three times and
declare nominations closed. A secret ballot shall be held and the person
receiving more than one-half of the total number of votes cast shall be declared
elected. If no person receives a clear majority, that person with the least
number of votes shall be dropped from the nominees and a further ballot
conducted. Any vote involving only two trustees that ends in a tie vote shall
result in the appointment of an interim chair to serve until the next regular
meeting at which time the nomination and election process will be repeated.
The interim chair shall be selected from the first available trustee in the
following order:
a. The most recent chair;
b. The more recent vice chair;
c. The two remaining trustees nominated for chair drawing lots.

5.
ELECTION OF VICE CHAIR
The newly elected chair will conduct the election of the vice chair. The election
of the vice chair shall follow the same procedures as that for the chair.
6.
B.C. SCHOOL TRUSTEES ASSOCIATION PROVINCIAL COUNCIL
According to British Columbia School Trustees Association by-laws, a provincial
councilor and an alternate are to be elected annually between December 1 and
the following January 15 to act as the board's representative to the Provincial
Council of the B.C. School Trustees Association.

B.C. PUBLIC SCHOOL EMPLOYERS' ASSOCIATION REPRESENTATIVE
COUNCIL
According to the bylaws of the British Columbia Public School Employers'
Association, each member school board shall appoint one delegate to the
Association, who must be a trustee of the member board of education. In the
past, this appointment for the delegate and alternative has been made by
election.
By-law 2.4 of the BCPSEA by-laws states:

No person with a direct or indirect pecuniary interest, within the meaning of the
School Act, in teacher or support staff collective bargaining, is eligible:
a. To be elected to the Board of Directors of the Association;
b. To represent a member at any general meeting of the Association
c. To represent a member at any other function of the Association
Definition of direct pecuniary interest
Section 55 of the School Act states:
'Pecuniary interest' means, with respect to a trustee, an interest in a matter that
could monetarily affect the trustee and includes an indirect pecuniary interest
referred to in section 56.
Section 57 of the Act also defines a deemed pecuniary interest:
For the purposes of this Part, the pecuniary interest of a spouse or of a parent
or child of the trustee is, if known to the trustee, deemed to be also the
pecuniary interest of the trustee.

DISCUSSION OF COMMITTEE AND REPRESENTATIVE APPOINTMENTS

The normal procedure in the past has been that the chairperson has presented
committee and representative appointments at the first regular school board
meeting following the inaugural meeting. In order to assist the chairperson in
making appointments, please indicate on the attached form, if you have not
already done so, your preferences for committee or representative
appointments and return the form to the secretary-treasurer. (Attachment)

FINANCIAL DISCLOSURE FORMS
Trustees are required to file the annual Statement of Disclosure form between
the 1st and 15th of January of each year in which they hold office. (Attachment)

and a resolution so consented to shall be deemed to be a special resolution passed
at a general meeting of the Association.
"student enrolment" means the number of student full time equivalents enrolled in a
school district as of the September 30 preceding the date of the meeting in question
based on Ministry of Education data and definitions;
"term" means the period of time between annual general meetings;
"trustee" means a trustee of a school board as defined in the School Act;
1.2
The definitions in the Public Sector Employers Act, the Public Education Labour
Relations Act, and the Society Act apply to these Bylaws.
1.3
The Interpretation Act as amended from time to time or any successor legislation
applies to the interpretation of these Bylaws.
1.4
The Association is a reporting society.
PART 2
Members
2.1
The members of the Association are:
a. every public school board in the Province of British Columbia, as defined in the
School Act, and
b. those persons, to a maximum of four (4), who are appointed by the Government of
British Columbia as members of the Association.
2.2
Every member shall uphold the Constitution and comply with these Bylaws.
2.3
Each member school board shall appoint one representative to the Association,
who must be a trustee of the member school board. Each school board member shall
notify the Association in writing of the name and address of its representative.
2.4
No person with a direct or indirect pecuniary interest, within the meaning of the School
Act, in teacher or support staff collective bargaining, is eligible:

All members are in good standing except:
a. a member that has failed to pay that member's current annual membership fee
or any other fee, assessment, subscription to debt due and owing by that member

the Association and that member is not in good standing so long as the debt remains
unpaid, or

TRUSTEE INTERESTS IN COMMITTEES
According to policies 120 and 130, the chairperson of the board shall, after appropriate consultation, annually
appoint trustees as chairpersons of board standing committees and trustee representatives to these and other
committees. To assist the chairperson in making appointments, it would be helpful to know the preference of
trustees.
