He concentrates his practice on community banks, with significant experience in formation of de novo institutions, holding companies and special-purpose entities; capital raising; securities law compliance, including proxy solicitation, tender offers, trading restrictions, and reporting and disclosure obligations; mergers and acquisitions; regulatory compliance and enforcement matters; corporate governance and executive compensation matters; and general corporate representation. Gordon’s practice involves substantial interaction with state and federal banking regulatory authorities concerning bank charter and deposit insurance applications, regulatory review of mergers, acquisitions and other corporate transactions, and regulatory enforcement actions.
